ContractAgreement

ThisContractAgreement(the"Agreement")ismadeandenteredintoasof[InsertDate],byandbetween[InsertClientName]("Client"),a[InsertClient'slegalentity],and[InsertConsultantName]("Consultant"),anindependentconsultant.

1.Services

1.1TheConsultantagreestoprovidetheClientwithconsultingservices(the"Services")asdescribedintheattachedScheduleA.

1.2TheServicesshallcommenceontheEffectiveDateandshallcontinueforthedurationsetforthintheattachedScheduleA(the"Term").TheTermmaybeextendedbymutualwrittenagreementoftheparties.

2.Payment

2.1TheClientagreestopaytheConsultantfortheServicesassetforthintheattachedScheduleA.

2.2PaymentshallbemadebytheClienttotheConsultantwithin[InsertNumber]daysafterthereceiptofaninvoicefromtheConsultant.

3.Confidentiality

3.1TheConsultantshallmaintaininconfidenceallnon-publicinformationdisclosedtotheConsultantbytheClientinconnectionwiththeServices(the"ConfidentialInformation").

3.2TheConsultantshallnotusetheConfidentialInformationforanypurposeotherthantheperformanceoftheServicesunderthisAgreement.

4.Indemnification

4.1TheClientshallindemnifyandholdharmlesstheConsultantagainstanyclaims,losses,damages,orexpenses(includingreasonableattorney'sfees)arisingoutoforinconnectionwiththeServices,excepttotheextentcausedbythegrossnegligenceorwillfulmisconductoftheConsultant.

5.LimitationofLiability

5.1Neitherpartyshallbeliabletotheotherforanyindirect,incidental,consequential,orpunitivedamagesarisingoutoforinconnectionwiththisAgreement,regardlessofthecauseofaction.

6.Assignment

6.1ThisAgreementmaynotbeassignedbyeitherpartywithoutthepriorwrittenconsentoftheotherparty.

7.GoverningLaw

7.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[InsertGoverningJurisdiction].

8.EntireAgreement

8.1ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,bothwrittenandoral,betweentheparties.
