代收货款合作协CollectionofTradeChargesCooperation编号：『20090821No.:『20090821本协议由以下三方于2009年08月 日在中华人民共和国（以下简称“中国ThisagreementissignedbyandamongthethreepartiesinShenzhen,People’sRepublicofChina(“China”forshort)inAug.20th,2009:甲方（委托方Party 址Legal乙方（受托方）：深圳市XXPartyB(Consignee):SHENZHEN INTERNATIONALLOGISTICS 址Adress:XXXXXXXXXXXXXLegalRepresentative:丙方（通知方）：XXPartyC(NotifyingParty): INTERNATIONALFREIGHTAGENT Adress:XXXXXXXXXXXXXXXXXXXXXXXXXXX货源出口能力）并已与中国关境外（以下简称“境外”）客户达成货物出口的意向；WhereasPartyAisalegitimatebusinessentityinChina,whichhasgoodproductioncapacitygoodssupplyandexportcapacity),andiswillingtoexportfreightforthecustomerfromoutsideofChina(“Overseas’customer”forshort);WhereasPartyAisalegitimatebusinessentityinChina,whichhasthecooperativeandself-qualificationofvariousgoodsandtechnologiesimportandexportexcepttheStateprohibitingorlimitingthecompanytooperate,andhasawealthofexperienceandgoodreputationinimportandexportofgoods;WhereasPartyAisalegitimatebusinessentityinChina,whichhasthecooperativeandself-qualificationofvariousgoodsandtechnologiesimportandexportexcepttheStateprohibitingorlimitingthecompanytooperate.whereasPartyAremitsmoneytothaaccountofPartyB,PartyCmustnotifyPartyBpromptly,andsupervisesPartyBtransferthemoneyforgoodstotheappointedaccountofPartyA.”有关安排等服务；“资金流服务”是指乙方可提供的代收外汇货款、结汇、支付人民币货款等服务;“信息流服务”是指乙方可提供的物流及资金流的动态信息服务。whereasPartyAiswillingtoreachtheagreementofcooperation,entrustsPartyBtohandletheformalitiesoffreightexport(applytocustomsL/cetc.);PartyBiswillingtoacceptthecooperationagreementofPartyA,andoffertheserviceoffreighttransportationscheme(“freighttransportation”forshort),whichincludesPartyBplanningandmanagingfreighttransportation,informationflowandfundflowintheprocessfreightexport.ThefreighttransportationmeansthatPartyBofferstheserviceofcustomsclearance、warehouse&packing、insuranceandotherrelativearrangementstoPartyA;fundflowmeansthatPartyBoffercollectionforeigntradechargesservice、surrenderofexchangeservice、RMBpaymentserviceandsooninformationflowmeansthatPartyBoffersthedynamicinformationoffreightandfundflow.Nowtherefore,toexploittheirownstrengths,atareasonabledivisionoflaborbasedonthemaximizationoftheinterestsofbothparties,byfriendlyconsultation,onthebasisofequalityandmutualbenefit,accordingto"People'sRepublicofChinaForeignTradeLaw","ContractLawofPeople'sRepublicofChina"andotherrelevantlawsandregulations,PartyBandPartyAhaveagreedonxportsofgoodscooperationasfollows:FirstCollectionChargesofExport、ExportTaxRebateandPaymentofPartyBisresponsibleforcollectionchargesofexportaccordingtotheexportcontract,andPartyA hastheobligationofcooperation;Ifoversea’scustomersbreachcontractorforanyotherreasonunabletotimelyreceivingtheexportcharges,PartyBshallpromptlynotifythePartyAandinlinewiththePartyAtotakemeasurestocollectionthecharges.算公式如下：乙方收取的服务费+费 X合作出口货物的收款金额数Basedontheaboveprovisions,PartyAagreedtopayservicechargesaccordingtotheamountofexportofgoodsreceivables,theclearingformulaisasfollows:PartyB’sservicecharge+bankaccountcharge=$Xthecooperationexportsofgoodsreceivableamountofafew.二 争议解Second.ResolutionofthisAgreement,;Duetooversea’scustomercausedbyPartyA’slosses,PartyBassumesnoliability,buteveryeffortshouldbemadetoassistPartyAtoclaims,thereforethecostspaidbyorforanylossofPartyB,shouldbegivenfullcompensationbyPartyA;2.3Alldisputesarisingfromtheexecutionofthisagreementshallbesettledthroughfriendlyconsultations.Incasenosettlementcanbereached,thecaseindisputeshallthenbesubmittedtotheChinaInternationalEconomicandTradeArbitrationCommissionSouthChinaBranchinaccordancewithitsProvisionalRulesofProcedure.Thedecesionmadebythiscommissionshallberegardedasfinalandbindinguponbothparties.三、违约责任 ResponsibilityforBreachofInadditiontootherwiseprovidedinthisAgreement,anybreachofcontractmattersunderthisAgreementshallbearliabilityforbreachofcontractasthefollowingtermsand becausePartyAdoesnotfulfillitsobligationsunderthisAgreement,resultingthattheexportlinewiththeagreedconditions,PartyAshallpayPartyBthecostoftheiradvances,taxesandBcommitment;becausethecustomshavesomeobjectiononthename,specifications,quantity,andofexportsofgoods,andcausedthattheagreementcannotbeexecutednormally,thusPartyAshallbeartheresponsibility,ifitmakePartyBhaveeitherdirectlyorindirectlyeconomicloss,PartyBhastherighttoclaimcompensation;AsaresultofPartyB’serrorsandPartyBdoesnotofferPartyAthecooperationexportprocedurestimely,andthusleadtoeconomiclossestoPartyA;PartyBhasthecorrespondingliabilitytoPartyA; 四 杂 IfforanyreasonmakesanyoftheprovisionsunderthisAgreementinvalid,thelegitimacyandeffectivenessofotherprovisionsofthisAgreementarenotaffected;FortheimportantissuescontactingunderthisAgreement,bothPartyAandPartyBshouldberunninginwriting;amatterofurgencycanusetelephonecontacting,butafterwardsitshouldbeconfirmedinwriting; IfanypartyofPartyAandPartyBtakesrevocationordissolutiontherightsandobligationsunderthisAgreementbornebytherecipient; ThisAgreementisinduplicate,eachofthetwopartieshadone,andhasthesamelegal（或合同专用章820日止，待本协议所有附件——甲方开出的每一个《确认函》中确认的出口ThisAgreementsignedbyt
