创新型生产线设备采购协议合同编号：__________parties：hereinafterreferredtoasthe"supplier"andthe"buyer",whicharebothlegalentitieswithindependentlegalcapacityandfulllegalrightsandobligations.subjectmatterofthecontract：thesuppliershallsupplythebuyerwithinnovativeproductionlineequipment(hereinafterreferredtoas"equipment")inaccordancewiththetermsandconditionsofthiscontract.article1:supplyofequipment1.1thesupplieragreestosupplytheequipmenttothebuyerinaccordancewiththespecifications,quantities,qualityandotherrequirementsspecifiedintheattachedschedule.1.2thesuppliershalldelivertheequipmenttothebuyer'sdesignatedlocationwithinthetimelimitspecifiedintheattachedschedule.1.3thesuppliershallprovidethebuyerwiththenecessarytechnicaldocuments,instructions,maintenanceandrepairservices,andsparepartsfortheequipment.article2:paymentterms2.1thebuyeragreestopaythetotalpurchasepriceoftheequipmentandrelatedservicesasspecifiedintheattachedschedule.2.2thepaymentshallbemadethebuyerwithin30daysafterthedateofthesupplier'sinvoice,unlessotherwisespecifiedintheattachedschedule.2.3thebuyershallhavetherighttowithholdoroffsetanyamountsduetothesupplierunderthiscontractifthesupplierfailstoperformitsobligationshereunder.article3:qualityandwarranty3.1thesupplierwarrantsthattheequipmentconformstothespecificationsandqualitystandardsagreedupontheparties,andisfreefromdefectsinmaterialsandworkmanship.3.2intheeventthattheequipmentfailstoconformtotheagreedspecificationsandqualitystandards,orisfoundtohavedefects,thesuppliershall,atitsownexpense,repairorreplacetheequipmentwithinareasonabletimeafterreceivingthebuyer'swrittennoticeofsuchnonconformityordefect.3.3thesupplier'swarrantyshallexpiretwoyearsafterthedateofdeliveryoftheequipment.article4:deliveryandacceptance4.1thesuppliershalldelivertheequipmenttothebuyer'sdesignatedlocationonthedeliverydatespecifiedintheattachedschedule.4.2thebuyershallhavetherighttoinspectandtesttheequipmentwithinareasonabletimeafterdeliverytoensurethatitconformstotheagreedspecificationsandqualitystandards.4.3ifthebuyerfindsthattheequipmentdoesnotconformtotheagreedspecificationsandqualitystandards,thebuyershallnotifythesupplierinwritingwithinareasonabletimeaftertheinspectionandtesting.4.4ifthebuyerfailstoinspectandtesttheequipmentwithinthetimelimitspecifiedinarticle4.1,theequipmentshallbedeemedtohavebeendeliveredandacceptedthebuyer.article5:breachofcontract5.1ifeitherpartyfailstoperformanyofitsobligationsunderthiscontract,theotherpartymayrequirethedefaultingpartytopromptlyperformsuchobligations.5.2ifeitherpartyfailstoperformanyofitsobligationsunderthiscontractandsuchfailurecontinuesforaperiodof30daysaftertheotherpartyhasgivenwrittennoticethereof,thenondefaultingpartymayterminatethiscontractwrittennoticetothedefaultingparty.5.3theterminationofthiscontractshallnotaffectanyrightsorobligationsofeitherpartyarisingoutofthiscontractpriortoitstermination.article6:disputeresolution6.1anydisputesarisingoutoforinconnectionwiththiscontractshallberesolvednegotiationbetweentheparties.article7:generalprovisions7.1thiscontractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereof,andsupersedesallprioragreements,negotiationsandunderstandings,whetherwrittenororal,betweentheparties.7.2thiscontractmaybeamendedormodifiedonlyawritteninstrumentexecutedbothparties.7.4thepartiesacknowledgethatthiscontracthasbeenenteredintoingoodfaithandwiththeintentionofcreatingalegalobligation.inwitnesswhereof,thepartieshaveexecutedthiscontractasofthedatefirstabovewritten.supplier::_________________________name:_____________________________________________date:_______________________buyer::_________________________一、附件列表：1.创新型生产线设备详细规格书2.创新型生产线设备技术参数表3.创新型生产线设备交付时间表4.创新型生产线设备付款计划5.创新型生产线设备保修条款6.创新型生产线设备验收标准和方法7.创新型生产线设备维护和操作手册二、违约行为及认定：1.供应商未能按照合同约定时间交付设备。2.供应商交付的设备不符合约定的规格和质量标准。3.供应商未能提供合同约定的技术文档、服务和支持。4.买方未能按照合同约定时间支付设备款项。5.买方未能在规定时间内对设备进行验收和测试。6.买方未能按照合同约定进行维护和保养设备。三、法律名词及解释：1.供应商：指合同中承担供应设备义务的法人或其他组织。2.买方：指合同中承担购买设备义务的法人或其他组织。3.创新型生产线设备：指合同中约定的具有创新特点的生产线设备。4.交付：指供应商将设备运输至买方指定地点并交付给买方。5.付款：指买方按照合同约定支付设备款项的行为。6.质量标准：指合同中约定的设备应符合的技术要求和性能指标。四、执行中遇到的问题及解决办法：1.设备交付延误：与供应商沟通，要求其加快进度，如有必要，根据合同条款要求赔偿。2.设备质量问题：及时通知供应商，要求其进行修复或更换，如供应商拒绝或未能解决问题，可依据合同条款要求赔偿。3.技术支持不足：向供应商提出书面要求，要求其提供必要的技术支持和服务，如供应商未能提供，可依据合同条款要求赔偿。4.付款问题：按照合同约定的付款计划进行支付，如买方资金周转困难，可与供应商协商调整付款计划。
