ANDWHEREAS,SelleriswillingtoaccepttheprocessingoftheProductsonthetermsandconditionssetforthinthisContract.
NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesagreeasfollows:
1.ScopeofProcessing
1.1TheSellershallprocesstheProductsaccordingtothespecificationsandquantityagreeduponbythepartiesinthisContract.
1.2TheBuyershallprovidetheSellerwiththenecessarymaterialsandtechnicaldocumentsrequiredfortheprocessingoftheProducts.
2.QualityRequirements
2.1ThequalityoftheprocessedProductsshallmeetthequalitystandardsandtechnicalrequirementsagreeduponbythepartiesinthisContract.
2.2TheBuyershallinspectthequalityoftheprocessedProductsuponreceipt.Ifanyqualityissueisfound,theBuyershallpromptlynotifytheSellerforcorrection.
3.DeliveryandAcceptance
3.1TheSellershalldelivertheprocessedProductstotheBuyeratthedesignatedaddresswithintheagreedtimeperiod.
3.2TheBuyershallaccepttheprocessedProductsupondelivery.IftheBuyerhasanyobjectiontothedelivery,theBuyershallnotifytheSellerwithin[timeperiod]afterthedelivery.
4.PriceandPayment
4.1ThepriceoftheprocessedProductsshallbe[price]yuanperunit,withatotalamountof[totalamount]yuan.
4.2TheBuyershallpaytheSellerthetotalamountinfulluponthedeliveryoftheprocessedProducts.
5.IntellectualPropertyRights
5.1TheintellectualpropertyrightsoftheProductsprocessedbytheSellershallbelongtotheBuyer.
5.2TheSellershallnotuse,copy,ortransfertheintellectualpropertyrightsoftheProductswithoutthepriorwrittenconsentoftheBuyer.
6.LiabilityandDisputeResolution
6.1IfanydisputesariseduringtheperformanceofthisContract,thepartiesshallnegotiateandsettlethemamicably.Ifthenegotiationfails,thepartiesmaysubmitthedisputestothePeople'sCourtwithjurisdictionovertheSeller'sregisteredplaceofbusinessfortrial.
6.2IncaseofbreachofthisContractbyeitherparty,thebreachingpartyshallcompensatethenon-breachingpartyfortheresultinglosses.
7.OtherProvisions
7.1ThisContractisanintegralpartoftheparties'agreement.AnyamendmentorsupplementtothisContractshallbemadeinwritingandsignedbybothparties.
7.2ThisContractisexecutedintwocopies,eachpartyholdingonecopy,whichshallhavethesamelegaleffect.

ANDWHEREAS,ThirdPartyiswillingtoactasthesupervisoryandqualitycontrolentityfortheprocessingoftheProductsonbehalfofBuyer.
NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesagreeasfollows:
1.ScopeofProcessing
1.1SellershallprocesstheProductsinaccordancewiththespecificationsandquantityasagreeduponbytheparties.
1.2BuyershallprovideSellerwiththenecessarymaterialsandtechnicaldocumentsfortheprocessingoftheProducts.
2.QualityRequirementsandThirdPartyOversight
2.1ThequalityoftheprocessedProductsshallcomplywiththeagreed-uponstandardsandspecifications.
2.2ThirdPartyshallberesponsibleforoverseeingthequalitycontrolprocessandensuringcompliancewiththeagreed-uponstandards.
2.3Intheeventofnon-compliance,ThirdPartyshallhavetheauthoritytohalttheprocessingandrequirecorrectiveactionsfromSeller.
3.DeliveryandAcceptance
3.1SellershalldelivertheprocessedProductstotheBuyeratthedesignatedaddresswithintheagreedtimeperiod.
3.2BuyershallaccepttheprocessedProductsupondeliveryandshallbedeemedtohaveacceptedtheProductsifnowrittenobjectionisraisedwithin[timeperiod]afterdelivery.
4.PriceandPayment
4.1ThepriceoftheprocessedProductsshallbe[price]yuanperunit,withatotalamountof[totalamount]yuan.

5.IntellectualPropertyRights

5.2Buyershallretainallintellectualpropertyrightsrelatedtothedesign,functionality,andbrandoftheProducts.
6.ThirdParty'sResponsibilitiesandRights
6.1ThirdPartyshallhavetherighttoinspecttheprocessingfacilities,materials,andprocessesusedbySeller.
6.2ThirdPartyshallhavetherighttorequestdocumentationandreportsfromSellerregardingtheprocessingoftheProducts.
6.3ThirdPartyshallhavetherighttoimposepenaltiesonSellerforanybreachesoftheagreed-uponqualitystandards.
7.Seller'sObligationsandLimitations
7.1Sellershallcomplywithallapplicablelaws,regulations,andindustrystandardsintheprocessingoftheProducts.
7.2SellershallnotsubcontracttheprocessingoftheProductstoanythirdpartywithoutthepriorwrittenconsentofBuyer.
7.3SellershallnotuseanyconfidentialinformationobtainedfromBuyerforanypurposeotherthantheprocessingoftheProducts.
8.Buyer'sRightsandInterests
8.1BuyershallhavetherighttoterminatethisContractintheeventofSeller'smaterialbreachofitsobligations.
8.2Buyershallhavetherighttorequestchangestotheprocessingspecificationsandquantitiesatanytime,providedsuchchangesdonotcauseunreasonabledelayorcost.
8.3BuyershallhavetherighttoreceiveregularupdatesontheprogressandqualityoftheprocessingfromThirdParty.
9.DisputeResolution
9.1AnydisputesarisingfromorinconnectionwiththisContractshallberesolvedthroughgoodfaithnegotiationsbetweentheparties.
9.2Intheeventoffailuretoresolvedisputesthroughnegotiations,thepartiesshallsubmitthemattertoarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].
10.Termination
10.1ThisContractmaybeterminatedbyeitherpartyupon[specificcircumstances],providing[specificnoticeperiod].
10.2Upontermination,SellershalldeliverallprocessedProductstoBuyerinaccordancewiththetermsofthisContract.

2.2Supervisorshallberesponsibleforoverseeingthequalitycontrolprocessandensuringcompliancewiththeagreed-uponstandards.
2.3Intheeventofnon-compliance,SupervisorshallhavetheauthoritytohaltthemanufacturingprocessandrequirecorrectiveactionsfromManufacturer.
3.DeliveryandAcceptance
3.1ManufacturershalldeliverthemanufacturedProductstoPrincipalatthedesignatedaddresswithintheagreedtimeperiod.
3.2PrincipalshallacceptthemanufacturedProductsupondeliveryandshallbedeemedtohaveacceptedtheProductsifnowrittenobjectionisraisedwithin[timeperiod]afterdelivery.
4.PriceandPayment
4.1ThepriceofthemanufacturedProductsshallbe[price]yuanperunit,withatotalamountof[totalamount]yuan.

5.3PrincipalshallhavetherighttoimposepenaltiesonManufacturerforanybreachesoftheagreed-uponqualitystandards.
6.Manufacturer'sObligationsandLimitations
6.1Manufacturershallcomplywithallapplicablelaws,regulations,andindustrystandardsinthemanufacturingoftheProducts.
6.2ManufacturershallnotsubcontractthemanufacturingoftheProductstoanythirdpartywithoutthepriorwrittenconsentofPrincipal.
6.3ManufacturershallnotuseanyconfidentialinformationobtainedfromPrincipalforanypurposeotherthanthemanufacturingoftheProducts.
7.Supervisor'sResponsibilitiesandRights
7.1Supervisorshallhavetherighttoinspectthemanufacturingfacilities,materials,andprocessesusedbyManufacturer.
7.2SupervisorshallhavetherighttorequestdocumentationandreportsfromManufacturerregardingthemanufacturingprocess.
7.3SupervisorshallhavetherighttoimposepenaltiesonManufacturerforanybreachesoftheagreed-uponqualitystandards.
8.Principal'sRightsandInterests
8.1PrincipalshallhavetherighttoterminatethisContractintheeventofManufacturer'smaterialbreachofitsobligations.
8.2Principalshallhavetherighttorequestchangestothemanufacturingspecificationsandquantitiesatanytime,providedsuchchangesdonotcauseunreasonabledelayorcost.
8.3PrincipalshallhavetherighttoreceiveregularupdatesontheprogressandqualityofthemanufacturingfromSupervisor.
9.DisputeResolution
9.1AnydisputesarisingfromorinconnectionwiththisContractshallberesolvedthroughgoodfaithnegotiationsbetweentheparties.
9.2Intheeventoffailuretoresolvedisputesthroughnegotiations,thepartiesshallsubmitthemattertoarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].
10.Termination
