NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromiseshereincontained,thePartiesagreeasfollows:

1.ScopeofServices

1.1PartyBagreestoprovideconsultingservicestoPartyAinthefollowingareas:[ListofConsultingServices].

1.2PartyBshalluseitsbesteffortstoperformtheconsultingservicesinaccordancewiththehighestprofessionalstandardsandwithintheagreedtimeframe.

1.3ThePartiesagreethatanyadditionalservicesnotspecifiedinthisAgreementshallbesubjecttoaseparatewrittenagreementbetweentheParties.

2.TermandTermination

2.1ThetermofthisAgreementshallcommenceon[StartDate]andshallcontinueforaperiodof[Duration]unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

2.2EitherPartymayterminatethisAgreementupon[NoticePeriod]priorwrittennoticetotheotherPartyforanyreason,providedthatPartyAshallpaytoPartyBanyfeesearnedorincurredbyPartyBpriortotheterminationdate.

2.3UponterminationofthisAgreement,PartyBshallpromptlyreturntoPartyAallconfidentialinformationandmaterialsprovidedtoPartyBbyPartyA.

3.FeesandPayment

3.1PartyAshallpayPartyBatotalconsultingfeeof[Amount]in[Currency],payablein[PaymentTerms].

3.2Paymentshallbemadeby[PaymentMethod],andPartyBshallprovidePartyAwithaninvoiceforeachpayment.

3.3Intheeventofanydelayinpayment,PartyAshallpaytoPartyBalatefeeof[LateFeePercentage]oftheunpaidamountpermonth,startingfromtheduedateuntilthepaymentismadeinfull.

4.Confidentiality

4.1ThePartiesagreetomaintaintheconfidentialityofallconfidentialinformationdisclosedtoeachotherduringthetermofthisAgreement.

4.2"ConfidentialInformation"meansanyandallnon-publicinformation,includingbutnotlimitedtotechnical,financial,commercial,andoperationalinformation.

4.3ThePartiesagreenottouse,disclose,orreproduceanyConfidentialInformationforanypurposeotherthanfortheperformanceofthisAgreement.

5.IntellectualProperty

5.1Allintellectualpropertyrights,includingbutnotlimitedtocopyrights,patents,trademarks,andtradesecrets,arisingfromorinconnectionwiththeprovisionofconsultingservicesbyPartyBtoPartyAshallbesolelyownedbyPartyA.

5.2PartyBagreesnottoclaimanyownershiporinterestinanyintellectualpropertyrightsofPartyA.

6.LimitationofLiability

6.1Tothefullestextentpermittedbyapplicablelaw,PartyBshallnotbeliableforanyindirect,special,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththeprovisionofconsultingservicesortheperformanceofthisAgreement.

6.2ThetotalliabilityofPartyBunderthisAgreementshallnotexceedtheamountoffeespaidbyPartyAtoPartyBunderthisAgreement.

7.GoverningLawandDisputeResolution

7.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

7.2AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthrough[DisputeResolutionMechanism],includingbutnotlimitedtomediation,arbitration,orlitigation.
