WHEREAS,theSenderdesirestoengagetheservicesoftheRecipientforthetransportationandhandlingofthegoodsandservices,andtheRecipientagreestoprovidesuchservicesunderthetermsandconditionssetforthherein;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesagreeasfollows:

1.ScopeofServices

TheRecipientagreestoprovidethefollowinglogisticsservicesfortheSender:

a.Transportationofgoodsfromthesender'sdesignatedlocationtotherecipient'sdesignatedlocation;

b.Handling,packing,andstorageofgoodsduringtransportation;

c.Customsclearanceandcompliancewithrelevantregulationsandprocedures;

d.Insurancecoverageforgoodsduringtransportation;

e.Anyotherservicesasmutuallyagreeduponbytheparties.

2.DescriptionofGoods

ThegoodstobetransportedunderthisContractareasfollows:

3.PricingandPaymentTerms

a.TheRecipientshallchargetheSenderafeefortheservicesprovidedunderthisContract,asdetailedintheattachedPricingSchedule(Attachment1).

c.Intheeventofanydisputesregardingthepaymentamount,thepartiesshallnegotiateandresolvethematteramicably.

4.DeliveryandShipment

a.TheRecipientshalldeliverthegoodstotheSenderatthedesignatedlocationwithintheagreed-upontimeframe.

b.TheRecipientshallprovidetheSenderwithashippingdocument,including,butnotlimitedto,abilloflading,packinglist,andanyotherrelevantdocuments.

c.AnydelaysindeliveryorshipmentduetocircumstancesbeyondtheRecipient'scontrolshallbecommunicatedtotheSenderpromptly.

5.LiabilityandIndemnity

a.TheRecipientshallbeliableforanyloss,damage,ordelaytothegoodsduringtransportation,exceptforcaseswheresuchloss,damage,ordelayiscausedbyactsofGod,forcemajeure,ortheSender'snegligence.

b.TheSenderagreestoindemnifytheRecipientagainstanyclaims,actions,orproceedingsarisingoutoforinconnectionwiththeRecipient'sperformanceofitsobligationsunderthisContract.

6.Confidentiality

Thepartiesagreetokeepconfidentialanyandallinformation,includingbutnotlimitedtotradesecrets,technicaldata,andbusinessplans,whichmaybedisclosedduringthecourseofthisContract.

7.GoverningLawandDisputeResolution

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

IntheeventofanydisputesarisingoutoforinconnectionwiththisContract,thepartiesshallendeavortoresolvethematteramicably.Ifthepartiesfailtoreacharesolutionwithinareasonableperiod,thedisputeshallbesubmittedtoarbitrationinaccordancewiththerulesof[ArbitrationInstitution].

1.ScopeofServices

TheProvideragreestoprovidethefollowinglogisticsservicestotheShipperthroughtheAffiliate:

a.CoordinationoftransportationarrangementsfromtheShipper'sorigintothedestination;

b.Packagingandpreparationofgoodsforshipment;

c.Customsbrokerageandcompliancewithinternationalregulations;

d.Insurancearrangementsforthegoodsduringtransit;

e.AnyotherancillaryservicesasagreeduponbytheShipper,Provider,andAffiliate.

2.DescriptionofGoods

ThegoodssubjecttothisAgreementshallbeasspecifiedintheattachedGoodsDescription(Attachment1).

3.PricingandPaymentTerms

a.TheProvidershallinvoicetheShipperforthelogisticsservicesrendered,asdetailedintheattachedServicePricing(Attachment2).

b.PaymentshallbemadeinaccordancewiththepaymenttermssetforthintheattachedFinancialTerms(Attachment3).

c.AnydiscrepanciesinbillingshallberesolvedbetweentheShipperandtheProvider.

4.DeliveryandShipment

a.TheProvidershallensurethatthegoodsaredeliveredtotheShipperatthedesignateddestinationwithintheagreed-upontimeframe.

b.TheProvidershallprovidetheShipperwiththenecessaryshippingdocumentation,including,butnotlimitedto,acommercialinvoice,billoflading,andpackinglist.

c.Intheeventofdelaysindeliveryorshipment,theProvidershallpromptlynotifytheShipperandtheAffiliate.

5.LiabilityandIndemnity

a.TheProvidershallbeliableforanyloss,damage,ordelaytothegoodsduringtransportation,exceptwheresuchloss,damage,ordelayisduetoanactofGod,forcemajeure,ortheShipper'sfailuretocomplywithitsobligationsunderthisAgreement.

b.TheAffiliateshallnotbedirectlyliablefortheperformanceoftheProvider'sobligationsbutshalluseitsbesteffortstoensurethattheProviderfulfillsitscontractualcommitments.

6.Confidentiality

ThepartiesagreetomaintaintheconfidentialityofallinformationdisclosedtotheminconnectionwiththisAgreement.

7.GoverningLawandDisputeResolution

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

b.Inventorymanagementandtrackingofgoodsduringtransit;

c.Customsclearanceandcompliancewithinternationaltraderegulations;

d.Packagingandlabelingofgoodstomeetdestinationcountrystandards;

e.AnyadditionalservicesasagreeduponbytheSupplier,Partner,andCoordinator.

2.Supplier'sGoods

ThegoodstobetransportedanddistributedunderthisAgreementshallbeasspecifiedintheattachedGoodsSpecification(Attachment1).

3.PricingandPaymentTerms

a.ThePartnershallprovidetheSupplierwithadetailedquoteforthelogisticsanddistributionservices,asoutlinedintheattachedServiceQuote(Attachment2).

5.LiabilityandIndemnity

a.ThePartnershallbeliableforanylossordamagetothegoodsduringtransit,exceptforcasesofforcemajeureoractsbeyondthePartner'sreasonablecontrol.

b.TheCoordinatorshallnotbedirectlyliableforthePartner'sperformancebutshallactasanintermediarytoensurecompliancewiththetermsofthisAgreement.

6.RightsandInterestsofthePartner

a.ThePartnershallhavetherighttoselectthemostcost-effectiveandefficienttransportationroutesandmethods.

b.ThePartnershallbeentitledtoreceivepromptpaymentforservicesrendered.

c.ThePartnershallhavetherighttoterminatethisAgreementiftheSupplierfailstomeetitspaymentobligationswithintheagreed-uponterms.

7.ObligationsandLimitationsoftheSupplier

a.TheSuppliershallprovideaccurateandcompleteinformationregardingthegoodsanddeliveryrequirements.
