(1)Uponthecompletionoftheworkandpriortothefinalacceptance,theContractorshallsubmittheinvoiceforpaymenttotheEmployer,andtheEmployershallmakethepaymentwithin30daysafterthereceiptoftheinvoice.

(2)Incaseofanydisputeoverthepayment,thepartiesshallresolvethedisputethroughfriendlynegotiation.

3.WorkSchedule

3.1TheContractorshallcompletetheworkwithinthetimeframespecifiedintheattachedworkschedule(hereinafterreferredtoas"theWorkSchedule").

3.2TheContractorshallpromptlyinformtheEmployerofanydelaysintheworkscheduleduetounforeseenreasons,andthepartiesshallnegotiateandagreeontheextensionofthedeadline.

4.QualityAssurance

4.1TheContractorshallensurethatthequalityoftheworkmeetstherequirementsoftheEmployerandtherelevantstandards.

4.2TheEmployershallhavetherighttoinspectandtesttheworkduringtheprogressoftheworkandafterthecompletionofthework.

5.TerminationoftheContract

5.1EitherpartymayterminatetheContractincaseofanyofthefollowingsituations:

(1)TheContractorfailstocomplywiththeContractprovisionsandtheEmployerrequestsfortermination.

(2)TheEmployerfailstomakethepaymentasrequiredandtheContractorrequestsfortermination.

5.2UpontheterminationoftheContract,thepartiesshallnegotiateandagreeonthehandlingoftheworkandthesettlementofthedisputes.

6.DisputeResolution

6.1IncaseofanydisputesarisingfromtheexecutionoftheContract,thepartiesshallfirstresolvethedisputesthroughfriendlynegotiation.

6.2Ifthedisputescannotberesolvedthroughnegotiation,thepartiesmaysubmitthedisputestotherelevantarbitrationagencyforarbitration.

7.MiscellaneousProvisions

7.1ThisContractconstitutestheentireagreementbetweenthepartiesandshallreplaceallpreviousagreements,oralorwritten,betweentheparties.

7.2AnyamendmentormodificationtothisContractshallbemadeinwritingandsignedbybothparties.

4.QualityAssurance

4.1TheContractorshallensurethatthequalityoftheworkmeetstherequirementsoftheEmployerandtherelevantstandards.

4.2TheThirdPartyshallprovidequalityassuranceservicesinaccordancewiththeThirdPartyAgreement.
