NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereincontained,thepartiesheretoagreeasfollows:

1.ScopeofServices:PartyAagreestoprovidethenecessarymedicalservicestoPartyBasspecifiedintheattachedMedicalServiceAgreement(hereinafterreferredtoasthe"Agreement").

2.Term:ThisContractshallbeeffectivefrom[StartDate]to[EndDate],unlessotherwiseterminatedinaccordancewiththeprovisionsofthisContract.

3.Payment:PartyBagreestopayPartyAthefeesforthemedicalservicesprovidedasspecifiedintheattachedPaymentSchedule(hereinafterreferredtoasthe"Schedule").PaymentshallbemadeinaccordancewiththetermsandconditionssetforthintheSchedule.

4.Confidentiality:ThepartiesagreetomaintaintheconfidentialityofallmedicalinformationandrecordspertainingtothisContract.Suchinformationshallnotbedisclosedtoanyunauthorizedthirdpartywithoutthepriorwrittenconsentofbothparties.

5.Indemnification:PartyAagreestoindemnifyandholdharmlessPartyBfromanyandallclaims,liabilities,damages,orlossesarisingoutoforinconnectionwiththemedicalservicesprovidedunderthisContract,exceptincaseswheresuchclaims,liabilities,damages,orlossesaredirectlycausedbyPartyB'snegligenceorintentionalmisconduct.

6.Termination:ThisContractmaybeterminatedbyeitherpartyuponwrittennoticetotheotherparty,providedthatsuchnoticeshallbegivenatleast[NoticePeriod]dayspriortotheeffectivedateoftermination.

7.GoverningLawandJurisdiction:ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthe[ApplicableJurisdiction].AnydisputesarisingoutoforinconnectionwiththisContractshallbesubjecttotheexclusivejurisdictionofthecourtsof[ApplicableJurisdiction].

6.PartyA'sRightsandObligations:

6.2PartyAhastherighttoterminatethisContractifPartyCfailstomeetitsobligationsunderthisContractoranyotheragreemententeredintobetweentheparties.

6.3PartyAhastherighttoreceiveregularreportsfromPartyCregardingtheprogressofthemedicalservicesprovided.

7.PartyB'sRightsandObligations:

7.1PartyBhastherighttoreceivehigh-qualitymedicalservicesfromPartyA.

TheinclusionofPartyCasathird-partyintermediaryservestoenhancethequalityandefficiencyofthemedicalservicesprovidedbyPartyA.ByhavingPartyCcoordinateandsupportthemedicalservices,PartyAcanfocusondeliveringhigh-qualitycaretoPartyB.ThepurposeofPartyA'sdominanceinthisContractistoensurethatitsinterestsareprotected,includingtherighttorequestinformationandreportsfromPartyC,aswellastheabilitytoterminatetheContractifnecessary.ThisstructurealsoprovidesPartyBwiththenecessarysupportandcoordinationfromPartyC,whileensuringthatPartyBcomplieswiththemedicalinstructionsandrecommendationsprovidedbybothparties.
