WHEREAS,theClient,throughitsrepresentative,hasreceivedtheBidder'sbidandhasdeterminedtoenterintothisContractwiththeBidderfortheProject;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereinaftersetforth,thepartiesheretoagreeasfollows:

1.ScopeofWork

TheBidderagreestoperformtheProjectinaccordancewiththetermsandconditionssetforthintheTenderDocuments,including,butnotlimitedto,thefollowing:

a.DesignandconstructionoftheProject;

b.Compliancewithallapplicablelaws,regulations,andstandards;

c.CompletionoftheProjectwithinthespecifiedtimeframe;

d.Maintenanceandwarrantyservicesforaperiodof[numberofyears]yearsafterthecompletionoftheProject.

2.BidPrice

TheBidderagreestoprovidetheProjectservicesatatotalbidpriceof[amountincurrency](hereinafterreferredtoasthe"BidPrice").

3.PaymentTerms

a.TheClientshallmakepaymentstotheBidderinaccordancewiththefollowingschedule:

1.[percentage]%upontheexecutionofthisContract;

2.[percentage]%upontheissuanceoftheacceptancecertificatefortheProject;

3.[percentage]%uponthecompletionoftheProject;

b.TheClientreservestherighttomakepaymentdeductionsforanydiscrepancies,damages,orotherliabilitiesarisingfromtheBidder'sperformanceunderthisContract.

4.PerformanceBond

TheBidderagreestoprovideaperformancebondinanamountequalto[amountincurrency](hereinafterreferredtoasthe"PerformanceBond")toguaranteetheproperperformanceoftheProject.ThePerformanceBondshallbesubmittedtotheClientupontheexecutionofthisContract.

5.Insurance

TheBidderagreestoobtainandmaintain,throughoutthedurationofthisContract,allnecessaryinsurancepoliciestocovertheProject,including,butnotlimitedto,liabilityinsurance,workers'compensationinsurance,andpropertyinsurance.

6.DefaultandTermination

a.EitherpartymayterminatethisContractupontheoccurrenceofanyofthefollowingevents:

1.FailureoftheBiddertocomplywithanymaterialtermorconditionofthisContract;

2.FailureoftheClienttomakepaymentsasrequiredunderthisContract;

3.ForceMajeureeventsbeyondthereasonablecontrolofeitherparty.

b.UponterminationofthisContract,theBiddershallimmediatelyceaseallworkontheProjectandshalltakeallnecessarymeasurestoprotecttheClient'sinterests.

7.DisputeResolution

AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthroughamicablenegotiationsbetweentheparties.Ifthepartiesfailtoreachanagreementwithin[numberofdays]daysfromthedateofthedispute,eitherpartymaysubmitthedisputeto[disputeresolutionmechanism,e.g.,arbitrationorlitigation].

8.GoverningLaw

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[applicablejurisdiction].

9.EntireAgreement

7.Principal'sRightsinCaseofDefault

7.1IntheeventoftheContractor'sortheThirdParty'sdefaultunderthisContract,thePrincipalshallhavetherightto:

2.EmployanotherpartytocompletetheProject;

3.Seekdamagesforanylossesincurredasaresultofthedefault.

8.Confidentiality

8.1ThepartiesagreetomaintaintheconfidentialityofanyinformationdisclosedtothembytheotherpartiesinconnectionwiththisContract.

9.GoverningLaw

10.EntireAgreement
