1.MaintenanceServices

a.Bugfixesandsoftwareupdates;

b.Technicalsupportandtroubleshooting;

c.Assistanceinresolvingcompatibilityissues;

d.Installationandconfigurationsupport;

2.Term

ThetermofthisContractshallcommenceonthedateofthisContractandshallcontinueforaperiodof[Number]months.Uponexpirationoftheinitialterm,theContractshallautomaticallyrenewforadditionalperiodsof[Number]months,unlesseitherpartyprovideswrittennoticeofterminationatleast[Number]dayspriortotheexpirationofthethen-currentterm.

5.Confidentiality

6.OwnershipofIntellectualProperty

PartyAretainsallownershiprights,title,andinterestinandtotheSoftware,includingallintellectualpropertyrights.PartyBshallhavenorightsorclaimstotheSoftwareoranymodificationsorenhancementsmadethereto.

7.LimitationofLiability

PartyB'sliabilityunderthisContractshallbelimitedtothefeespaidbyPartyAforthemaintenanceservicesprovidedunderthisContract.PartyBshallnotbeliableforanyindirect,incidental,special,orconsequentialdamagesarisingoutoforinconnectionwiththeperformanceornon-performanceofthisContract.

8.GoverningLaw

9.EntireAgreement

8.LimitationofLiability

9.TerminationandConsequences

13.PurposeofThirdPartyInvolvement

c.PartyAshallnotholdPartyBliableforanydowntimeorperformanceissuescausedbyexternalfactorsbeyondPartyB'scontrol.

8.BreachofAgreement

a.IntheeventofabreachofthisAgreementbyPartyA,PartyBshallhavetherighttoterminatetheAgreementimmediatelyandseekremediesforanydamagesincurred.

b.PartyAshallindemnifyPartyBagainstanyclaims,losses,ordamagesarisingfromPartyA'sbreachofthisAgreement.
