1.ScopeofServices

5.IntellectualProperty

Allintellectualpropertyrights,includingbutnotlimitedtocopyrights,trademarks,patents,andtradesecrets,arisingoutoforinconnectionwiththeservicesrenderedbytheConsultantshallbesolelyownedbytheClient.TheConsultantherebyassignsandtransfersallsuchrights,title,andinteresttotheClient.

6.Termination

ThisAgreementmaybeterminatedbyeitherpartyuponwrittennoticetotheotherparty,withorwithoutcause,providedthatsuchterminationshallbeeffectiveupontheexpirationofa[specifiedperiod,e.g.,30days]noticeperiod.

7.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[jurisdiction,e.g.,theStateofCalifornia].

8.EntireAgreement

5.Client'sRightsandInterests

-Therighttorequestchangestothescopeofworkortimelines,subjecttotheconsentoftheThirdParty;

6.Consultant'sRightsandObligations

6.Client'sLimitationsandObligations
