AGREEMENTFORCOMMISSION

ThisAgreementforCommission(the"Agreement")ismadeandenteredintoasofthis_____dayof_______,20____,byandbetween[CommissionAgent'sFullLegalName],a[CommissionAgent'slegalentitytype,e.g.,corporation,limitedliabilitycompany,etc.]organizedandexistingunderthelawsof[CommissionAgent'sjurisdiction]witharegisteredaddressat[CommissionAgent'saddress](the"Agent"),and[Principal'sFullLegalName],a[Principal'slegalentitytype]organizedandexistingunderthelawsof[Principal'sjurisdiction]witharegisteredaddressat[Principal'saddress](the"Principal").

WHEREAS,thePrincipalisengagedinthebusinessof[brieflydescribethenatureofthePrincipal’sbusiness];

WHEREAS,theAgentpossessescertainskills,expertise,andcontactsthatarebeneficialtothePrincipalinthepromotionandsaleof[Principal'sproducts/services];

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,andforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesheretoagreeasfollows:

1.AppointmentandGrantofAuthority

a.ThePrincipalherebyappointstheAgentasitsnon-exclusiverepresentativetosolicitandsecureordersforthePrincipal'sproducts/serviceswithintheTerritory(asdefinedinSection2below).

b.TheAgentisgrantedtheauthoritytonegotiateandenterintoagreementsonbehalfofthePrincipal,subjecttothetermsandconditionssetforthinthisAgreement.

2.Territory

TheAgent'sappointmentandauthorityshallbelimitedtothefollowinggeographicarea("Territory"):[DefinetheTerritory].

3.CommissionTerms

a.TheAgentshallbeentitledtoacommissionattherateof[insertpercentage]oftheNetSales(asdefinedinSection4below)generatedbytheAgent'seffortsinaccordancewiththisAgreement.

b.CommissionpaymentsshallbemadebythePrincipaltotheAgentona[frequencyofpayment,e.g.,monthly,quarterly,etc.]basisfollowingthereceiptofpaymentbythePrincipalfromthecustomer.

4.DefinitionofNetSales

"NetSales"shallmeanthegrosssalespriceofthePrincipal'sproducts/serviceslessdiscounts,returns,andallowances,andanyshipping,handling,insurance,andothercostsdirectlyrelatedtothedeliveryoftheproducts/servicestothecustomer.

5.DutiesandObligationsoftheAgent

a.TheAgentshalluseitsbesteffortstopromoteandmarketthePrincipal'sproducts/serviceswithintheTerritory.

b.TheAgentshallmaintainadequaterecordsofalltransactionsandshallprovidethePrincipalwithsuchrecordsandinformationasreasonablyrequestedtoverifytheAgent'sentitlementtocommissionpayments.

c.TheAgentshallcomplywithallapplicablelaws,regulations,andindustrystandardsintheperformanceofitsdutiesunderthisAgreement.

6.DutiesandObligationsofthePrincipal

a.ThePrincipalshallprovidetheAgentwithreasonableassistanceandsupport,includingbutnotlimitedto,marketingmaterials,producttraining,andaccesstosalessupport.

b.ThePrincipalshallberesponsibleforfulfillingallordersandprovidingcustomerserviceinconnectionwiththeproducts/servicessoldbytheAgent.

7.TermandTermination

a.ThisAgreementshallcommenceontheEffectiveDateandshallcontinueforatermof[insertterm,e.g.,oneyear]unlessterminatedearlierinaccordancewiththeprovisionsofthisSection.

b.EitherpartymayterminatethisAgreementatanytimeupon[insertnoticeperiod,e.g.,thirty(30)days']writtennoticetotheotherparty.

c.Intheeventoftermination,theAgentshallbeentitledtoreceivecommissionsonsalesmadepriortotheeffectivedateoftermination,providedthatsuchcommissionsareearnedinaccordancewiththetermsofthisAgreement.

8.Confidentiality

ThepartiesacknowledgethatduringthecourseofthisAgreement,theymayhaveaccesstocertainconfidentialandproprietaryinformationoftheotherparty.BothpartiesagreetomaintaintheconfidentialityofsuchinformationandtouseitonlyforthepurposesofthisAgreement.

9.Miscellaneous

a.ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.

b.ThisAgreementmaynotbeassignedbyeitherpartywithoutthepriorwrittenconsentoftheotherparty,exceptthatthePrincipalmayassignthisAgreementwithoutconsenttoasuccessorinconnectionwithamerger,acquisition,orsaleofallorsubstantiallyallofitsassets.

c.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[governingjurisdiction],andanydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtsof[governingjurisdiction].

10.Attachments

ThefollowingattachmentsareincorporatedintoandmadeapartofthisAgreement:
