2.PartyBrepresentsandwarrantsthatitisalegallyincorporatedentitywithfullpowerandauthoritytoenterintothisContractandtoperformitsobligationshereunder.

3.PartyAandPartyBrepresentandwarrantthattheexecution,delivery,andperformanceofthisContractwillnotviolateanylaw,regulation,orobligationtowhichtheyaresubject.

OBLIGATIONS

1.PartyAagreestoperformthefollowingobligations:

(a)Toprovide[DescriptionofGoodsorServices]toPartyBinaccordancewiththespecifications,quantities,anddeliverydatessetforthinExhibitAattachedhereto.

(b)ToensurethattheGoodsorServicesprovidedareofthehighestqualityandmeetallapplicablestandards.

(c)ToprovideallnecessarydocumentationandsupporttoPartyBasrequiredbythisContract.

2.PartyBagreestoperformthefollowingobligations:

(a)TopayPartyAthepurchasepricefortheGoodsorServicesinaccordancewiththepaymenttermssetforthinExhibitBattachedhereto.

(b)ToacceptdeliveryoftheGoodsorServicesinaccordancewiththedeliveryschedulesetforthinExhibitAattachedhereto.

(c)ToprovideanynecessaryinformationorassistancetoPartyAtofacilitatetheperformanceofitsobligationsunderthisContract.

TERMANDTERMINATION

1.ThisContractshallcommenceon[StartDate]andshallcontinueforaperiodof[DurationofContract],unlessterminatedearlierinaccordancewiththeprovisionsofthisContract.

2.EitherPartymayterminatethisContractuponwrittennoticetotheotherPartyiftheotherPartybreachesanymaterialtermorconditionofthisContractandfailstocuresuchbreachwithin[CurePeriod]afterreceiptofwrittennotice.

3.UponterminationofthisContract,thefollowingprovisionsshallapply:

(a)AllobligationsofthePartiesunderthisContractshallimmediatelycease,exceptforanyobligationsthatbytheirnaturesurvivetermination.

(b)ThePartiesshallpromptlyreturnallConfidentialInformationprovidedtothembytheotherParty.

(c)ThePartiesshallpayalloutstandingamountsdueandpayableunderthisContract.

INDEMNIFICATION

1.PartyAshallindemnify,defend,andholdharmlessPartyBagainstanyandallclaims,actions,liabilities,damages,costs,andexpensesarisingoutoforinconnectionwithPartyA'sbreachofanyofitsrepresentations,warranties,orobligationsunderthisContract.

2.PartyBshallindemnify,defend,andholdharmlessPartyAagainstanyandallclaims,actions,liabilities,damages,costs,andexpensesarisingoutoforinconnectionwithPartyB'sbreachofanyofitsrepresentations,warranties,orobligationsunderthisContract.

CONFIDENTIALITY

1.ThePartiesagreetoholdinstrictconfidenceandnottodisclosetoanythirdpartyanyConfidentialInformationdisclosedtothembytheotherParty.

2."ConfidentialInformation"shallmeananyandallnon-publicinformation,includingbutnotlimitedtotechnical,commercial,financial,andoperationalinformation.

3.TheobligationsofconfidentialityshallsurvivetheterminationorexpirationofthisContract.

RIGHTSOFPARTYA

2.PartyAhastherighttoterminatethisContractuponwrittennoticeifPartyBfailstocomplywiththepaymenttermssetforthinExhibitB.

3.PartyAhastherighttoterminatethisContractuponwrittennoticeifPartyBbreachesanymaterialtermorconditionofthisContractandfailstocuresuchbreachwithin[CurePeriod]afterreceiptofwrittennotice.

INTERESTSOFPARTYA

1.PartyA'sprimaryobjectiveistoensurethedeliveryofhigh-qualityGoodsorServicestoPartyB.

2.PartyAseekstoleveragetheexpertiseandresourcesofThirdPartytoenhancethequalityandefficiencyoftheGoodsorServices.

3.PartyAaimstoprotectitsinterestsbyimposingstrictpaymenttermsandterminationrights.

LIMITATIONSANDLIABILITIESOFPARTYB

1.PartyBagreestoindemnify,defend,andholdharmlessPartyAandThirdPartyagainstanyandallclaims,actions,liabilities,damages,costs,andexpensesarisingoutoforinconnectionwithPartyB'sbreachofanyofitsobligationsunderthisContract.

SIGNIFICANCEANDPURPOSEOFTHIRDPARTYINTERVENTION

TheinclusionofThirdPartyinthisContractservestoenhancethequalityandefficiencyoftheGoodsorServicesprovidedbyPartyA.ByutilizingtheexpertiseandresourcesofThirdParty,PartyAcanensurethattheGoodsorServicesmeetthehigheststandardsofqualityandperformance.Furthermore,thepresenceofThirdPartyasanintermediaryfacilitatescommunicationandresolvesdisputes,therebyreducingtheriskofcontractualdisputesbetweenPartyAandPartyB.

PURPOSEANDSIGNIFICANCEOFPARTYADOMINANCE

ThepurposeofmakingPartyAthedominantpartyinthisContractistoensurethatitsinterestsareprioritizedandprotected.BygrantingPartyAtherighttoterminatetheContractandimposingstrictpaymentterms,PartyAcanminimizetheriskofnon-paymentandensurethatitreceivesfaircompensationfortheGoodsorServicesprovided.Furthermore,PartyA'srighttoterminatetheContractuponbreachprovidesamechanismtoprotectitsinterestsintheeventofnon-compliancebyPartyB.

INTERESTSOFPARTYB

1.PartyB'sprimaryobjectiveistoensurethattheGoodsorServicesmeetitsspecificrequirementsandaredeliveredontime.

2.PartyBseekstoleveragetheexpertiseofThirdPartytoverifythequalityandperformanceoftheGoodsorServices.
