2.BorrowingofProperty

4.Security

b.UpontheBorrower'sfailuretocomplywithanyofthetermsandconditionsofthisAgreement,theLendershallhavetherighttoexerciseitsrightsunderthesecurityinterestgrantedherein.

5.Indemnification

TheBorroweragreestoindemnifyandholdtheLenderharmlessfromandagainstanyandallclaims,actions,demands,liabilities,losses,damages,costs,andexpenses(including,withoutlimitation,reasonableattorneys'fees)arisingoutoforinconnectionwiththeBorrower'suseoftheProperty.

6.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof______.

7.EntireAgreement

CONCLUSION
