**1.SaleofAssets/Equity**

1.1SubjecttothetermsandconditionsofthisAgreement,PartyAshallacquirefromPartyB,andPartyBshallselltoPartyA,allorpartoftheassetsand/orequityofPartyB,asspecifiedinScheduleAattachedhereto(the"AcquiredAssets").

1.2TheAcquiredAssetsshallbeconveyedtoPartyAbymeansofabillofsaleorotherdocumentofconveyancesatisfactorytoPartyA.

**2.PurchasePrice**

4.2PartyBrepresentsandwarrantstoPartyAthat:

a.IthasthelegalcapacitytoenterintothisAgreementandtoperformitsobligationshereunder;

b.Theexecution,delivery,andperformanceofthisAgreementshallnotconstituteaviolationofanyofitsagreements,obligations,orcovenants;

c.Itisnotawareofanyclaim,action,orproceedingthatcouldreasonablybeexpectedtohaveamaterialadverseeffectonitsbusiness,financialcondition,orresultsofoperations.

**5.Confidentiality**

5.1ThepartiesagreetokeepconfidentialanyandallinformationdisclosedtothembytheotherpartyinconnectionwiththisAgreement,includingbutnotlimitedtofinancial,technical,andcommercialinformation.

**6.GoverningLaw**

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[specifythejurisdiction].
