3.3UponterminationofthisAgreement,theMembershallnotbeentitledtoarefundofanyunusedportionoftheMembershipFee.

4.IntellectualProperty

4.1TheClubretainsallrights,title,andinterestinandtotheServices,includinganyassociatedsoftware,content,andmaterials.

4.2TheMembershallnotreproduce,distribute,modify,orcreatederivativeworksoftheServiceswithoutthepriorwrittenconsentoftheClub.

5.Confidentiality

5.1ThepartiesagreetomaintaintheconfidentialityofanyconfidentialinformationdisclosedtothembytheotherpartyduringthetermofthisAgreement.

5.2ConfidentialinformationshallnotbeusedforanypurposeotherthantheperformanceofthisAgreement.

6.LimitationofLiability

6.1TheClubshallnotbeliableforanyindirect,special,orconsequentialdamagesarisingoutoforinconnectionwiththisAgreement.

6.2ThetotalliabilityoftheClubunderthisAgreementshallnotexceedtheamountoftheMembershipFeepaidbytheMember.

7.GoverningLawandJurisdiction

7.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
