1.ScopeofAppointment:TheCommissionAgentshallactastheEmployer’sexclusiveagentforthepurposeofsolicitingandsecuringbusinesswithintheterritoryof[Territory]asdescribedinExhibitAattachedhereto.

2.CommissionTerms:TheEmployershallpaytheCommissionAgentacommissionof[Percentage]%ofthenetrevenueearnedfrombusinesssolicitedandsecuredbytheCommissionAgent,calculatedonamonthlybasis.TheEmployershallremitthecommissionduetotheCommissionAgentwithin[NumberofDays]daysaftertheendofeachcalendarmonth.

3.DutiesandObligationsoftheCommissionAgent:TheCommissionAgentagreestoactingoodfaithonbehalfoftheEmployerandtousereasonableeffortstosolicitandsecurebusinesswithintheterritoryspecifiedinExhibitA.TheCommissionAgentshallnotengageinanyfraudulentordeceptivepracticesinthecourseofitsactivities.

4.DutiesandObligationsoftheEmployer:TheEmployeragreestoprovidetheCommissionAgentwithallnecessaryinformationandsupporttoenabletheCommissionAgenttoperformitsdutiesunderthisContract.TheEmployershallalsoensurethattheCommissionAgentisadequatelycompensatedforitsefforts.

5.TermoftheContract:ThisContractshallcommenceonthe[StartDate]andshallcontinueforaperiodof[NumberofYears]yearsfromtheeffectivedatehereof.TheContractmaybeterminatedbyeitherpartyupon[NumberofDays]days’priorwrittennoticetotheotherparty.

7.Confidentiality:BothpartiesagreetomaintaintheconfidentialityofallproprietaryandconfidentialinformationdisclosedtotheminconnectionwiththisContract.TheCommissionAgentshallnotdiscloseanysuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheEmployer.

8.GoverningLawandJurisdiction:ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Country/State].AnydisputesarisingoutoforinconnectionwiththisContractshallbesubjecttotheexclusivejurisdictionofthecourtsof[Country/State].

9.EntireAgreement:ThisContractconstitutestheentireagreementbetweentheEmployerandtheCommissionAgentwithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.
