1.ScopeofAssistance

TheAgentagreestouseitsbesteffortstoassistthePrincipalinthecancellationoftheContract.TheAgentshall:

a.CommunicatewiththeThirdPartytodiscussthepossibilityofcancellingtheContract;

b.PrepareandsubmitallnecessarydocumentsandinformationrequiredforthecancellationoftheContract;

c.RepresentthePrincipalinanynegotiationsordiscussionswiththeThirdPartyregardingthecancellationoftheContract;

d.PerformanyothertasksreasonablyrequestedbythePrincipaltofacilitatethecancellationoftheContract.

2.Compensation

ThePrincipalagreestocompensatetheAgentforitsservicesrenderedunderthisAgreement.ThecompensationshallbepaidtotheAgentinthefollowingmanner:

a.Afixedfeeof[Amount]tobepaiduponthesuccessfulcancellationoftheContract;

b.AnyadditionalexpensesincurredbytheAgentinperformingitsdutiesunderthisAgreement,subjecttopriorapprovalbythePrincipal.

3.Confidentiality

ThePrincipalandtheAgentagreetomaintaintheconfidentialityofallinformationdisclosedtotheminconnectionwiththisAgreement.SuchconfidentialityobligationsshallsurvivetheterminationorexpirationofthisAgreement.

4.TermandTermination

ThisAgreementshallcommenceonthedateofitsexecutionandshallremainineffectuntiltheContractissuccessfullycancelledorterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

EitherpartymayterminatethisAgreementatanytimebyprovidingwrittennoticetotheotherparty,withsuchterminationtobeeffectiveuponreceiptofsuchnotice.

5.GoverningLawandJurisdiction
