2025【中英文版】外贸采购合同范本CONTRACTFORFOREIGNTRADEPURCHASE(2025VERSION)合同编号/ContractNo.:签订地点/Signedat:签订日期/Signedon:甲方：(以下简称“买方”/Hereinafterreferredtoas"Buyer")乙方：(以下简称“卖方”/Hereinafterreferredtoas"Seller")根据《中华人民共和国合同法》、《联合国国际货物销售合同公约》及相关法律法规，甲乙双方本着平等、自愿、诚实信用的原则，经友好协商，就乙方向甲方供应下列商品事宜达成如下协议：Basedontheprovisionsofthe"ContractLawofthePeople'sRepublicofChina,"the"UnitedNationsConventiononContractsfortheInternationalSaleofGoods,"andrelevantlawsandregulations,PartyAandPartyB,basedontheprinciplesofequality,voluntariness,andgoodfaith,anduponfriendlyconsultation,herebyagreeonthefollowingtermsregardingthesupplyofgoodsbyPartyBtoPartyA.第一条商品名称、规格、数量、金额及交货时间Article1:Name,Specifications,Quantity,Amount,andDeliveryTimeoftheGoods1.1乙方向甲方供应的商品名称、规格、数量、单价及总金额如下：1.1ThegoodstobesuppliedbyPartyBtoPartyAareasfollowsintermsofname,specifications,quantity,unitprice,andtotalamount:|商品名称/NameofGoods|规格/Specifications|数量/Quantity|单位.Unit|单价.UnitPrice(USD/CNY)|总金额/TotalAmount(USD/CNY)||||||||||||||||||||||1.2交货时间为：1.2Deliverytime:1.3如需分批交付，具体批次及交货时间如下：1.3Ifdeliveryistobemadeinbatches,thespecificbatchesanddeliverytimesareasfollows:|批次/Batch|数量/Quantity|交货时间/DeliveryTime|||||||||||||第二条质量标准及检验Article2:QualityStandardsandInspection2.1商品质量应符合如下标准：2.1Thequalityofthegoodsshallcomplywiththefollowingstandards:国家标准：NationalStandard:行业标准：IndustryStandard:双方约定标准：StandardsAgreedUponbyBothParties:2.2商品的质量检验由下列方式进行：2.2Thequalityinspectionofthegoodsshallbeconductedinthefollowingmanner:甲方在收到货物后日内自行检验，并将检验结果书面通知乙方。PartyAshallconductitsowninspectionwithindaysafterreceiptofthegoodsandnotifyPartyBoftheinspectionresultsinwriting.如乙方提出异议，双方可委托共同认可的第三方检测机构进行检验，检验费用由方承担。ShouldPartyBraiseanobjection,bothpartiesmayjointlycommissionathird-partytestinginstitution认可的forinspection,andtheinspectioncostsshallbebornebyParty.2.3如商品质量不符合约定标准，甲方有权要求退货、换货或降价处理，具体方式由双方协商确定。2.3Shouldthequalityofthegoodsfailtomeettheagreedstandards,PartyAhastherighttorequestareturn,exchange,orpricereduction,withthespecifictermstobemutuallyagreedupon.第三条交货地点、方式及运输Article3:DeliveryLocation,Method,andTransport3.1交货地点为：3.1Deliverylocation:3.2交货方式为：3.2Deliverymethod:3.3运输方式为：3.3Transportmethod:3.4运输费用由方承担。3.4TransportationcostsshallbebornebyParty.3.5卖方应确保货物在运输过程中安全无损，如因卖方原因导致货物损坏或丢失，卖方应承担相应责任。3.5TheSellershallensurethesafetyandintegrityofthegoodsduringtransportation.ShouldanydamageorlossoccurduetotheSeller’sfault,theSellershallberesponsibleforit.第四条付款方式及期限Article4:PaymentTermsandTimeLimit4.1付款方式为：4.1Paymentmethod:4.2付款期限为：4.2Paymentterm:4.3支票、汇款或其他支付方式应按照以下方式操作：4.3Checks,remittances,orotherpaymentmethodsshallbeprocessedasfollows:付款方式：Paymentmethod:付款账户信息：Paymentaccountinformation:4.4买方应在收到货物并确认无误后日内完成付款。4.4TheBuyershallcompletethepaymentwithindaysafterreceivingandconfirmingthegoods.4.5如卖方未能按合同约定交货，买方有权延迟付款，具体延迟期限由双方协商确定。4.5ShouldtheSellerfailtodeliverthegoodsasperthetermsofthiscontract,theBuyerhastherighttodelaypayment,withthespecificdelayperiodtobemutuallyagreedupon.第五条保险Article5:Insurance5.1卖方负责为货物投保，保险金额应不低于货物总价值的%。5.1TheSellershallarrangeinsuranceforthegoods,withtheinsuranceamountbeingnolessthan%ofthetotalvalueofthegoods.5.2保险险种为：5.2Insurancetype:5.3保险费用由方承担。5.3InsurancecostsshallbebornebyParty.第六条合同的变更与解除Article6:AmendmentandTerminationofContract6.1本合同如有变更，须经双方协商一致，并签订书面补充协议。6.1Anyamendmenttothiscontractshallrequiremutualagreementbetweenthepartiesandthesigningofawrittensupplementaryagreement.6.2在下列情况下，双方均可解除合同：6.2Underthefollowingcircumstances,eitherpartymayterminatethecontract:对方严重违反合同约定，导致合同目的无法实现。Theotherparty’sseriousbreachofcontract,resultinginthefailuretoachievethepurposeofthecontract.不可抗力事件导致合同无法履行。Forcemajeureeventsmakingtheperformanceofthecontractimpossible.6.3合同解除后，双方应据实结算，互不追索。6.3Uponterminationofthecontract,bothpartiesshallsettlealloutstandingmattershonestlyandshallnotseekanyfurtherclaims.第七条违约责任Article7:LiabilityforBreachofContract7.1如买方未按合同约定支付货款，每逾期一日，应向卖方支付逾期金额的‰作为违约金。7.1ShouldtheBuyerfailtopaythepurchasepriceasperthetermsofthiscontract,theBuyershallpayPartyBadefaultinterestof‰perdayontheoverdueamount.7.2如卖方未按合同约定交货，每逾期一日，应向买方支付未交货部分金额的‰作为违约金。7.2ShouldtheSellerfailtodeliverthegoodsasperthetermsofthiscontract,theSellershallpayPartyAadefaultinterestof‰perdayontheundeliveredportionofthegoods.7.3违约方应赔偿守约方遭受的所有损失，包括但不限于律师费、诉讼费等合理的费用支出。7.3Thebreachingpartyshallcompensatethenon-breachingpartyforalllossesincurred,includingbutnotlimitedtoreasonablelegalfeesandlitigationexpenses.第八条争议解决Article8:DisputeResolution8.1因本合同引起的或与本合同有关的任何争议，双方应通过友好协商解决。8.1Anydisputesarisingfromorrelatedtothiscontractshallfirstberesolvedthroughfriendlyconsultationsbetweentheparties.8.2如协商不成，任何一方可向仲裁委员会申请仲裁，arbitrationinaccordancewiththerulesoftheArbitrationCommission.8.3The仲裁裁决为终局裁决,对双方具有法律约束力。8.3Thearbitrationawardshallbefinalandbindingonbothpar
