2025【英文合同】委托代理合同英文[ContractNo.:]Date:ThisAgreementmadethisdayof,2025,ByandBetween:(1)(hereinafterreferredtoasthe"Principal"),residingat,withitsregisteredofficeat;(2)(hereinafterreferredtoasthe"Agent"),residingat,withitsregisteredofficeat;WHEREAS,thePrincipaldesirestoappointtheAgenttoactonitsbehalfinmattersrelatedto[specificscopeofagency,e.g.,thesale/purchaseofgoods,representationinnegotiations,orotherspecifiedactivities];ANDWHEREAS,theAgentagreestoactastheAgentofthePrincipalonthetermsandconditionssetforthherein;NOW,THEREFORE,thepartiesheretoagreeasfollows:1.APPOINTMENTANDSCOPEOFAGENCY1.1.ThePrincipalherebyappointstheAgentasitssoleandexclusiveagent,andtheAgentacceptssuchappointment,toactonbehalfofthePrincipalin[specificactivities,e.g.,thesaleofgoods,representationinnegotiations,orotheractivities].1.2.ThescopeoftheAgencyshallbelimitedtothefollowingareas:a)[specificdutiesorresponsibilitiesoftheAgent];b)[specificgeographicalarea,ifapplicable];c)[specifictimelines,ifapplicable].1.3.TheAgentshallactasanindependentcontractorandnotasanemployee,partner,orjointventurerofthePrincipal.2.DUTIESANDOBLIGATIONSOFTHEAGENT2.1.TheAgentshall:a)Actwithduecare,skill,anddiligenceintheperformanceofitsdutiesunderthisAgreement;b)Complywithallapplicablelaws,regulations,andindustrystandardsintheperformanceofitsduties;c)PromptlyprovidethePrincipalwithaccurateandcompleteinformationrelatingtoitsactivitiesunderthisAgreement;d)RepresenttheinterestsofthePrincipalinaprofessionalandethicalmanner;e)[additionaldutiesorobligationsasagreeduponbytheparties].2.2.TheAgentshallnot:a)ActoutsidethescopeofitsauthorityunderthisAgreement;b)EnterintoanycommitmentsorobligationsonbehalfofthePrincipalwithoutpriorwrittenconsent;c)UseordiscloseanyconfidentialinformationofthePrincipalforanypurposeotherthantheperformanceofitsdutiesunderthisAgreement;d)[additionalprohibitionsasagreeduponbytheparties].3.AUTHORITYOFTHEPRINCIPAL3.1.ThePrincipalgrantstheAgenttheauthoritytoperformthefollowingactsonitsbehalf:a)[specificauthority,e.g.,tonegotiatecontracts,tobindthePrincipalfinancially];b)[specificlimitsonsuchauthority,ifany].3.2.TheAgentshallnotifythePrincipalimmediatelyuponexercisinganyauthoritygrantedunderthisAgreement.4.COMPENSATIONANDEXPENSES4.1.Ascompensationforitsservices,theAgentshallbeentitledtoreceiveacommissioncalculatedas[percentageorfixedamount]of[specificbasis,e.g.,grosssales,profits,orotheragreedmeasurements].4.2.Paymentsshallbemadeasfollows:a)Commissionshallbecalculatedandpaid[monthly,quarterly,annually,orasotherwiseagreed];b)Allpaymentsareduewithin[number]daysofreceiptofaninvoiceorothersupportingdocumentation;c)Paymentsshallbemadeby[method,e.g.,banktransfer,check],totheAgent'saccountat[banknameanddetails].4.3.ThePrincipalshallreimbursetheAgentforallreasonableexpensesincurredintheperformanceofitsdutiesunderthisAgreement.SuchexpensesmustbesupportedbyreceiptsorotherdocumentationandsubmittedforapprovalbythePrincipalwithin[number]daysofincurringtheexpense.5.CONFIDENTIALITY5.1.TheAgentagreestomaintaintheconfidentialityofallinformationreceivedfromthePrincipal,includingbutnotlimitedtobusinessplans,financialdata,customerlists,andotherconfidentialinformation(collectively"ConfidentialInformation").5.2.TheAgentshallnotdiscloseConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentofthePrincipal,exceptasrequiredbylaworregulatoryauthorities.5.3.TheobligationsunderthisSection5shallsurvivetheterminationofthisAgreementandshallremainineffectforaperiodof[number]yearsfromthedateoftermination.6.TERMANDTERMINATION6.1.ThisAgreementshallcommenceonthedatefirstabovewrittenandshallcontinueinfullforceandeffectforaninitialtermof[number]years(the"InitialTerm").6.2.UponexpirationoftheInitialTerm,thisAgreementshallautomaticallyrenewforadditionaltermsof[number]yearseach,unlesseitherpartyprovideswrittennoticeofterminationatleast[number]dayspriortotheexpirationofthethen-currentterm.6.3.EitherpartymayterminatethisAgreementupon[number]days'writtennoticeiftheotherpartybreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithinsuchnoticeperiod.6.4.UponterminationofthisAgreement,theAgentshall:a)ImmediatelyceaseallactivitiesonbehalfofthePrincipal;b)ReturnallConfidentialInformationandpropertyofthePrincipalinitspossession;c)SettlealloutstandingaccountsandprovideafinalaccountingtothePrincipalwithin[number]daysoftermination.7.LIMITATIONOFLIABILITY7.1.Exceptforwillfulmisconductorfraud,neitherpartyshallbeliabletotheotherpartyforanyindirect,incidental,special,orconsequentialdamagesarisingoutoforrelatingtothisAgreement,whetherornotsuchdamageswereforeseeable.7.2.ThetotalaggregateliabilityofeachpartyunderthisAgreementshallbelimitedtotheamountof[specifiedamountorpercentage].8.INDEMNITY8.1.TheAgentagreestoindemnify,defend,andholdharmlessthePrincipal,itsofficers,directors,employees,andagentsfromandagainstanyandallclaims,damages,losses,liabilities,costs,andexpenses(includingreasonableattorneys'fees)arisingfromorinconnectionwiththeAgent'sperformanceornon-performanceofitsdutiesunderthisAgreement,excepttotheextentcausedbythewillfulmisconductornegligenceofthePrincipal.9.FORCEMAJEURE9.1.NeitherpartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisAgreementifsuchfailureordelayisduetocircumstancesbeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,war,terrorism,governmentalaction,ornaturaldisasters("ForceMajeure").9.2.TheaffectedpartyshallpromptlynotifytheotherpartyoftheoccurrenceofaForceMajeureeventandmakereasonableeffortstomitigateitseffects.10.DISPUTERESOLUTION10.1.AnydisputesarisingoutoforrelatingtothisAgreementshallberesolvedthrough友好协商betweentheparties.10.2.Ifthepartiesareunabletoresolvesuchdisputesthrough协商within[number]days,eitherpartymaysubmitthedisputetoarbitrationin[location]inaccordancewiththerulesof[arbitrationinstitution,e.g.,ICC,UNCITRAL].10.3.Thearbitrationawardshallbefinalandbindingonbothpartiesandmaybeenforcedinanycourtofcompetentjurisdiction.11.NOTICES11.1.Allnotices,demands,orcommunicationsrequiredorpermittedunderthisAgreementshallbeinwritingandshallbedeemedtohavebeengivenwhendeliveredpersonally,sentbyregisteredorcertifiedmail,returnreceiptrequested,orsentbyareputableovernightcourierservice.11.2.Noticesshallbeaddressedtothepartiesatthefollowingaddresses:a)Principal:Name:Address:Email:Phone:b)Agent:Name:Address:Email:Phone:Noticemayalsobesenttoanyotheraddressoremailaddressofwhichthereceivingpartyhasnotifiedtheotherpartyinwriting.12.AMENDMENTS12.1.ThisAgreementmayonlybeamendedormodifiedbyawrittenagreementsignedbybothparties.13.GOVERNINGLAW13.1.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateofwithoutregardt
