TheSellerandtheBuyerhaveagreeduponthetermsandconditionsasfollows:

ARTICLE1:LANGUAGEANDUNITOFMEASUREMENT

1.1Contractdocuments,reports,communicationandcorrespondencesbetweentwoContractualparties,requirementsandworkinstructionandallothernoticesshallbedoneinEnglish.

1.2ThemetricdecimalsystemshallbeappliedintheexecutionoftheContract.

ARTICLE2:DEFINITIONS

Inthecontract,thefollowingwordsandexpressionsshallhavethemeaningherebyassignedtothemacceptwherethecontextotherwiserequires:

2.1“Contract”meansagreementsignedbetweentheSellerandtheBuyerincluding:Proforma

invoice,instructions,drawingsandotherdocumentsincludesanyarisingadditions,amendments,agreementsandmodificationsmadeinwritingandsignedbybothparties,whichshouldbeincludedherein.

2.2“Equipment”meansmachines,equipmentssuppliedbytheSelleraccordingtotheBuyer’srequirementsinthisContract.

2.3“Goods”meansall“equipment”anddocumentationofdesign,engineeringand

instructioninerection,operationandmaintenance.

2.4“Instruction”meansthetechnicalinstructions,descriptionsandtechnicaldocuments;technologyprocess,standardsforqualitycontrol,tables,designing,drawings,computerprogramsandotherdocuments,whichshouldbeprovidedduringtheimplementationofthecontract.

2.5“Relatedservices”meansthescopeofworkandservicesstipulatedinthiscontractandcarriedoutbytheSellerasfollows:

2.5.2Instructioninandsupervisionoferection,mechanicaltestandcommissioningperformance

test.

2.5.3TrainingTheBuyer’sworkersandtechnicianstohavefullskillsinoperationandmaintenanceofsuppliedequipment.

2.6“Inspection”meanstheinspectionoftheequipmentbeforeandaftershipmentcarriedoutbytheBuyer’sperson(s).

2.7“Month”and“Day”meansGregoriancalendarmonthandday.

2.8“Year”means365days

2.9“EffectivedateoftheContract”meansthedatedefinedintheArticle20

ARTICLE3:OBJECTOFTHECONTRACTANDTHESELLER’SSCOPEOFSUPPLY

3.1ObjectoftheContract

TheSellercommitstotheBuyercompletethesupplyofmachines,equipmentsandrelatedservicesof1setofDiameter3.2mtwo-stagecoldcoalgasstationasstipulatedinANNEX1-Quotationfor3.2mtwo-stagecoldcoalgasstation(whichisconsideredasanintegralpartofthiscontract).

3.2TheSeller’sscopeofsupply

TheSellerundertakestosupplyequipmentsandrelatedservicesforsaidplant.

Including:

-Machines,equipmentsandoverallsparepartsof3.2mtwostagecoldcoalgasstationandmaterialsforimproving02kilns,02verticaldriersand01sprayerasdescribedANNEX1andANNEX2(whichisconsideredasanintegralpartofthiscontract).

-TheDesignfortheProjectincludingdesignsfortheplantfoundationandequipmentsfoundation,forworkshopandforpipelinesleadingfromgasificationsystemtotheBuyer’s02kilns,02verticaldryersand01sprayer.

-AllservicesbytheSeller’sspecialistsinsideVietnamfortheprojectcoordinationandsupervision,controlcommissioning,start-upandforthetrainingoftheBuyer’spersonnel

ARTICLE4:QUALITY

4.1AlltheGoodsshallbemanufacturedinShandong-China,brand-newandnotbemanufacturingmistakeandbeatfirst-classquality.Thegoodsismanufacturedaccordingtointernationalstandard(ISA)orequivalentstandardappliedincountryoforiginandsuitablewithAnnexesofcontract.

4.2Basingonspecificationofeachequipment,theBuyerhastopayattentiontoenvironmentconditioninVietnam.AllequipmentsmustbesuitablewithtropicalclimateinVietnam.

4.3ThegoodshaveCertificateofQualityandCertificateoffinishedgoodsofmanufacturer

4.4Allweildingpointsofgasifierbody,pipelines,steamdrummustbetestedtochecktheleakingofgasbeforepaintingandpacking.Testingresultsmustberecordedbyphotosandenclosedwithequipments.

4.5Joiningpointsofflangemustbeassembledbyamianggasket

4.6PowerinstrumentsofcontrolsystemmustbeOmronorSiemen.Allcontrolsystemmustbesuppliedenoughofsignalcable,connectioncablefromelectriccabinettoequipments.

4.7Motorsofpressureaddingpumps,waterpumps,airfans,hydraulicoilpumphaveIPindexof≥66

4.8Thematerialsusedforthemanufactureoftheequipmentandworkmanshipthereforeaswellastechnicalexecutionandassemblymustbeofthehighquality.

Allthemainequipments,coalgaspipeline,pressuredevicesmustbeabsolutelysafe.

ARTICLE5:CONTRACTVALUEANDPAYMENTTERMS

5.1Totalcontractvalue:USD

Totalcontractvalueis:

ThetotalcontractvalueisfixedandnotadjustableuntilcompletionofcontractexecutionexceptforchangesspecifiedinArticle17ofthiscontract.

5.2ThepricesasspecifiedareunderstoodtobeDAFHuuNghiQuanport,inaccordancewithINCOTERMS2000byICC,andincludedfollowing:

-Machines,equipments(including:packing,marking,andpainting),listedinthe

Annex1,Annex2whichisconsideredasanintegralpartofthecontract

-20goodtechniciansforinstallationandkilnmodification,operationandtechnologytransferring.

5.3Paymentterms:

5.3.1PaymentshallbeinUSDandshallbemadeinthefollowingway:

5%oftotalcontractvalueequaltoUSDispaidasdownpaymentbyT/Tfromthedateofsigningcontract,thenthecontractcomeintoeffect.

75%oftotalcontractvalueequaltoUSDispaidbyT/TwhenthegoodsarrivesHuuNghiQuanbordergate,beforecustomclearance.

15%oftotalcontractvalueequaltoUSDispaidbyT/TaftersigningFinalAcceptanceofProtocol

5%oftotalcontractvalueequaltoUSDispaidbyT/TafterTheSellersubmitsaCertificateofGuaranteevalued5%totalcontractamountwithvalidityof12monthsfromsigningProtocolofFinalAcceptance(duringguaranteetime).

ARTICLE6:CONDITIONSANDTIMEOFDELIVERY

6.1ThemachinesandequipmentsofF3.2mtwo-stagecoldcoalGasStationwillbemanufacturedafterreceivingthedownpaymentfromthebuyer,theperiodofmanufacturingis40days.Itisestimatedtotake15daysforpackingandtransportingtoHuuNghiQuanbordergate.

6.2TheSellerdeliverstheGoodsonDAFHuuNghiQuanbordergatebasisinaccordancewiththeINCOTERMS2000publishedbyICC.

6.3Partialshipmentisallowed

Transshipment(ifany)isallowed.

6.4ThedateoftheCargosReceiptisconsideredasthedeliverydateofthegoods.

6.5Deliverynotice:

6.5.1AfterthegoodsleavestheSeller'sfactory,theSellerwillinformtheBuyerthetrucksnumbersandthetimewhenthegoodsarrivesHuuNghiQuan.

6.5.2AfterthearrivaloftheGoodsattheHuuNghiQuan-Vietnam,theBuyerhastherighttocheckquantityandqualityofallgoods,theSellercandispatchrepresentativeatsitewheninspecting.

ARTICLE7:PACKINGANDMARKING

7.1TheGoodsshallbedeliveredinstandardpackingforexportgoods.Allequipmentsandpartsmustbemarkedasfollowsandsuitablewithpackinglist:

-Nameofgoods

-Quantityofparts,equipments

-Specification

7.2Thegoods(gasificationequipments)easilydamagedshouldbepackedwithoilpaperwrappingandpolyethylenematerialsasinnerpackaging,outerpackingshouldbeusedpackingbox.

Bigparts,superbigpartsandirregularformpartsshallbepackedsuitablewiththetransportationbytruck.

7.3Thevolumeandweightofthesinglepackingboxshallbesuitableforloadingandtransportingbycrane,autocars,trucks,andmanpower.

7.4Beforepackingtheappropriateantirustandprotectivemeasuresforthegoodsaretobetakeninordertoprotectthemfromdamagesorcorrosion.accordingtotheseller’srequirement.

7.5TheSellershalldelivertotheBuyer,togetherwiththeGoods,theinstructionhandbooksrelevanttothepurchasedequipmentandmustspecifythenumberofboxesineachcontainer.

7.6Themarkingmustbeclearlydoneinindeliblepaint,andnotlessthanfive(5)centimeters,unlessrestrictedbythesizeconspicuouslymarkonthesiteofthepackageappropriateinternationalmarksaccordingtodifferencecharacteristicsandtherequirementfortransportation,loadingandunloadingoftheGoods.

ARTICLE8:TECHNICALASSISTANCEFORERECTION,MACHINETESTANDCOMMISSIONINGPERFORMANCETESTFORACCEPTANCEOFTHEPLANT

8.1TheSellerhastosend20goodexperiencedtechnicianstothefactoryforinstallation,kilnsmodification,operationandtechnologytransferring.Totaltimeis45days.

8.1.1BeforecomingtoVietnamfortechnicalservice,theSellermustsendtothefactoryalltechnicaldocumentswhichare2setsinEnglishincludingallinformationandinstructionsrelatedtothenecessarytoolsandequipmentsforinstallationandoperationaccordingtoarticle11.4statedbelow.

Operationprocessincludesfollowings:

-ProcessofUnloadingtestoperation

-ProcessofLoadingtestoperation

-ProcessofProblemhandling

-ProcessofOperationstatechange

-ProcessofChemicaltest

-ProcessofSafetyatoperation

8.2.2Beforeerection,packagesshallbeopenedforcheckingwiththepresenceofthefactoryandtheSeller’srepresentatives.Incasecomponentsmentionedinthepackinglistsarefoundmissingordamaged,areportsignedbytheFactory’sandtheSeller’srepresentativesshallbemade,alsogivingdetaileddescriptionsofthepackagesatthetimeofchecking.

8.2.3Beforetheerectionworkbegins,theSeller’stechnicalpersonnelshallgivedetaileddescriptionsofthemethodsandrequirementsoftheerection.Duringtheerection,thetechnicalpersonnelshallgivetechnicalinstructionstotheerectionworkandtakepartintheinspectionandtestoferectionqualityofalltheequipment，ImportanttechnicalinstructionsbytheSeller’stechnicalpersonnelshallbesubmittedinwrittenform.

8.2.4Aftertheaccomplishmentoferection,therepresentativesofbothpartiesshallmakeinspectionandsigntheCertificateofCompletingtheinstallation.

8.3Machinetestandcommissioningperformancetest(in2-3days)

8.3.1AftersigningtheCertificateofCompletingtheInstallation,bothpartiesshallcarryoutnoloadtest.Acertificateforthetestrunwillbesignedbytherepresentativesofbothpartieswhichinclude:

+Testingthemovementofthesinglestandardmachine.

+Testingallmechanicalandelectricalconnections.

8.3.2Aftertheaccomplishmentofthetestrun,themachinerywillbeputintoloadtestoperation.

8.3.3Beforestartingthecommissioning,theFactoryshallmakeavailablesufficientskilledpersonnelincludingthepersonnelforoperation,maintenance,testingandlocalsupply.

8.3.4Withinthefollowing7daysfromthesuccessfulcompletionoftheperformancetest,the

FactoryandtheSellerwillsigntheProtocolofFinalAcceptancebasingonthetechnicalspecificationsmentionedinAnnex3.

ARTICLE9:INSURANCE

TheSellershallbuyinsurancepolicyfortheGoodsinsideChinaunderthecontractfor

110%PCT(onehundredandtenpercent)ofthetotalinvoicevalue,coveringallrisks.

ARTILCE10:GUARANTEE

10.1TheSellershoulddesignandmanufacturetheequipmentsaccordingtotechnicaldrawings

andrelatedstandardsofP.R.China.

Theguaranteeperiodfortheplantshallbetwelve(12)monthsafterinstallation.Duringthisperiod,theSellerundertakestosupplythenewequipmentorsparepartsforrepairandreplacementofdamagedpartsand/ormachinesduetofaultsindesignsand/ormanufacturingattheSeller’scost.

10.2TheBuyermustpromptlyinformtheSellerinwrittenformofanypossibleproblemsarisingformthisguarantees.

10.3Within10daysfromreceivingnoticeoftheBuyer,theSellershouldsendexpertstoBuyer’splantformaintenanceandreplacementduetodesignandmanufactureerrors.Ifover10daysfromreceivingnoticeoftheBuyertheSellerdoesnotsendexpertsor/andconcernedmaterialsforrepairing,theBuyercangoaheadrepairingbythemselve.AllconcernedrepaircostswillbepaidbytheSellerwithoutcomplaint.

10.4TheSellerhastosendtotheFactoryaCertificateofGuaranteevalued5%totalcontractamountthroughtheBuyer’sbankassoonassigningtheFinalprotocolofAcceptance.

ARTICLE11:OBLIGATIONSOFTHESELLER

TheSellerundertakestofulfillallhisContractualobligationsasfollows:

11.1Tosupplyallmachines,equipmentandrelatedservicesfortheplantinaccordancewithANNEX1“Φ3.2m×1two-stagecoldcoalgasstationquotationlist”insufficientquantities,qualityandtypes.

11.2Toestablishatimingscheduleimmediatelyaftereffectivedateofcontractastheagreementreachedbybothsides,whichsecuresthecontract.Andthistimingschedulewillruletheperformanceofthecontract.

11.3TosupplyequipmentsaccordingtothecontractonthebasisofDAFHuuNghiQuanportinconformitywithArticle6ofthiscontract.TheSellerisalsorequiredtostateclearlythefollowings:

●Originandtechnicalspecificationsofeachequipment.

●Timingscheduleofdelivery

●Drawings,cataloguesandnecessarycertificates

11.4TheSellerwillhavetoprovidetheBuyerthefollowingtechnicaldataanddrawingseachin3copiesinordertoallowtheBuyertoprepareworkforconstruction,assemblingandcommissioningoftheequipmentasfollows:

●Drawingsfortheconstructionoffoundationandworkshopofthemachinery,designsofthepipelinefromthestationtotheBuyer’s2kilns,02verticaldriersand01sprayerwithin10daysfromthedateofsigningcontract.

●Technicaldatarelatingtotheusingofelectricalpower,water,compressedairwithin10daysfromthedateofthiscontractcomingintoforce.

●AllinstructionmanualsofthemachinessuppliedbytheSellerwithin10daysfromthedateofthiscontractcomingintoforce.

ARTICLE12:OBLIGATIONSOFTHEBUYER

TheBuyerundertakestofulfilallhisContractualobligationsasfollows:

12.1ToprovidetheSellerwithbasisandnecessarydataanddocumentssignedbytheBuyerandrelatedtotheplantfortheSeller’sdesigningandsettingupthelistofequipmentandmaterialsfortheplant.TheBuyeristoberesponsibleforthecorrectnessofthedocuments.

12.2TocarryoutalltheimportproceduresandothernecessarypermitsandapprovalbyVietnamgovernmentforsigningandimplementingthecontract.

12.3Afterreceivingallgoods,theBuyershouldinformtheSeller15daysaheadofinstallationsothattheSellercouldtransactvisaandothernecessaryprocedures.

12.4Toclearplacefortheerectionsite,arrangethenecessaryequipment,materialsandmanpowerrequiredfortheworkandmakepossiblethebeginningoftheerectionaccordingtothetimingscheduleagreedbybothparties.TheBuyermuststrictlycomplywithdesigndocumentsprovidedbytheSellersinordertomakesurequalityofinstallation

ToguardtheerectionsiteandgoodsthataredeliveredandmaterialsfortheSeller’sExpert(s)work.Ifanyequipmentsandmaterialwerelost,theBuyerwouldtakeallresponsibilities.

Someequipmentseasilydamagedbyhumidityandforce,easilyfragileshouldbekeptinroom.

TheBuyershouldtakemeasuretomakesurepersonalsafetyatworkoftechniciansatthesellersideandtheirpossessions.

Toprovidethelaborsforcetofulfillthenecessaryrequirementsastofollowthetimingschedule.IfthelaborsforceisnotsatisfactorytotheSeller,thelostcostbydelayofexecutionshouldbebornebytheBuyer.

12.5ToassisttheSeller’sexpertstocarryoutnecessaryentryproceduressuchasentryvisa,permitforworking,etc.tocometoVietnam.

12.6ToassisttheSeller’sexperts,incaseoftheirillnessandaccident,accesstomedicalfacilities,theMedicalexpensesshouldbebornebytheSeller.

12.7TheBuyerwillbearsafetywearsfortheSeller’stechniciansduringtheyworkinVietnam.

12.8Toprovideconstantrawmaterialsforoperationoftheplant.

12.9Toprovidenecessarystoragefacilitiesforstoringprocessequipmentandothererectionmaterialsduringerectiontime.

Forthetechnicalassistance,theBuyerwillbear:

+FeesfortransportationinsideVietnamforinstallation,operationandperformance.TheBuyerwillpickuptheSeller’stechniciansattheairport(incaseoftravellingbyair)oratVietnam-Chinaborder(incaseoftravellingbyroadorbytrain)

+Costforaccommodation:TheBuyerwillrentahousewhichisneartheBuyer’sfactoryfortechnician.Breakfasts,lunchesanddinnerswillbetakenintheBuyer’sfactory’scanteen.

+Pocketmoneyfortechnicianis10USDperdayforeachperson

ARTICLE13:FORCEMAJEURE.

13.1AlloccurrencesandcircumstanceswhichhappenaftertheContracthascomeintoforceduetounforeseenandunavoidablefactsofanextraordinarycharacterbeyondthewillandcontroloftheContractingpartiesheretosuchasfire,naturalcalamity,war,strikeetc...andwithdirectlyaffectthefulfillmentofthewholeand/orpartoftheContractualobligationsaretobeconsideredascasesofFORCEMAJEURE.

13.2IfthecontactcannotbeputintoeffectduetoFORCEMAJEURE,thecontractshallautomaticallybeextendedwithanewannex.

13.2.1Thepartywhocannotcarryoutcontractduetoforcemajeureshallinformtheotherpartythereofbyfaximmediatelybutnotmorethantwenty(20)daysafterthecommencementofsuchforcemajeureandterminationthereofandconfirmitwithinseven(07)daysofthedateofsuchfaxbyregisterede-mailletter.

ARTICLE14:TAXESANDDUTIES

WhentheSellerintendstobringallnecessaryinstruments,materialsandequipmentintoVietnamfortheirperformance,theymustnotifytheBuyerofitandbeacceptedinadvancebytheBuyerinorderthattheBuyercanarrangethecustomsformalitiesfortemporaryimportation.

AlltaxesandotherdutiesduetoperformanceofthiscontractincurredoutsideofVietnamshallbeattheSeller’scharge,anyoneincurredinsideofVietnamshallbeatBuyer’scharge.

ARTICLE15:CONFIDENTIALTREATMENTANDSECRECY

TheSellerretaintheownershipofstudies,drawings,modelsandanydocumentsissuedandcommunicatedtotheBuyer,orofwhichtheBuyermayhavehadknowledgeinfulfilmentofthecontract.SuchinformationanddocumentsmaybeusedbytheBuyerandexclusivelyforexecutionoftheContract.

Thesedocumentsandinformation(includingthecontentofthecontract)shallbetreatedasconfidentialandshallnotbedistributed,publishedorgenerallycommunicatedtoanythirdpartieswithoutpriorpermissioninwritingbytheSeller.

TheSellershallretaintheexclusiveownershipofthestudiesperformedbythesame,orbyitsrepresentativesorsubcontractors,forexecutionofthecontract.

ARTICLE16:CONCILIATION,ARBITRATION

16.1Conciliation

Ifatanytimeduringthevalidityofthiscontractanyquestion,disputeordifferenceshallarisebetweentheparties,eitherpartyshall,assoonasreasonablypracticablegivetootherpartynoticeinwritingoftheexistenceofsuchquestion,disputeordifferencespecifyingitsnatureandpointatissue.Thepartiesshallsettlesuchmatteramicablyfirst.

16.2Arbitration

Allthedisputesarisingfromand/orbythiscontractshallbefinallysettledaccordingtotherulesofConciliationandArbitrationoftheInternationalChamberofCommerce.TheplaceoftheArbitrationshallbeinVietnamInternationalEconomicandTradeArbitrationCommission.

Thearbitratorsareauthorizedtojudgeimpartiallyandtheirjudgementshallbefinalconclusiveandbindingonthepartieshereto.

ThecostofarbitrationshallbesharedasdeterminedbytheArbitrator(s).

ARTICLE17:CHANGEANDAMENDMENTOFCONTRACT

17.1Changeofcontract

TheBuyercansendtotheSellernoticesofchangeforthecontractasfollows:

-Extendingthesupplyofgoodsandservices

-Designdrawingsandspecificationofgoodsaccordingtothecontract

-Transportingandpackagemethod

-Deliverytimeandservicessupplytime

17.2Amendmentofcontract

IftheamendmentofcontractisthereasonofincreaseordecreaseofcostsandtimefortheSellertoproceedanyworksaccordingtocontract,thecontractvaluewillbeamendedaccordingly.
