甲方（承接方）:PartyA(Host):地址:Address法定代表人:LegalRepresentative乙方（投资运行方）:PartyB(Investor/Operator):地址:Address法定代表人:LegalRepresentative鉴于:Whereas1.甲方期望经过借助国际马拉松赛事影响力提升城市著名度,起到良好宣传作用,故与乙方签订本战略合作协议。PartyAisdesirousofpromotionofcity’sfameandpopularitythroughinternationalmarthonandplayagoodpublicityroleinpropaganda,soenterintothisstrategiccooperationagreementwithpartyB.2.乙方是意在为跑者提供跑步运动服务、赛事组织、赛事运行服务等一系列增值服务企业,而且乙方在运行马拉松赛事方面含有丰富成功经验。PartyBisaprofessionalcompanywhichaimstoproviderunnerswithaseriesofvalue-addedserviceincluding,interalia,runningsportsservices,theorganization/operationofcompetitions,withrichsuccessfulexperienceinmarathonoperation.为此,在遵照自愿、公平标准基础上,经友好协商,甲乙双方依据《中国协议法》和《中国体育法》要求,就共同举行以甲方为承接单位、乙方为赛事运行与推广方马拉松事宜,达成合作协议,共同遵照实施。NOWTHEREFORE,partieshereto,onthebasisoftheprincipleofvoluntarinessandfairness,throughamicablenegotiation,inaccordancewiththeContractLawofthePeople'sRepublicofChinaandtheSportsLawofthepeople'sRepublicofChina,havereachedacooperationagreementonjointlyorganizingthemarathoninwhichpartyAasthehostandpartyBastheoperatorandpromoter.Itisherebyagreedasfollowsforabideby:一、赛事概况GeneralView1．赛事项目:男女全程马拉松、半程马拉松、一万米跑、五千米跑和健身跑。RaceItems:Male/female’smarathon,Halfmarathon,10,000meters,5,000metersandfitnessrun.2．举行地和规模:HostPlaceandPlayersNumber3．赛事名称及赞助冠名:国际马拉松赛。具体比赛名称和赞助冠名能够由甲方与乙方协商一致后另行确定。RaceNameandSponsorshipTitle:InternationalMarathon.Specificcompetionname/sponsorshiptitlemaybedeterminedthroughconsensusofconsultationbetweenpartieshereto.4．主办单位:;承接单位:;赛事运行与推广:Organizer:;Host:;Operation/Promotion:5．竞赛措施:根据中国田径协会审定最新田径竞赛规则和本届马拉松赛竞赛规程实施。Competitionmethods:asperthelatestTrack/FieldRulesapprovedbyChinaAthleticsAssociationandthisyear’smarathoncompetitionrules.6.比赛举行时间:。本届赛事完成以后其她场次比赛举行时间（每年最少一届）,由甲方与乙方协商一致后再行确定。CompetionTime:.Theholdingtimeforothermarathonmatchessubsequenttothiscompetition,atleastonceayear,willbedeterminedbyconsensusagreementbewteenpartyAandpartyB.7.参赛规模:全程马拉松项目7,000人,半程马拉松项目8,000人,健身跑项目5,000人,累计20,000人。Participationscale:marathon7,000people,halfmarathon8,000people,fitnessruning5,000people,total20,000people.二、合作方法CooperationMeans1.甲方作为赛事承接方,为赛事提供所必需政府公共资源,并委托乙方负责该赛事及相关系列活动运行和推广工作。PartyA,asthehostofmarathon,shallprovidethenecessarygovernmentpublicresourcesforthecompetition,andentrustpartyBwiththeresponsibilityfortheoperationandpromotionofthecompetitionandrelatedactivities.2.乙方负责赛事运行和推广工作并负担以下费用（赛事实施、赛事物料、赛事设备、赛事公关、赛事前中后期宣传推广、工作人员差旅费、嘉宾邀请费用等）。PartyBshallberesponsiblefortheoperationandpromotionofthecompetitionandshallundertakethefollowingcostsandexpenses(theexecution,material/equipment,publicrelations,propagandaofpre-andpost-competion,stafftravelfees,guestinvitationexpense,etc.)三、收益分配、账户管理和审计ProceedsDistribution,BankAcountandAutit1.赛事营运和广告推广过程中所取得收益,甲方分配%;乙方分配%,税收各自缴纳。赛事相关名称、标识、音像资料等知识产权归双方共同全部。TheproceedsfromtheoperationandadvertisingpromotionwillbedistributedasthatpartyA’sdistributionis%;partyB’sdistributionis%andtaxesarepaidseparatelybyeachparty.Theintellectualpropertyrightsoftitle,logo,audio/videodataandotherwithrespecttothismarathonwillbejointlyownedbypartieshereto.2.本届赛事设置专门银行账户,由甲乙双方共同监管。乙方投入资金、赞助广告收入和选手报名费均应进入专门账户。赛事结束全部收入和开支进行必需审计。Aspecialbankaccountshallbeestablishedforthismarathoncompetitionwhichbesupervisedjointlybypartieshereto.ThefundsinvestedbypartyB,revenuesfromsponsoradvertismentandplayer’senterfeeandotherincomeshallinterintothebankaccount.Theauditsofallrevenueandexpenseswillbenecessaryattheendofcompetition.3.乙方在该赛事相关商业收入与甲方进行分配时,甲方有权派出相关财务人员对赛事收益进行审计。PartyAisreservetherightofconductingauditontheproceedsofcompetitionbyitsfinancialpersonnelatthetimeofdistributionofcommercialrevenuewithrespecttothiscompetitionbetweenpartyAandpartyB.四、甲方权利和义务PartyA’sRightsandLiabilities1．负责赛事相关报批、立案等赛事审批工作,并在取得中国田径协会相关举行赛事同意函后10日内向乙方提供副本。Beingliableforsubmissionofapproval,filekeepingandotherissuesconcernedthemarathon,andshall,within10dayssubseqenttoacquirementofAPPROVALfromChinaAthleticsAssociation,providepartyBwithacopyofAPPROVAL.2．负责赛事组织委员会相关职能部门筹备工作,包含实施比赛日程计划及相关工作人员安排。BeingresponsibleforthepreparationofthetelevantfunctionaldepartmentsoftheOrganizingCommittee,includingtheimplementationofthecompetitionscheduleandrelatedstaffarrangements.3．负责赛事期间安全保卫、交通管制、秩序维护、应急处理、卫生监督、医疗救护、消防安监等赛事保障工作。Intheperiodofcompetition,beliablefortheworksofsafetyandsecurity,trafficcontrol,ordermaintenance,emergencyhandling,healthsupervision,medicalrescue,firefightingandsoon.4.邀请政府相关领导参与开幕式、颁奖仪式等活动,安排甲方邀请嘉宾及相关工作人员在赛事期间住宿、交通等。甲方为乙方邀请和接待国外运动员、媒体记者等提供多种必需帮助和协调,包含办理出入境手续等。Invitationandreceptionofrelevantgovernmentleadersandofficialsofinternationalorganizationstoattendtheopeningceremony,awardceremonyandotheractivities,inaddtiontoarrangetheaccommodation/trafficandnecessaryservicesfortheguestsandstafftherewithinvitedbypartyAintheperiodofcompetition.PartyAprovidesthenecessaryassistanceandcoordinationofpartyB’sinvitationandreceptionofforeignplayersandmediareporters,include,interalia,handlingexitgandentryformalities,etc.5.PartyAshallenjoytherightofincomedistributionofinternationalmarathon.甲方享受国际马拉松赛事收益分配权。五、乙方权利和义务PartyB’sRightsandLiabilities1．合约期内,乙方负责赛事市场开发,每年投资不少于元（包含筹集赛事运行和推广工作所需资金和赞助）。PartyBshall,intheperiodofcontract,beliableformarketdevelopmentwithannualinvestmentnotlessthanYuanRMB,includingthenecessaryfundsfortheoperation/promotionofthecompetitionandsponsorship.2．乙方在马拉松赛事举行和运行过程中,应对城市经济发展做出贡献,包含招商引资、促进旅游、餐饮住宿、商品采购和城市著名度提升等活动。PartyBshall,intheprocessofholdingandoperationofmarathon,makeacontributiontotheeconomicdevelopmentofcity,includeinteralia,attractinginvestment,promotingtourists,cateringandaccommodation,commodityprocurementandraisingcitypopularity.3.负责编制及实施本赛事策划方案、预算方案等,包含市场开发方案、招商方案、活动方案、媒体整合方案等工作。相关马拉松赛事宣传推广、广告赞助、比赛现场装饰搭建等事宜,经甲方书面同意后,乙方能够委托给第三方企业代为实施。Beingliableforthepreparationandimplementationoftheschedulesofplansandbudget,etc.includinginteralia,suchschedulesofmarketdevelopment,attractingmerchant/investment,activities,mediaintegrationandother.PartyBmay,withthewrittenconsentofpartyA,entrustthethirdpartytomaketheimplementationofthepropagandapromotion,advertisingsponsorship,competitionon-sidedecorationconstructionandotherworks.4.负责竞赛组织方案策划、编制及实施工作,包含:Responsiblefortheorganizationplanning,preparationandimplementationofcompetition,including:（1）赛事运行和报名系统软件和网站开发、使用及各项步骤数据统计工作;Thedevelopmentandusageofthesoftwareandwibesiteforcompetionoperation/registrationsysteminadditiontothedatastatisticsinwholeprecedures.（2）赛事运行和宣传广告用具采购、现场装饰搭建布展;制作、发放、销售奖牌,奖杯,证书,纪念品,赛事包,参赛服等。Theprocurementofmaterialsfortheoperationandpropagada/advertisment,on-sitedecorationofexhibition;Make,issueandsellmedals,trophies,certificates,souvenirs,player’sbag,athletescostumesandother.（3）比赛期间车辆安排和摆渡车线路计划、起终点功效区计划、赛时步骤安排;志愿者岗位职责计划、赛前培训及管理组织志愿者。Thearrangementofvehicleandplanningofferryrouteintheperiodofrace;planningoffunctionzonesofstart/finish;arrangementofracetimeschedule;planningofvolunteer’spostliabilities;pre-racetrainingandmanagementofvolunteers.5.乙方享受国际马拉松赛事共年全部运行权、商业开发权和收益分配权。PartyBshallenjoythefullrightsofoperation,commercialdevelopmentandincomedistributionoftheinternationalmarathonforatotalofyears.六、保密Confidentiality协议使用期内,双方应采取合适方法对本协议项下任何资料或信息给予严格保密,未经一方书面同意,另一方不得泄露给任何第三方。Withinthevalidityperiodofcontract,partiesheretoshalltakepropermeasurestokeepthematerialsorinformationstrictlyconfidential.Theotherpartyshallnotdiscloseordivulgetoanythirdpartywithoutpriorwrittenconsentofoneparty.七、报批SubmissionforApproval相关推行本协议所需办理相关管理机构报批、报备手续,各方应根据本协议约定工作分工各自负责相关报批、报备程序中具体工作。假如由乙方作为申报主体报批、报备手续,甲方应该在行政职权范围内给予必需帮助。Withregardtotheapprovalandfilingproceduresoftherelevantadministrativeauthotitieswhichrequiredfortheperformancehereof,eachpartyheretoshall,aspertheagreementherein,beresponsibleforcompletionofitsspecificworkwithrespecttotheapprovalandfilingprocedures.ProvidedthatpartyBwillbeaprinciplepartofapplicationforapprovalandfilingprocedures,partyAshallrendernecessaryassistancewithinscopeofitsadministrativeauthority.八、违约责任ResponsibilitiesforBreach甲方承诺在合作期限内本协议项下所包含赛事项目仅与乙方独家合作;乙方承诺将根据协议约定目标和规模运行该赛事。假如甲方违约,应向乙方支付违约金美元;假如乙方违约应向甲方支付违约金元。PartyAundertakes,intheperiodofcooperation,tocooperateexclusivewithpartyBonthecompetitionprojectwhichisconcernedherewith;andpartyBundertakestooperatethiscompetionaspertheobjectivesandscaleagreeduponherein.WherepartyAbreachthecontract,shallpaypartyBapenaltyinUSdollars;andpartyBbreachthecontract,shallpaypartyAapenaltyofinUSdollars.九、适使用方法律及争议处理ApplicableLawandSettlementofDispute1．本协议签署、效力、解释及实施,均适用中国法律。Thesignature,validity,interpretationandexecutionhereofshallbegovernedbythelawsofthepeople'sRepublicofChina.2．甲乙双方应严格遵守本协议要求,并推行各自义务。假如因推行本协议而产生任何争议,双方应该友好协商处理;如协商不成或任何一方不愿协商,任何一方均可向被告所在地含有管辖权法院提起民事诉讼。Partiesheretoshallstrictlyabid
