1.ContractParties

4.ProjectSchedule

Theprojectshallmenceonmencementdate].PartyBshallsubmitadetailedconstructionplantoPartyAforreviewandapprovalatleast[numberofdays]daysbeforethemencementdate.

4.2CompletionDate

Theprojectisscheduledtobepletedonpletiondate].PartyBshalluseitsbesteffortstoensurethattheprojectispletedwithinthescheduledtime.AnydelayinpletionshallbesubjecttotheprovisionsofthedelayclauseinthisContract.

4.3Milestones

5.QualityRequirementsandInspection

5.2InspectionandTesting

PartyAshallhavetherighttoinspectandtesttheprojectduringtheconstructionprocess.PartyBshallprovideallnecessaryassistanceandaccessforsuchinspectionsandtests.

PartyBshallconductselfinspectionsateachstageoftheworkandsubmitinspectionreportstoPartyA.AnyqualityproblemsdiscoveredduringtheselfinspectionsshallbepromptlyrectifiedbyPartyB.

Uponpletionoftheproject,PartyBshallnotifyPartyAinwriting.PartyAshallorganizeaformalacceptanceinspectionwithin[numberofdays]daysafterreceiptofthenotice.Iftheprojectfailstopasstheacceptanceinspection,PartyBshallberesponsibleformakingthenecessarycorrectionsandresubmittingtheprojectforinspectionuntilitmeetstherequirements.

6.RightsandObligationsoftheParties

6.1RightsandObligationsofPartyA

Rights:

Toreviewandapprovetheprojectplans,designs,andconstructionmethodssubmittedbyPartyB.

ToinspectandtesttheprojectduringtheconstructionprocessandrequirePartyBtomakecorrectionsifanyproblemsarefound.

ToreceiveprogressreportsfromPartyBonaregularbasis.

ToterminatethecontractinaccordancewiththeprovisionsofthisContractifPartyBfailstoperformitsobligations.

Obligations:

ToprovidePartyBwiththenecessaryinformationandassistancerelatedtotheprojectinatimelymanner.

TomakepaymentstoPartyBinaccordancewiththepaymenttermsofthisContract.

Tocoordinatewithrelevantpartiesandobtainthenecessaryapprovalsandpermitsfortheproject.

6.2RightsandObligationsofPartyB

Rights:

ToreceivepaymentsfromPartyAinaccordancewiththepaymenttermsofthisContract.

TorequestPartyAtoprovidenecessaryinformationandassistancerelatedtotheproject.

Obligations:

Toperformtheprojectinaccordancewiththecontractdocuments,includingbutnotlimitedtotheprojectscope,qualitystandards,andprojectschedule.

ToprovidePartyAwithregularprogressreportsandnotifyPartyAinatimelymannerofanypotentialproblemsordelays.

Toensurethesafetyoftheconstructionsiteandtakeallnecessarymeasurestopreventaccidentsandenvironmentalpollution.

Toberesponsibleforthequalityoftheprojectandmakecorrectionsatitsownexpenseiftheprojectfailstomeetthequalitystandards.

ToindemnifyPartyAagainstanylossesordamagesarisingfromPartyB'sbreachofthisContract.

7.ChangesandVariations

7.1ChangeProcedures

Ifeitherpartywishestomakeachangetotheprojectscope,design,orotheraspectsofthecontract,itshallsubmitawrittenchangerequesttotheotherparty.Thereceivingpartyshallreviewtherequestwithin[numberofdays]daysandrespondinwriting.Ifbothpartiesagreetothechange,theyshallsignachangeorderspecifyingthedetailsofthechange,includingtheimpactonthecontractpriceandschedule.

7.2AdjustmentofContractPriceandSchedule

Anychangestothecontractshallresultinanappropriateadjustmentofthecontractpriceandschedule.Theadjustmentshallbedeterminedthroughnegotiationbetweenthepartiesbasedontheactualimpactofthechange.

8.DelaysandForceMajeure

8.1Delays

IfPartyBfailstopletetheprojectwithinthescheduledtimeduetoitsownreasons,itshallberesponsibleforanylossesanddamagescausedtoPartyAasaresultofthedelay.PartyBshallpayliquidateddamagestoPartyAattherateof[amount]perdayofdelay.

IfPartyAcausesdelaysintheprojectduetoitsownreasons,suchasfailuretoprovidenecessaryinformationorapprovalsinatimelymanner,PartyAshallberesponsibleforanylossesanddamagescausedtoPartyB.PartyAshallpensatePartyBfortheadditionalcostsandlossesincurredasaresultofthedelay.

8.2ForceMajeure

NeitherpartyshallbeliableforanyfailuretoperformitsobligationsunderthisContractduetoforcemajeureevents,suchasnaturaldisasters,wars,strikes,governmentactions,etc.

Intheeventofaforcemajeureevent,theaffectedpartyshallnotifytheotherpartyinwritingassoonaspossibleandprovidedetailedinformationabouttheevent.Thepartiesshallthennegotiatetodeterminetheimpactoftheforcemajeureeventontheperformanceofthecontractandtakeappropriatemeasurestominimizethelosses.

9.WarrantyandAfterSalesService

9.1WarrantyPeriod

PartyBshallprovideawarrantyperiodfortheproject.Thewarrantyperiodshallmencefromthedateofacceptanceoftheprojectandshallbe[numberofmonths/years]induration.

9.2WarrantyObligations

Duringthewarrantyperiod,PartyBshallberesponsibleforrepairingorreplacinganydefectivepartsorponentsoftheprojectatnocosttoPartyA.PartyBshallrespondtoPartyA'swarrantyrequestswithin[numberofdays]daysafterreceiptandshallpletetherepairorreplacementworkwithin[numberofdays]days.

9.3AfterSalesService

Aftertheexpirationofthewarrantyperiod,PartyBshallprovideaftersalesservicetoPartyAuponrequest.PartyAshallpayPartyBfortheaftersalesserviceattheagreedrate.

10.Confidentiality

10.1ConfidentialInformation

BothpartiesacknowledgethatduringtheperformanceofthisContract,theymayhaveaccesstoconfidentialinformationoftheotherparty,includingbutnotlimitedtoprojectplans,designs,businesssecrets,customerinformation,etc.

10.2ConfidentialityObligations

Eachpartyshallkeepconfidentialallconfidentialinformationoftheotherpartyandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.ThisobligationshallsurvivetheterminationofthisContract.

11.IntellectualPropertyRights

11.1OwnershipofIntellectualProperty

Allintellectualpropertyrightsrelatedtotheproject,includingbutnotlimitedtodesigns,patents,trademarks,etc.,shallbeownedbythepartythatcreatesormissionsthecreationofsuchintellectualproperty,unlessotherwiseagreedinwriting.

11.2LicenseandUse

BothpartiesshallhavetherighttousetheintellectualpropertyrightsoftheotherpartyonlyforthepurposeofperformingthisContract.AnyunauthorizeduseordisclosureofintellectualpropertyrightsshallbeabreachofthisContract.

12.Termination

12.1TerminationbyAgreement

BothpartiesmayterminatethisContractbymutualwrittenagreement.

12.2TerminationforBreach

IfeitherpartybreachesthisContractandfailstocurethebreachwithin[numberofdays]daysafterreceivingwrittennoticefromtheotherparty,thenonbreachingpartyshallhavetherighttoterminatethisContract.

Intheeventofterminationforbreach,thebreachingpartyshallberesponsibleforpensatingthenonbreachingpartyforalllossesanddamagescausedasaresultofthebreach.

12.3ConsequencesofTermination

UponterminationofthisContract,bothpartiesshallimmediatelyceaseallworkrelatedtotheproject,exceptasrequiredtoprotecttherightsandinterestsofeitherparty.PartyBshallsubmitafinalaccounttoPartyAwithin[numberofdays]daysaftertermination,andPartyAshallmakethefinalpaymenttoPartyBinaccordancewiththeaccount.

13.DisputeResolution

13.1Negotiation

IntheeventofanydisputesarisingoutoforinconnectionwiththisContract,thepartiesshallfirstattempttoresolvethedisputesthroughfriendlynegotiation.

13.2ArbitrationorLitigation

Ifthenegotiationfails,thepartiesmaychoosetoresolvethedisputeseitherthrougharbitrationorlitigation,asfollows:

Arbitration:Thepartiesshallsubmitthedisputesto[arbitrationinstitution]forarbitrationinaccordancewiththearbitrationrulesoftheinstitution.Thearbitrationawardshallbefinalandbindingonbothparties.

Litigation:Thepartiesmayfilealawsuitinthe[court]withjurisdictionoverthedisputes.
