INDEMNIFICATION:

1.TheEmployershallindemnifyandholdtheExpertharmlessfromanyandallclaims,liabilities,damages,losses,andexpensesarisingoutoforinconnectionwiththeExpert'sperformanceofdutiesunderthisAgreement.

2.TheExpertshallindemnifyandholdtheEmployerharmlessfromanyandallclaims,liabilities,damages,losses,andexpensesarisingoutoforinconnectionwiththeExpert'sbreachofanytermorconditionofthisAgreement.

DISPUTERESOLUTION:

1.AnydisputearisingoutoforinconnectionwiththisAgreementshallberesolvedthroughamicablenegotiationsbetweentheParties.

2.IfthePartiesfailtoresolvethedisputethroughnegotiations,thedisputeshallbesubmittedto[DisputeResolutionMechanism]forresolution.
