TheBuyershallpaytheSupplierthePricefortheGoodswithin[insertnumberofdays]daysfromthedateofinvoice.

3.Delivery

TheSuppliershalldelivertheGoodstotheBuyeratthelocationspecifiedinExhibitA(hereinafterreferredtoas“theDeliveryLocation”)withinthetimeframespecifiedinExhibitA(hereinafterreferredtoas“theDeliveryDate”).

TheSuppliershallberesponsibleforalltransportationanddeliverycostsassociatedwiththeGoods.

4.QualityandCompliance

TheSupplierwarrantsthattheGoodsshallcomplywiththespecifications,standards,andrequirementssetforthinExhibitA.

TheSuppliershallprovidetheBuyerwithawarrantyfortheGoodsforaperiodof[insertnumberofdays]daysfromthedateofdelivery.

5.IntellectualPropertyRights

TheSupplierherebyassignstotheBuyerallright,title,andinterestinandtoanyandallintellectualpropertyrightsrelatingtotheGoods,includingbutnotlimitedtopatents,copyrights,andtrademarks.

6.LimitationofLiability

TheSupplier’sliabilityforanybreachofthisContractshallbelimitedtothereplacementorrepairoftheGoodsortherefundofthePricepaidbytheBuyer,attheSupplier’ssolediscretion.

TheSuppliershallnotbeliableforanyindirect,special,orconsequentialdamagesarisingoutoforinconnectionwiththisContract.

7.GoverningLawandJurisdiction

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[insertjurisdiction].

8.EntireAgreement

3.Buyer’sRightsandObligations

a.TheBuyershallhavetherighttorequesttheSuppliertoprovidesamplesoftheGoodspriortothefinalorder;

b.TheBuyershallhavetherighttoinspecttheGoodsupondeliveryandtorejectanyGoodsthatdonotconformtotheContract;

c.TheBuyershallhavetherighttoterminatetheContractintheeventofamaterialbreachbytheSupplier;
