2025外贸合作合同英语口语对话2025FOREIGNTRADECOOPERATIONCONTRACTThisContract(the"Agreement")isenteredintoasof,2025,byandbetween(the"PartyA"orthe"Exporter"),acompanyincorporatedunderthelawsof,withitsprincipalplaceofbusinessat,and(the"PartyB"orthe"Importer"),acompanyincorporatedunderthelawsof,withitsprincipalplaceofbusinessat.1.Recitals1.1PartyAisengagedinthebusinessofmanufacturingandexportingvariousproducts,includingbutnotlimitedto(hereinafterreferredtoasthe"Products").1.2PartyBisengagedinthebusinessofimportingProductsanddistributingthemwithinitsterritory.1.3The双方wishtoestablishalong-termcooperativerelationshipbasedonmutualrespect,trust,andcompliancewithapplicablelawsandregulations.2.ScopeofCooperation2.1PartyAagreestosupplytheProductstoPartyBunderthetermsandconditionssetforthherein.2.2PartyBagreestopurchasetheProductsfromPartyAinaccordancewiththisAgreement.2.3The具体termsofeachtransactionshallbedetailedinaseparatePurchaseandSalesContract(the"PSContract"),whichshallbeexecutedbybothpartiespriortothecommencementofeachshipment.3.ProductSpecificationsandQuality3.1TheProductsshallconformtothespecifications,quality,andstandardsagreeduponinwritingbybothparties,includingbutnotlimitedto(hereinafterreferredtoasthe"Specifications").3.2PartyAshallensurethattheProductsarefreefromdefectsandcomplywithallrelevantlaws,regulations,andinternationalstandards.3.3IncaseofanydeviationfromtheagreedSpecifications,PartyBshallpromptlynotifyPartyAinwriting,andPartyAshalltakecorrectiveactionswithin(the"RectificationPeriod")toaddresstheissue.4.PriceandPaymentTerms4.1ThepricefortheProductsshallbeasstipulatedinthePSContract,whichshallbeintheformofanEXW(ExWorks),FOB(FreeOnBoard),orCIF(Cost,Insurance,andFreight)quotation,subjecttomutualagreement.4.2Allpaymentsshallbemadein(the"Currency"),unlessotherwiseagreeduponbybothparties.4.3Thepaymenttermsshallbeasfollows:a.Adepositof%ofthetotalvalueofeachshipmentshallbepaidbyPartyBtoPartyAuponsigningthePSContract;b.Theremainingbalanceshallbepaidwithindaysafterthedateoftheinvoice,whichshallbeissueduponshipmentoftheProducts.5.ShipmentandDelivery5.1ShipmentsshallbemadefromPartyA'spremisesintoPartyB'sdesignateddestinationportorlocationin,asspecifiedinthePSContract.5.2Theshippingmethod,carrier,andinsurance(ifapplicable)shallbemutuallyagreeduponbybothpartiesanddetailedinthePSContract.5.3PartyAshallensurethattheProductsareproperlypackedandlabeledtomeetinternationaltransportationstandardsandpreventdamageduringtransit.5.4AnydelayinshipmentduetocircumstancesbeyondPartyA'sreasonablecontrol,includingbutnotlimitedtonaturaldisasters,war,orgovernmentactions,shallbeexemptedfromliability.6.IntellectualPropertyRights6.1AllintellectualpropertyrightsrelatedtotheProducts,includingtrademarks,patents,designs,andcopyrights,shallremainwithPartyAunlessotherwiseagreeduponinwriting.6.2PartyBshallnotuseanyintellectualpropertyofPartyAforanypurposeotherthanasspecifiedhereinwithoutpriorwrittenconsent.7.Confidentiality7.1BothpartiesagreetomaintaintheconfidentialityofallinformationexchangedduringthecourseofthisAgreement,includingbutnotlimitedtobusinesssecrets,technicaldata,andcommercialterms.7.2Confidentialinformationshallnotbedisclosedtoanythirdpartywithoutpriorwrittenconsentfromthedisclosingparty.7.3ThisobligationshallsurvivetheterminationorexpirationofthisAgreement.8.GoverningLawandDisputeResolution8.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof,excludingitsconflictoflawsprinciples.8.2AnydisputesarisingoutoforrelatedtothisAgreementshallberesolvedthroughfriendlynegotiationsbetweentheparties.Ifsuchnegotiationsfail,eitherpartymaysubmitthedisputetoarbitrationinaccordancewiththeRulesoftheArbitrationAssociation(the"AAA"),andthe裁决shallbefinalandbindingonbothparties.9.**Terminationand违约Responsibility9.1EitherpartymayterminatethisAgreementupongivingwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithindaysafterreceivingwrittennoticethereof.9.2Incaseofany违约byeitherparty,thenon-breachingpartyshallbeentitledtoclaimfordamagesandotherremediesavailableunderapplicablelaws.10.**MiscellaneousProvisions10.1ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereof,andsupersedesallpriorunderstandings,agreements,orrepresentations,whetheroralorwritten,regardingsuchmatters.10.2AnyamendmentsormodificationstothisAgreementshallbeinwritingandsignedbybothpartiestobeeffective.10.3NeitherpartyshallassignitsrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheotherparty.11.**ForceMajeure11.1IfeitherpartyispreventedfromperformingitsobligationsunderthisAgreementduetocircumstancesbeyonditsreasonablecontrol,includingbutnotlimitedtonaturaldisasters,war,governmentactions,orpandemics,suchnon-performanceshallbeexemptedfromliability.11.2Theaffectedpartyshallpromptlynotifytheotherpartyinwritingandmakereasonableeffortstominimizetheimpactofsuchevents.12.**Notices12.1Allnotices,demands,orothercommunicationsrequiredorpermittedunderthisAgreementshallbeinwritinganddeliveredpersonally,byregisteredorcertifiedmail,returnreceiptrequ
