ThisGiftAgreement(the"Agreement")ismadeandenteredintoasof[date]byandbetween:

TheDonorherebygiftstotheRecipientthefollowingitem(s)orservice(s)(collectivelyreferredtoasthe"Gift"):

2.RightsandObligationsoftheParties

2.1RightsoftheRecipient

UpontheexecutionofthisAgreement,theRecipientshallhavetherighttopossess,use,andenjoytheGiftinaccordancewiththenatureandpurposeoftheGift.TheRecipientshallbeentitledtoallbenefitsandadvantagesassociatedwiththeGift,subjecttoanylimitationsorconditionssetforthherein.

2.2ObligationsoftheRecipient

TheRecipientshalltakereasonablecareoftheGiftandshallnotcauseanydamageorlosstoit.IntheeventofanydamageorlosstotheGift,theRecipientshallnotifytheDonorimmediatelyandtakeallreasonablestepstomitigatethedamageorloss.TheRecipientshallusetheGiftonlyfortheintendedpurposesandshallnotassign,transfer,orsublicensetheGiftoranyrightsassociatedwithitwithoutthepriorwrittenconsentoftheDonor.

2.3RightsoftheDonor

TheDonorreservestherighttorevoketheGiftinaccordancewiththeprovisionsofapplicablelaw.Intheeventofrevocation,theDonorshallhavetherighttorecovertheGiftfromtheRecipient,providedthattheRecipienthasnotalreadydisposedoftheGiftingoodfaith.TheDonorshallalsohavetherighttoimposeanyconditionsorrestrictionsontheGiftatthetimeofdonationoratanytimethereafter,subjecttopliancewithapplicablelaw.

2.4ObligationsoftheDonor

TheDonorshallensurethattheGiftisfreefromanyliens,encumbrances,orotherthirdpartyclaimsatthetimeofdonation.TheDonorshallprovidetheRecipientwithanynecessarydocumentationorinformationrelatedtotheGifttoenabletheRecipienttoexerciseitsrightsandfulfillitsobligationswithrespecttotheGift.

3.TransferofOwnership

ThetransferofownershipoftheGiftshalloccurupontheexecutionofthisAgreement.Fortangibleproperty,thephysicalpossessionoftheGiftshallbetransferredtotheRecipientsimultaneouslywiththeexecutionofthisAgreement.Forintangibleproperty,therelevantrightsandinterestsshallbeconsideredtransferredasofthedateofthisAgreement,subjecttoanynecessaryregistrationsorfilings.

4.Consideration

InconsiderationfortheGift,theRecipientcovenantsandagreestoaccepttheGiftinaccordancewiththetermsandconditionsofthisAgreement.NootherconsiderationshallbepaidorprovidedbytheRecipienttotheDonorinconnectionwiththeGift.

5.RepresentationsandWarranties

5.1RepresentationsandWarrantiesoftheDonor

TheDonorrepresentsandwarrantsthat:

TheDonorhasthelegalrightandauthoritytomaketheGiftandtoenterintothisAgreement.

TheGiftisfreefromanyliens,encumbrances,orotherthirdpartyclaims.

TothebestoftheDonor'sknowledge,theinformationprovidedinconnectionwiththeGiftisaccurateandplete.

5.2RepresentationsandWarrantiesoftheRecipient

TheRecipientrepresentsandwarrantsthat:

TheRecipienthasthelegalcapacitytoenterintothisAgreementandtoaccepttheGift.

TheRecipientshallusetheGiftonlyfortheintendedpurposesandinaccordancewithapplicablelaw.

6.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[nameofjurisdiction].

7.Jurisdiction

AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtsof[nameofjurisdiction].

8.Severability

IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallinnowayinanywaybeaffectedorimpaired.

9.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.

10.AmendmentsandWaivers

Noamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.

11.Notices

Allnotices,requests,demands,andothermunicationsrequiredorpermittedtobegivenunderthisAgreementshallbeinwritingandshallbedeemedtohavebeendulygivenifdeliveredpersonally,sentbyregisteredorcertifiedmail,returnreceiptrequested,orbyovernightcourierservicetothefollowingaddresses:

ortosuchotheraddressaseitherpartymayhavespecifiedbynoticegiventotheotherpartyinaccordancewiththissection.

12.DefaultandRemedies

12.1Default

ApartyshallbeindefaultunderthisAgreementifitfailstoperformanyofitsobligationshereunderwithinthetimeperiodsspecifiedorwithinareasonabletimeafternoticeofdefaulthasbeengiven,ifnospecifictimeperiodisspecified.

12.2Remedies

Intheeventofdefaultbyeitherparty,thenondefaultingpartyshallhavetherighttopursueallavailablelegalremedies,includingbutnotlimitedtodamages,specificperformance,andinjunctiverelief.Withoutlimitingthegeneralityoftheforegoing,iftheDonordefaultsbyrevokingtheGiftinviolationofapplicablelaw,theRecipientshallbeentitledtodamagestopensateforanylosssufferedasaresultofsuchrevocation.IftheRecipientdefaultsbymisusingtheGiftorfailingtotakereasonablecareofit,theDonormayseekappropriateremediestoprotectthevalueoftheGift.

13.ForceMajeure

NeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisAgreementduetocausesbeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,naturaldisasters,war,civilunrest,governmentregulations,oranyothersimilarevent(collectivelyreferredtoas"ForceMajeure").However,thepartyaffectedbyForceMajeureshallnotifytheotherpartyassoonaspracticableandshalluseallreasonableeffortstoresumeperformanceofitsobligationsassoonasthecauseofForceMajeurehasceased.

14.Confidentiality

EachpartyshallkeepconfidentialallinformationreceivedfromtheotherpartyinconnectionwiththisAgreement,includingbutnotlimitedtothetermsofthisAgreement,thenatureanddetailsoftheGift,andanyotherinformationthatisdesignatedasconfidential.ThisconfidentialityobligationshallsurvivetheterminationorexpirationofthisAgreement.

15.Termination

ThisAgreementmaybeterminated:

Bymutualwrittenagreementoftheparties;

BytheDonorinaccordancewiththeprovisionsofapplicablelawregardingrevocationofgifts;or

Byeither
