展会合作协议合同英文版ThisExhibitionCooperationAgreement(the"Agreement")ismadeandenteredintoasof[date]byandbetween:PartyA:Name:[CompanyNameofPartyA]RegisteredAddress:[RegisteredAddressofPartyA]LegalRepresentative:[NameofLegalRepresentativeofPartyA]ContactInformation:[ContactPerson,PhoneNumber,EmailAddress]PartyB:Name:[CompanyNameofPartyB]RegisteredAddress:[RegisteredAddressofPartyB]LegalRepresentative:[NameofLegalRepresentativeofPartyB]ContactInformation:[ContactPerson,PhoneNumber,EmailAddress]I.IntroductionPartyAandPartyBdesiretocooperateintheorganizationandparticipationofanexhibition(the"Exhibition")andherebyenterintothisAgreementtodefinetheirrespectiverights,obligations,andresponsibilities.II.SubjectMatteroftheCooperation1.ExhibitionDetailsTheExhibitionshallbeheldat[VenueAddress]from[StartDate]to[EndDate].ThespecificscopeandcontentoftheExhibitionshallbedeterminedinaccordancewiththeexhibitionplanjointlyformulatedbybothparties.2.ServicestobeProvidedPartyAshallberesponsiblefor:HandlingallnecessaryapprovalsandpermitsfortheExhibitioninaccordancewithapplicablelawsandregulations.ProvidingthevenueandbasicfacilitiesfortheExhibition,includingbutnotlimitedtoexhibitionhalls,booths,powersupply,lighting,andventilation.PromotingtheExhibitionthroughvariouschannels,includingbutnotlimitedtoonlineadvertising,mediacooperation,andindustryassociations,toattractexhibitorsandvisitors.CoordinatingwithrelevantgovernmentdepartmentsandpublicsecurityagenciestoensurethesmoothprogressoftheExhibition.PartyBshallberesponsiblefor:RecruitingexhibitorsandsponsorsfortheExhibition,andsigningrelevantcooperationagreementswiththem.Designingandimplementingtheexhibitionlayoutanddecorationplan,ensuringthattheExhibitionmeetstherequirementsofbothpartiesandrelevantindustrystandards.OrganizingonsiteactivitiesduringtheExhibition,suchasseminars,productlaunches,andbusinessnegotiations,toenhancetheinteractivityandinfluenceoftheExhibition.Providingprofessionalservicestoexhibitorsandvisitors,includingbutnotlimitedtoboothconstruction,exhibitdisplay,translation,andinterpretation.III.RightsandObligationsofthePartiesA.RightsofPartyA1.PartyAhastherighttoreviewandapprovetheexhibitionplan,exhibitorlist,andsponsorshipagreementsformulatedbyPartyBtoensurethattheyplywiththetermsandconditionsofthisAgreementandrelevantlawsandregulations.2.PartyAhastherighttouseitsownchannelsandresourcestopromotetheExhibition,providedthatitshallnotprejudicetheinterestsofPartyB.3.PartyAhastherighttoreceiverelevantreportsandinformationfromPartyBduringthepreparationandimplementationoftheExhibitiontokeepabreastoftheprogress.B.RightsofPartyB1.PartyBhastherighttoindependentlyrecruitexhibitorsandsponsorsfortheExhibition,providedthatitshallplywiththetermsandconditionsofthisAgreementandrelevantlawsandregulations.2.PartyBhastherighttodesignandimplementtheexhibitionlayoutanddecorationplaninaccordancewiththeoverallrequirementsoftheExhibition,subjecttoPartyA'sreviewandapproval.3.PartyBhastherighttouseitsownchannelsandresourcestopromotetheExhibition,providedthatitshallnotprejudicetheinterestsofPartyA.4.PartyBhastherighttoreceiverelevantreportsandinformationfromPartyAduringthepreparationandimplementationoftheExhibitiontokeepabreastoftheprogress.C.ObligationsofPartyA1.PartyAshallprovidethevenueandbasicfacilitiesfortheExhibitioninatimelymannerandensurethattheymeettherequirementsoftheExhibition.2.PartyAshallassistPartyBinhandlingallnecessaryapprovalsandpermitsfortheExhibition,andproviderelevantdocumentsandmaterialsasrequired.3.PartyAshallpromotetheExhibitionthroughvariouschannelsinaccordancewiththeagreedplan,andcooperatewithPartyBtoattractexhibitorsandvisitors.4.PartyAshallberesponsibleforcoordinatingwithrelevantgovernmentdepartmentsandpublicsecurityagenciestoensurethesafetyandorderoftheExhibition.5.PartyAshallpaythefeesandexpensesrelatedtotheExhibitioninaccordancewiththetermsofthisAgreement.D.ObligationsofPartyB1.PartyBshallrecruitexhibitorsandsponsorsfortheExhibitioninaccordancewiththeagreedcriteriaandprocedures,andsignrelevantcooperationagreementswiththem.2.PartyBshalldesignandimplementtheexhibitionlayoutanddecorationplaninaccordancewiththeoverallrequirementsoftheExhibition,andensurethatitispletedontimeandmeetsthequalitystandards.3.PartyBshallorganizeonsiteactivitiesduringtheExhibitiontoenhancetheinteractivityandinfluenceoftheExhibition,andensurethesmoothprogressoftheseactivities.4.PartyBshallprovideprofessionalservicestoexhibitorsandvisitors,andensurethequalityandefficiencyoftheseservices.5.PartyBshallpaythefeesandexpensesrelatedtotheExhibitioninaccordancewiththetermsofthisAgreement.6.PartyBshallprotecttheintellectualpropertyrightsandtradesecretsofPartyAandotherexhibitors,andshallnotdiscloseorusethemwithoutpermission.IV.FeesandPaymentTerms1.ExhibitionFeesPartyBshallpayPartyAanexhibitionfeeof[Amount]fortheuseofthevenueandbasicfacilities.Theexhibitionfeeshallbepaidin[PaymentInstallments]installmentsasfollows:Thefirstinstallmentof[Amount]shallbepaidwithin[NumberofDays]daysafterthesigningofthisAgreement.Thesecondinstallmentof[Amount]shallbepaidwithin[NumberofDays]daysbeforetheopeningoftheExhibition.2.SponsorshipFeesPartyBshallberesponsibleforcollectingsponsorshipfeesfromsponsors.ThesponsorshipfeesshallbesharedbetweenPartyAandPartyBinaccordancewiththeagreedratio.PartyBshallremittheportionofthesponsorshipfeespayabletoPartyAtoPartyA'sdesignatedbankaccountwithin[NumberofDays]daysafterreceivingthesponsorshipfees.3.OtherFeesAnyotherfeesandexpensesincurredduringthepreparationandimplementationoftheExhibition,suchasadvertisingfees,marketingexpenses,andonsiteservicefees,shallbebornebythepartyresponsibleforincurringthem.V.Confidentiality1.BothpartiesshallkeepconfidentialallinformationobtainedfromeachotherduringtheperformanceofthisAgreement,includingbutnotlimitedtobusinessplans,exhibitionplans,exhibitorlists,sponsorshipagreements,andtradesecrets.2.Withoutthepriorwrittenconsentoftheotherparty,neitherpartyshalldiscloseorusesuchconfidentialinformationforanypurposeotherthantheperformanceofthisAgreement.3.ThisconfidentialityobligationshallsurvivetheterminationorexpirationofthisAgreementforaperiodof[NumberofYears]years.VI.IntellectualPropertyRights1.AllintellectualpropertyrightscreatedorusedinconnectionwiththeExhibition,includingbutnotlimitedtoexhibitiondesigns,logos,brochures,andpromotionalmaterials,shallbeownedbythepartythatcreatedormissionedthem,subjecttoanyrelevantagreementsorlicenses.2.EachpartyshallensurethatitsuseofintellectualpropertyrightsinconnectionwiththeExhibitiondoesnotinfringetherightsofanythirdparty.Intheeventofanyclaimorlawsuitarisingfromintellectualpropertyinfringement,thepartyresponsiblefortheinfringementshallindemnifyandholdtheotherpartyharmless.VII.TermandTermination1.TermThisAgreementshalltakeeffectasofthedateofsigningandshallremaininforceuntilthepletionoftheExhibition.2.TerminationThisAgreementmaybeterminatedbyeitherpartyuponwrittennoticetotheotherpartyunderthefollowingcircumstances:IftheotherpartymateriallybreachesthisAgreementandfailstocurethebreachwithin[NumberofDays]daysafterreceivingwrittennoticeofthebreach.IftheExhibitioncannotbeheldduetoforcemajeureorotherunforeseeableanduncontrollablereasons,andthepartiescannotreachanagreementonalternativearrangements.IntheeventofterminationofthisAgreement,bothpartiesshallcooperatetopletethewindingupoftheExhibitionandsettlealloutstandingfeesandexpenses.VIII.LiabilityforBreach1.IfeitherpartybreachesthisAgreement,itshallindemnifytheotherpartyforalllossesanddamagessufferedasaresultofthebreach,includingbutnotlimitedtodirectlosses,indirectlosses,andattorney'sfees.2.IntheeventofadisputearisingfromthisAgreement,thepartiesshallfirstattempttoresolvethedisputethroughfriendlynegotiation.Ifthenegotiationfails,eitherpartymayfilealawsuitinthepetentpeople'scourt.Ix.GoverningLawandJurisdiction1.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].2.AnydisputesarisingfromthisAgreementshallbesubjecttotheexclusivejurisdictionofthe[Jurisdiction]courts.x.EntireAgreementThisAgreementconstitutestheentireagreementbetweenthepartieswithrespectto
