IV.Consideration

InconsiderationofthemutualcovenantsandagreementscontainedinthisAgreement,thepartiesacknowledgeandagreethattheconsiderationforthisAgreementshallbetheperformanceoftheirrespectiveobligationsundertheAmendedContractassetforthherein.

V.GoverningLawandJurisdiction

A.GoverningLaw

IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallinnowayinanywaybeaffectedorimpaired.

IX.Counterparts

ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.

V.WarrantyandLiability

VI.IntellectualPropertyRights

1.OwnershipofIntellectualProperty

PartyBshallhavetherighttousetheintellectualpropertyrightssolelyforthepurposeofperformingitsobligationsunderthisAgreementandshallnotsublicense,transfer,orotherwisedisposeofsuchrightswithoutthepriorwrittenconsentofPartyA.

SupplementaryProvisionsRegardingRightsandObligations

I.AdditionalRightsofPartyA

1.RightofInspection

PartyAshallhavetherighttoinspecttheprogressandqualityofthesubjectmatterorserviceprovidedbyPartyBatanytimeduringtheperformanceofthisAgreement.PartyBshallprovideallnecessarycooperationandassistanceforsuchinspection.

2.RightofTermination

IntheeventofamaterialbreachofthisAgreementbyPartyB,PartyAshallhavetherighttoterminatethisAgreementandclaimdamagesfromPartyB.

II.AdditionalRightsofPartyB

1.RighttoRequestforInformation

PartyBshallhavetherighttorequestPartyAtoprovideanynecessaryinformationordocumentationrelatedtothesubjectmatterorserviceforthepurposeofperformingitsobligationsunderthisAgreement.PartyAshallrespondpromptlyandprovideaccurateinformation.

2.RighttoCompensationforExtraordinaryExpenses

IfPartyBincursanyextraordinaryexpensesduetoreasonsattributabletoPartyAduringtheperformanceofthisAgreement,PartyBshallhavetherighttoclaimpensationfromPartyA.

III.AdditionalObligationsofPartyA

1.ObligationtoProvideTechnicalSupport

PartyAshallprovidePartyBwithnecessarytechnicalsupportandtrainingtoensuretheproperperformanceofthesubjectmatterorservice.

2.ObligationtoNotifyofChanges

PartyAshallnotifyPartyBinwritingofanychangesthatmayaffecttheperformanceofthisAgreementinatimelymanner.

IV.AdditionalObligationsofPartyB

1.ObligationtoMaintainConfidentiality

PartyBshallmaintaintheconfidentialityofallconfidentialinformationobtainedfromPartyAduringtheperformanceofthisAgreementandshallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentofPartyA.

2.ObligationtoComplywithLawsandRegulations

PartyBshallplywithallapplicablelawsandregulationsintheperformanceofthisAgreementandshallindemnifyandholdPartyAharmlessfromanyliabilityarisingoutofitsnonpliance.

SupplementaryProvisionsRegardingBreachandDisputeResolution

I.BreachofContract

1.DefinitionofBreach

AbreachofthisAgreementshalloccurifeitherpartyfailstoperformanyofitsobligationsunderthisAgreementinaccordancewiththetermsandconditionshereof.

2.RemediesforBreach

IntheeventofabreachofthisAgreement,thenonbreachingpartyshallhavetherighttopursueallavailablelegalremedies,includingbutnotlimitedtodamages,specificperformance,andinjunctiverelief.

II.DisputeResolution

1.Negotiation

IntheeventofadisputearisingoutoforinconnectionwiththisAgreement,thepartiesshallfirstattempttoresolvethedisputethroughfriendlynegotiation.

2.ArbitrationorLitigation

Ifthepartiesareunabletoresolvethedisputethroughnegotiationwithin[negotiationperiod]days,thedisputeshallberesolvedeitherbyarbitrationinaccordancewiththerulesof[ArbitrationInstitution]orbylitigationinthe[NameofCourt]asspecifiedinSectionV(B)ofthisAgreement.

III.MitigationofDamages

EachpartyshalltakeallreasonablestepstomitigatethedamagessufferedasaresultofabreachofthisAgreementbytheotherparty.

IV.LiquidatedDamages

1.IfthepartiesagreetoincludeliquidateddamagesprovisionsinthisAgreement,suchprovisionsshallbeclearlystatedherein,specifyingtheamountofliquidateddamagespayableintheeventofabreachandthecircumstancesunderwhichsuchliquidateddamagesshallbepayable.

2.Theliquidateddamagesshallbedeemedtobeareasonableestimateofthedamageslikelytobesufferedbythenonbreachingpartyasaresultofthebreachandshallnotbeconstruedasapenalty.
