I.DescriptionofSubjectMatterorServices

PartyAherebyengagesPartyBasaconsultanttoprovideprofessionalconsultingservicesinrelationto[specificconsultingarea,e.g.,businessstrategy,financialanalysis,legalpliance].PartyBshalluseitsprofessionalknowledge,skills,andexperiencetoofferprehensiveadvice,analysis,andsolutionstoPartyAinaccordancewiththetermsandconditionsofthisAgreement.

ThespecificservicestobeprovidedbyPartyBinclude,butarenotlimitedto:

1.ConductingindepthresearchandanalysisonrelevantindustriesandmarketsrelatedtoPartyA'sbusiness;

2.FormulatingstrategicplansandprovidingrmendationsforPartyA'sbusinessdevelopment,includingbutnotlimitedtomarketentrystrategies,product/serviceexpansionplans;

3.AssistingPartyAinfinancialanalysis,suchasbudgeting,costcontrol,andinvestmentevaluation;

4.ProvidinglegalplianceadviceandguidancetoensurePartyA'soperationsplywithrelevantlaws,regulations,andindustrystandards.

II.RightsandObligationsoftheParties

A.RightsofPartyA

1.PartyAhastherighttorequestPartyBtoprovidereports,analyses,andrmendationswithinthescopeoftheservicesdefinedinthisAgreementinatimelymanner.

2.PartyAhastherighttoreviewandmentontheworkprogressandresultsofPartyB,andtorequestPartyBtomakenecessaryrevisionsandimprovements.

B.ObligationsofPartyA

1.PartyAshallprovidePartyBwithallrelevantinformation,data,andmaterialsnecessaryfortheperformanceoftheconsultingservicesinatimelyandaccuratemanner.PartyAshallberesponsiblefortheauthenticity,accuracy,andpletenessoftheinformationprovided.

2.PartyAshallcooperatefullywithPartyBduringtheperformanceoftheservices,includingbutnotlimitedtoarrangingmeetings,providingaccesstorelevantpersonnelandfacilities.

3.PartyAshallpaytheconsultingfeestoPartyBinaccordancewiththepaymenttermsspecifiedinthisAgreement.

C.RightsofPartyB

1.PartyBhastherighttoreceivetheconsultingfeesfromPartyAasagreeduponinthisAgreement.

2.PartyBhastherighttoobtainfromPartyAallinformationandassistancenecessaryfortheproperperformanceoftheconsultingservices.

D.ObligationsofPartyB

1.PartyBshallperformtheconsultingserviceswithduediligence,professionalcare,andinaccordancewiththehigheststandardsoftherelevantindustry.PartyBshalluseitsbesteffortstoachievetheobjectivesoftheconsultingservices.

2.PartyBshallkeepconfidentialallinformationobtainedfromPartyAduringtheperformanceoftheservices,andshallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentofPartyA,exceptasrequiredbylaw.

3.PartyBshallsubmitallworkproducts,reports,andrmendationstoPartyAinatimelymanneraspertheagreedschedule.PartyBshallensurethattheworkproductsareofhighqualityandmeettherequirementsofPartyA.

4.PartyBshallberesponsibleforitsownemployeesoragentsinvolvedintheperformanceoftheservices,andshallensuretheirpliancewiththisAgreementandrelevantlawsandregulations.

III.PaymentTerms

1.ThetotalconsultingfeefortheservicesprovidedbyPartyBunderthisAgreementis[amountinwords](infigures:$[x]).

IV.Confidentiality

1.EachpartyacknowledgesthatinthecourseofperformingthisAgreement,itmayhaveaccesstoconfidentialinformationoftheotherparty."ConfidentialInformation"meansanyinformation,whetheroral,written,electronic,orinanyotherform,thatisdisclosedbyonepartytotheotherpartyinconnectionwiththisAgreementandthatismarkedasconfidentialorthat,underthecircumstances,oughtreasonablytobeconsideredconfidential.

2.EachpartyshallkeepconfidentialallConfidentialInformationoftheotherpartyandshallnotdisclose,use,orpermittheuseofsuchConfidentialInformationforanypurposeotherthantheperformanceofthisAgreement.

3.TheobligationsofconfidentialityshallsurvivetheterminationorexpirationofthisAgreementforaperiodof[numberofyears]years.

V.IntellectualPropertyRights

1.AllintellectualpropertyrightscreatedordevelopedbyPartyBinthecourseofperformingtheconsultingservicesunderthisAgreementshallbeownedbyPartyB,unlessotherwiseagreeduponinwriting.

2.PartyAshallhavetherighttousetheintellectualpropertyrightsprovidedbyPartyBsolelyforthepurposeofitsownbusinessoperationsinconnectionwiththisAgreementandshallnotsublicense,transfer,orotherwisedisposeofsuchintellectualpropertyrightswithoutthepriorwrittenconsentofPartyB.

VI.TermandTermination

1.ThisAgreementshallmenceonthedateofsigningandshallremaininforceforaperiodof[numberofmonths/years](the"Term").

2.EitherpartymayterminatethisAgreementupon[numberofdays]days'writtennoticetotheotherpartyunderthefollowingcircumstances:

IftheotherpartymateriallybreachesanyprovisionofthisAgreementandfailstocuresuchbreachwithin[numberofdays]daysafterreceivingwrittennoticethereof;

Iftheotherpartybesinsolvent,filesforbankruptcy,ortakesanyactioninfurtheranceofbankruptcyorinsolvencyproceedings;

Ifaneventofforcemajeureoccursandcontinuesforaperiodof[numberofdays]daysormore,makingitimpossibleforeitherpartytoperformitsobligationsunderthisAgreement.

3.IntheeventofterminationofthisAgreement,PartyAshallpayPartyBforallservicesrenderedandaccepteduptothedateofterminationinaccordancewiththepaymenttermsofthisAgreement.PartyBshallreturntoPartyAanyConfidentialInformationinitspossessionandshalldiscontinueallworkrelatedtothisAgreement.

VII.LiabilityandIndemnification

1.Eachpartyshallindemnifyandholdtheotherpartyharmlessfromandagainstanyandalllosses,damages,liabilities,costs,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwithanybreachofthisAgreementbysuchparty.

2.PartyBshallbeliableforanydirectlossescausedtoPartyAduetoitsnegligentorimproperperformanceoftheconsultingservices.However,PartyB'sliabilityshallnotexceedthetotalamountoftheconsultingfeesreceivedunderthisAgreement.

3.Innoeventshalleitherpartybeliabletotheotherpartyforanyindirect,special,consequential,orpunitivedamages,evenifsuchpartyhasbeenadvisedofthepossibilityofsuchdamages.

VIII.DisputeResolution

1.AnydisputesarisingoutoforinconnectionwiththisAgreementshallbefirstresolvedthroughfriendlyconsultationsbetweentheparties.

2.Ifthepartiesfailtoresolvethedisputesthroughconsultationswithin[numberofdays]days,eitherpartymaysubmitthedisputesto[arbitrationinstitution/court]forresolution.

Ifarbitrationischosen,thearbitrationshallbeconductedinaccordancewiththearbitrationrulesof[arbitrationinstitution].Thearbitrationawardshallbefinala
