1.DescriptionofMedicalEquipment:Themedicalequipment("Equipment")tobesoldandpurchasedbythePartiesshallbedescribedinExhibitAattachedhereto(the"EquipmentDescription").

2.QuantityandDelivery:SellershalldelivertheEquipmenttoBuyerinaccordancewiththequantityandschedulespecifiedinExhibitBattachedhereto(the"DeliverySchedule").DeliveryoftheEquipmentshallbemadeto[Buyer'sDeliveryAddress].

3.PriceandPaymentTerms:ThetotalpurchasepricefortheEquipment("PurchasePrice")shallbeassetforthinExhibitCattachedhereto.BuyershallpaythePurchasePriceinaccordancewiththepaymenttermssetforthinExhibitDattachedhereto.

4.Warranties:SellerwarrantsthattheEquipmentshallbefreefromanydefectsinmaterialsandworkmanshipandshallconformtothespecificationssetforthintheEquipmentDescription.Thewarrantyperiodshallcommenceonthedateofdeliveryandshallcontinueforaperiodof[NumberofYears]yearsfromsuchdate.

6.OwnershipandRiskofLoss:TitletotheEquipmentshallpasstoBuyerupondelivery.RiskoflossordamagetotheEquipmentshallpasstoBuyerupondeliverytoBuyer'sdesignateddeliverylocation.

7.IntellectualProperty:SellerherebygrantstoBuyeranon-exclusive,non-transferable,worldwidelicensetousetheintellectualpropertyrightsassociatedwiththeEquipmentsolelyforthepurposeofoperatingandmaintainingtheEquipment.

8.GoverningLawandDisputeResolution:ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthrougharbitrationinaccordancewiththerulesof[ArbitrationInstitution].
