I.Introduction

1.Purpose

ThepurposeofthisAgreementistoestablishapany(the"Company")throughfriendlynegotiationandcooperationbetweenPartyAandPartyB,andtoclarifytherightsandobligationsofbothpartiesintheprocessofpanyestablishmentandoperation.

2.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.

II.EstablishmentoftheCompany

III.CapitalContribution

PartyAandPartyBshallpaytheirrespectivecontributionstotheCompany'sdesignatedbankaccountwithin[Timelimit]daysafterthesigningofthisAgreement.

AfterthecontributionsofPartyAandPartyBareinplace,alegallyqualifiedaccountingfirmshallconductacapitalverification,andissueacapitalverificationreport.

IV.RightsandObligationsoftheParties

A.RightsofPartyA

1.ParticipateinthemanagementanddecisionmakingoftheCompanyinaccordancewiththeproportionofcapitalcontribution,includingbutnotlimitedtotherighttovoteonmajormattersoftheCompany,therighttoappointandremovedirectorsandseniormanagementpersonnel.

2.ObtainfinancialandbusinessinformationoftheCompanyinaccordancewiththelawandtheCompany'sarticlesofassociation.

3.SharetheprofitsoftheCompanyinaccordancewiththeproportionofcapitalcontribution.

B.RightsofPartyB

1.EnjoythesamerightsasPartyAintermsofparticipatinginthemanagementanddecisionmakingoftheCompany,sharingprofits,andobtaininginformation.

2.HavetherighttosupervisetheoperationandmanagementoftheCompanytoensurethelegitimaterightsandinterestsofbothparties.

C.ObligationsofPartyA

1.PaythecapitalcontributiontotheCompanyinfullandontimeinaccordancewiththisAgreement.

2.Providetrue,accurateandpleteinformationanddocumentsrequiredfortheestablishmentandoperationoftheCompany.

3.Abidebythelaws,regulations,andarticlesofassociationoftheCompany,andperformitsdutiesandobligationsingoodfaith.

D.ObligationsofPartyB

1.PerformthesameobligationsasPartyAintermsofcapitalcontribution,informationprovision,andpliance.

2.CooperatewithPartyAandotherrelevantpartiestopromotethesmoothprogressoftheCompany'sestablishmentandoperation.

V.ManagementandOperationoftheCompany

1.OrganizationalStructure

TheCompanyshallestablishasoundorganizationalstructure,includingaboardofdirectors,aboardofsupervisors(ifrequired),andseniormanagementpersonnel.

2.DecisionMakingMechanism

MajordecisionsoftheCompanyshallbemadethroughvotingbytheboardofdirectorsorinaccordancewiththeprovisionsofthearticlesofassociation.Thevotingrightsofeachdirectorshallbedeterminedinaccordancewiththeproportionofcapitalcontribution.

3.ManagementDuties

TheboardofdirectorsshallberesponsiblefortheoverallmanagementanddecisionmakingoftheCompany,andtheseniormanagementpersonnelshallberesponsibleforthedaytodayoperationandmanagementoftheCompany.

VI.ProfitDistributionandLossSharing

1.ProfitDistribution

TheprofitsoftheCompanyshallbedistributedannuallyinaccordancewiththeproportionofcapitalcontributionofPartyAandPartyBafterdeductingtaxesandmakingnecessaryreserves.

2.LossSharing

IntheeventoflossesoftheCompany,PartyAandPartyBshallsharethelossesinaccordancewiththeproportionofcapitalcontribution.

VII.TransferofEquity

1.RestrictionsonTransfer

DuringthetermofthisAgreement,neitherPartyAnorPartyBshalltransferitsequityintheCompanytoathirdpartywithoutthepriorwrittenconsentoftheotherparty.

2.RightofFirstRefusal

Intheeventthatonepartyintendstotransferitsequity,theotherpartyshallhavetherightoffirstrefusalunderthesameconditions.

VIII.Confidentiality

1.ConfidentialInformation

BothpartiesshallkeepconfidentialallinformationobtainedduringthenegotiationandperformanceofthisAgreement,includingbutnotlimitedtobusinesssecrets,technicalinformation,andfinancialinformationoftheCompany.

2.NonDisclosureObligation

Neitherpartyshalldisclosetheconfidentialinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherparty,exceptasrequiredbylaw.

Ix.DurationandTerminationoftheAgreement

1.Duration

ThisAgreementshallbeeffectiveasofthedateofsigningandshallremaininforcefor[Duration]years.

2.Termination

ThisAgreementmaybeterminatedunderthefollowingcircumstances:

Expirationoftheterm;

Agreementreachedbybothpartiesthroughnegotiation;

x.LiabilityforBreach

1.BreachofAgreement

IfeitherpartybreachesthisAgreement,itshallbeliableforpensatingtheotherpartyforalllossessufferedasaresultofthebreach.

2.LiquidatedDamages

Incaseofabreachofthecapitalcontributionobligation,thebreachingpartyshallpayliquidateddamagestothenonbreachingpartyat[Rate]%oftheamountofthebreachperday.

xI.DisputeResolution

1.Negotiation

IntheeventofanydisputearisingfromtheinterpretationorperformanceofthisAgreement,bothpartiesshallfirstattempttoresolvethedisputethroughfriendlynegotiation.

2.ArbitrationorLitigation

Ifthenegotiationfails,thedisputeshallberesolvedthrougharbitrationinaccordancewiththearbitrationrulesof[Arbitrationinstitution]orthroughlitigationinthepeople'scourtwithjurisdiction.

1.AmendmentsandSupplements
