2025上海市预售住宅销售合同-英文版2025ShanghaiPre-SaleResidentialSalesContractContractNo.SignedinonBuyer:Name:Address:ContactInformation:Seller:Name:Address:ContactInformation:Recitals:TheSelleristhelegallydesignateddeveloperandselleroftheresidentialpropertyknownaslocatedatShanghai,China.TheBuyerwishestopurchaseandtheSellerwishestoselltheaforementionedpropertyunderthetermsandconditionssetforthinthisContract.1.GeneralProvisions1.1ScopeofContract:ThisContractshallgovernthesaleandpurchaseoftheresidentialproperty(hereinafterreferredtoasthe"Property")locatedatShanghai,China,asdetailedinScheduleAattachedhereto.1.2BindingForce:ThisContractshallbebindinguponandinuretothebenefitofthepartiesheretoandtheirrespectiveheirs,legalsuccessors,andassigns.1.3GoverningLaw:ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.2.PropertyDescription2.1LocationandSpecifications:Address:BuildingNumber:UnitNumber:RoomNumber:TotalFloorArea:SquareMetersTypeofProperty:NumberofBedrooms:NumberofBathrooms:OtherDetails:2.2Pricing:PurchasePrice:RMBperSquareMeterTotalPurchasePrice:RMB2.3PaymentTerms:TheBuyershallpaythepurchasepriceinaccordancewiththepaymentschedulesetforthinScheduleBattachedhereto.3.ObligationsoftheSeller3.1CompletionandDelivery:TheSellershalldeliverthePropertytotheBuyeron(SubjecttoForceMajeure).ThePropertyshallbecompletedinaccordancewiththeapplicablelaws,regulations,andstandards,andshallbefreefromanydefectsthatrenderitunfitforhabitation.3.2TitleGuarantee:TheSellershallensurethatthePropertyisfreefromanyencumbrances,liens,orclaims,andshalltransferownershipofthePropertytotheBuyerfreeandclear.3.3Documentation:TheSellershallprovidetheBuyerwithallnecessarydocumentation,includingbutnotlimitedto,therealestateownershipcertificate,completioncertificates,andotherrelevantdocuments.4.ObligationsoftheBuyer4.1Payment:TheBuyershallpaythepurchasepriceinaccordancewiththepaymentschedulesetforthinScheduleBattachedhereto.Anydelayinpaymentshallresultinapenaltyasstipulatedherein.4.2Acceptance:TheBuyershallacceptthePropertyupondeliveryandwithindays,inspecttheProperty,andprovidewrittennoticetotheSellerofanydefects.4.3Compliance:TheBuyershallcomplywithalllaws,regulations,andrulesapplicabletotheownershipanduseoftheProperty.5.RightsandResponsibilities5.1Buyer'sRights:TheBuyershallhavetherighttousethePropertyforresidentialpurposes,subjecttothetermsandconditionsofthisContract.5.2Seller'sResponsibilities:TheSellershallmaintainthePropertyingoodrepairuntilthedateofdelivery,andshallpromptlyaddressanydefectsordamagesarisingfromconstructionormaterials.6.Warranty6.1DefectsinConstruction:TheSellershallprovideadefectswarrantyforyearsfromthedateofdelivery,coveringdefectsinmaterialsandworkmanship.6.2Plumbing,Electrical,andStructuralDefects:TheSellershallwarrantyplumbing,electrical,andstructuraldefectsforyearsfromthedateofdelivery.7.违约责任7.1Buyer'sDefault:IftheBuyerfailstopaythepurchasepriceinaccordancewiththepaymentschedule,theSellermaychargeapenaltyofperday,andtheBuyershallbearalllegalandreasonablecostsincurredbytheSellerinpursuingcollection.7.2Seller'sDefault:IftheSellerfailstodeliverthePropertyontime,theBuyermayclaimapenaltyofperdayforeachdayofdelay,andtheSellershallbearalllegalandreasonablecostsincurredbytheBuyer.8.ForceMajeure8.1Definition:Forcemajeureshallincludeanyeventbeyondthecontroloftheparties,suchasnaturaldisasters,war,orgovernmentactions.8.2Exemption:Neitherpartyshallbeliableforanyfailureordelayinperformanceduetoforcemajeure.9.DisputeResolution9.1Negotiation:AnydisputesarisingfromorrelatedtothisContractshallfirstberesolvedthroughfriendlynegotiationbetweentheparties.9.2Mediation:Ifnegotiationfails,thepartiesagreetosubmitthedisputetoformediation.9.3Arbitration:Ifmediationfails,thepartiesagreetosubmitthedisputetoforarbitrationinaccordancewiththearbitrationrulesthenineffect.9.4Litigation:Ifarbitrationfails,eitherpartymaybringthematterbeforethePeople'sCourtofasthesoleandexclusivejurisdiction.10.MiscellaneousProvisions10.1EntireAgreement:ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,representations,orunderstandings,whetheroralorwritten.10.2Amendments:AnyamendmentstothisContractmustbemadeinwritingandsignedbybothparties.10.3Waiver:AnywaiverofanyprovisionofthisContractshallnotoperateasawaiverofanyotherprovisionorasacontinuingwaiverofthesameprovision.10.4Severability:IfanyprovisionofthisContractisinvalidorunenforceable,the
