Recitals:
WHEREAS,thePrincipalisengagedinthebusinessof[Principal'sBusiness],andhasdecidedtoestablishasalesnetworkforitsproductsandservices;
WHEREAS,theAgentisinterestedinactingasanauthorizedagentofthePrincipalforthemarketingandsellingofthePrincipal'sproductsandserviceswithintheterritoryspecifiedherein;
NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:
1.ScopeofAgreement
1.1TheAgentshallactastheexclusiveagentofthePrincipalforthemarketingandsellingofthePrincipal'sproductsandserviceswithintheterritoryspecifiedherein.
1.2Theterritoryfortheexclusiveagencyisdefinedas[TerritoryDescription],andincludesallcities,counties,andregionswithinsaidterritory.
1.3Theexclusiveagencyperiodshallbe[ExclusivityPeriod],startingfromtheEffectiveDateandendingon[ExpirationDate].
2.MarketingandSales
2.1TheAgentshalluseitsbesteffortstopromote,market,andsellthePrincipal'sproductsandserviceswithintheterritoryspecifiedherein.
2.2TheAgentshallensurethatthesalesactivitiesconductedbyitareincompliancewiththeapplicablelaws,regulations,andpoliciesoftheterritory.
2.3TheAgentshallprovidethePrincipalwithregularsalesreports,includingsalesvolumes,pricing,andcustomerfeedback.
3.Compensation
3.1ThePrincipalshallpaytheAgentacommissiononeachsaleofthePrincipal'sproductsandservicesmadebytheAgentwithintheterritoryspecifiedherein.
3.2Thecommissionrateshallbe[CommissionRate],calculatedonapercentagebasisofthesalesprice.
3.3ThecommissionpaymentshallbemadetotheAgentwithin[PaymentPeriod]followingtheendofeachaccountingperiod.
4.Confidentiality
4.1Thepartiesheretoagreetokeepconfidentialanyandallinformationthatisdisclosedtothembytheotherpartyinconnectionwiththeexecution,performance,orterminationofthisContract.
4.2TheobligationsofconfidentialityshallsurvivetheterminationorexpirationofthisContract.
5.Termination
5.1ThisContractmaybeterminatedbyeitherpartyupon[TerminationNoticePeriod]priorwrittennoticetotheotherparty.
5.2Intheeventoftermination,thepartiesheretoshallsettleanyoutstandingobligationsanddisputesarisingfromtheexecutionofthisContract.
6.GoverningLawandJurisdiction
6.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Principal'sCountry].
6.2AnydisputesarisingfromthisContractshallbesubjecttotheexclusivejurisdictionofthecourtsof[Principal'sCountry].
7.Attachments

8.EntireAgreement
ThisContractconstitutestheentireagreementbetweenthepartiesheretoandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetherwrittenororal,relatingtothesubjectmatterhereof.

2.4ThePrincipalhastherighttoterminatethisContractwith[TerminationNoticePeriod]priorwrittennoticetotheAgentandtheThirdPartyintheeventofabreachoftheContract.
3.Agent'sRightsandObligations
3.1TheAgenthastherighttoreceivecommissionsoneachsaleofthePrincipal'sproductsandservicesmadebytheAgentwithintheterritoryspecifiedherein.
3.2TheAgenthastherighttoutilizetheservicesprovidedbytheThirdPartytoenhanceitsmarketingandsalesefforts.
3.3TheAgentshallcomplywiththePrincipal'sguidelinesandrequirementsforthemarketingandsellingofthePrincipal'sproductsandservices.
3.4TheAgentshallpromptlynotifythePrincipalandtheThirdPartyofanybreachesofthisContract.
4.ThirdParty'sRightsandObligations
4.1TheThirdPartyhastherighttoreceivepaymentfortheservicesprovidedtothePrincipalandtheAgent.
4.2TheThirdPartyhastherighttoprovideadditionalservicestothePrincipalandtheAgentuponmutualagreement.
4.3TheThirdPartyshalluseitsbesteffortstoprovidehigh-qualitymarketingandsupportservicestothePrincipalandtheAgent.
4.4TheThirdPartyshallmaintainconfidentialityofanyproprietaryinformationreceivedfromthePrincipalandtheAgent.
5.Agent'sandThirdParty'sLiability
5.1TheAgentandtheThirdPartyshallbejointlyandseverallyliableforanybreachesofthisContract.
5.2TheAgentandtheThirdPartyshallindemnifythePrincipalagainstanyclaims,losses,ordamagesarisingfromtheiractionsorinactionsinconnectionwiththisContract.
6.Principal'sRightsinCaseofDefault
6.1IntheeventofadefaultbytheAgentortheThirdParty,thePrincipalshallhavetherighttoterminatethisContractimmediatelyuponwrittennotice.
6.2Upontermination,thePrincipalshallhavetherighttorecoveranylossesordamagessufferedasaresultofthedefault.
7.TerminationandExitStrategy
7.1ThisContractmaybeterminatedbythePrincipalwith[Principal'sTerminationNoticePeriod]priorwrittennoticetotheAgentandtheThirdParty.
7.2Upontermination,thePrincipalshallhavetherighttotakepossessionofanyinventoryheldbytheAgentortheThirdPartyforthePrincipal'sproductsandservices.
7.3ThePrincipalshallhavetherighttoenterintoanewagreementwithanotherpartytoreplacetheAgentortheThirdParty.
8.GoverningLawandJurisdiction
8.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Principal'sCountry].
8.2AnydisputesarisingfromthisContractshallbesubjecttotheexclusivejurisdictionofthecourtsof[Principal'sCountry].

3.3TheThirdPartyshallmaintaintheconfidentialityofanyproprietaryinformationprovidedbythePrincipalandtheAgent.
3.4TheThirdPartyshallprovidetimelydeliveryandefficientsupplychainmanagementservicestotheAgent.
4.Principal'sRightsandObligations
4.1ThePrincipalhastherighttoapproveanymarketingandpromotionalmaterialsusedbytheAgentandtheThirdParty.
4.2ThePrincipalhastherighttoreceivesalesreportsandmarketfeedbackfromtheAgentandtheThirdParty.
4.3ThePrincipalshallprovidetheAgentwiththenecessaryproducttrainingandsupport.
4.4ThePrincipalshallprovidetheAgentwithaccesstothelatestproductinformationandupdates.
5.Principal'sandAgent'sLiability
5.1ThePrincipalandtheAgentshallbejointlyandseverallyliableforanybreachesofthisContract.

6.Principal'sandAgent'sTerminationRights
