2.4PartyAshallnotmakeanyfalse,misleading,ordeceptivestatementsorrepresentationsregardingtheproductsorservicesofferedbyPartyB.

2.5PartyAshallnotengageinanyactivitythatmaycauseharmtoPartyB'sreputationorbusiness.

TERMANDTERMINATION

3.1ThisAgreementshallcommenceontheEffectiveDateandshallremainineffectforaperiodof[Number]years,unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

3.2EitherPartymayterminatethisAgreementupon[Number]days'writtennoticetotheotherParty.

4.2TheobligationsofconfidentialityshallsurvivetheterminationorexpirationofthisAgreement.

INDEMNIFICATION

5.1PartyAshallindemnify,defend,andholdharmlessPartyBagainstanyandallclaims,liabilities,damages,losses,andexpensesarisingoutoforinconnectionwithPartyA'sbreachofthisAgreement.

5.2PartyBshallindemnify,defend,andholdharmlessPartyAagainstanyandallclaims,liabilities,damages,losses,andexpensesarisingoutoforinconnectionwithPartyB'sbreachofthisAgreement.

LIMITATIONOFLIABILITY

6.1InnoeventshalleitherPartybeliabletotheotherPartyforanyindirect,special,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththisAgreement.

6.2ThetotalliabilityofeitherPartytotheotherPartyunderthisAgreementshallnotexceedthetotalamountofcommissionspaidtoPartyAbyPartyBduringthetermofthisAgreement.
