ThisAgreementforTerminationofContract(the"Agreement")ismadeandenteredintoasof[date]byandbetween[PartyA'sname],a[PartyA'slegalentitytype]organizedandexistingunderthelawsof[PartyA'sjurisdiction]withitsprincipalplaceofbusinessat[PartyA'saddress](hereinafterreferredtoas"PartyA"),and[PartyB'sname],a[PartyB'slegalentitytype]organizedandexistingunderthelawsof[PartyB'sjurisdiction]withitsprincipalplaceofbusinessat[PartyB'saddress](hereinafterreferredtoas"PartyB").

I.Recitals

1.PartyAandPartyBenteredintoa[Contractname](the"OriginalContract")dated[originalcontractdate]inrelationto[descriptionofthesubjectmatterorservice,e.g.,thesupplyof[goodsname]foraprojectin[projectlocation]].

II.SubjectMatterorServiceDescription

III.RightsandObligations

A.PartyA'sRightsandObligations

1.Rights

PartyAhastherighttoterminatetheOriginalContractinaccordancewiththetermsofthisAgreement.

PartyAshallbeentitledtoarefundofanyprepaidamountsrelatedtotheunperformedportionoftheOriginalContract,subjecttothetermsofthisAgreement.

2.Obligations

PartyAshallprovidePartyBwithallnecessaryinformationandcooperationreasonablyrequestedtofacilitatetheterminationprocess,includingbutnotlimitedtoaccesstorelevantdocumentsanddatarelatedtotheOriginalContract.

PartyAshallpayPartyBtheamountsduefortheworkorservicesalreadyperformedandacceptedinaccordancewiththeOriginalContract,within[paymentperiod]daysoftheexecutionofthisAgreement.

B.PartyB'sRightsandObligations

1.Rights

PartyBhastherighttoreceivepaymentfortheworkorservicesalreadyperformedandacceptedinaccordancewiththeOriginalContractasperthetermsofthisAgreement.

PartyBshallbereleasedfromanyfurtherobligationsundertheOriginalContractupontheeffectiveterminationofthisAgreement.

2.Obligations

PartyBshallimmediatelyceaseallworkrelatedtotheOriginalContractasofthedateofthisAgreement.

PartyBshallreturntoPartyAanyandallproperty,documents,ordatabelongingtoPartyAthatareinitspossessionorcontrolinrelationtotheOriginalContractwithin[returnperiod]daysoftheexecutionofthisAgreement.

PartyBshallindemnifyandholdPartyAharmlessfromandagainstanyandallclaims,damages,losses,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwithPartyB'sperformanceornonperformanceoftheOriginalContractpriortotheterminationdate,exceptforthosecausedbyPartyA'swillfulmisconductorgrossnegligence.

IV.Termination

1.EffectiveDateofTermination

ThisAgreementshallbeeffectiveasofthedateofexecutionbybothparties(the"EffectiveDate").

TheOriginalContractshallterminateimmediatelyupontheeffectivenessofthisAgreement.

2.TerminationProcedures

Bothpartiesshallexecuteanddelivertoeachotherawrittennoticeoftermination(the"TerminationNotice")within[noticeperiod]daysofreachinganagreementontheterminationterms.TheTerminationNoticeshallspecifytheEffectiveDateofterminationandshallconfirmthatallrightsandobligationsunderthisAgreementareinaccordancewiththetermsherein.

V.Payment

1.CalculationofPayment

FortheworkorservicesalreadyperformedandacceptedbyPartyAasoftheEffectiveDate,PartyBshallbepaidanamountcalculatedasfollows:

VI.Confidentiality

"ConfidentialInformation"shallmeanallinformation,whetheroralorwritten,disclosedbyonepartytotheotherinconnectionwiththeOriginalContract,includingbutnotlimitedtobusinessplans,technicalspecifications,customerlists,andfinancialinformation.

2.ObligationofConfidentiality

EachpartyshallkeepconfidentialallConfidentialInformationoftheotherpartyandshallnotdisclosesuchConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherparty,exceptasrequiredbylaw.

ThisobligationofconfidentialityshallsurvivetheterminationofthisAgreementforaperiodof[confidentialityperiod]years.

VII.IntellectualPropertyRights

1.OwnershipofIntellectualProperty

AllintellectualpropertyrightscreatedordevelopedbyPartyBinthecourseofperformingtheOriginalContractshallremaintheexclusivepropertyofPartyB,unlessotherwiseagreedinwriting.

PartyAshallhavethenonexclusiverighttousesuchintellectualpropertyrightssolelyforthepurposesrelatedtotheOriginalContractduringthetermoftheOriginalContract.UponterminationofthisAgreement,PartyA'srighttousesuchintellectualpropertyrightsshallceaseimmediately.

2.InfringementIndemnification

PartyBshallindemnifyandholdPartyAharmlessfromandagainstanyandallclaims,damages,losses,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwithanyinfringementofthirdpartyintellectualpropertyrightsbyPartyB'suseofintellectualpropertyrightsintheperformanceoftheOriginalContract.

VIII.RepresentationsandWarranties

1.PartyA'sRepresentationsandWarranties

PartyArepresentsandwarrantsthatithasthelegalrightandauthoritytoenterintothisAgreementandtoterminatetheOriginalContract.

PartyArepresentsandwarrantsthatallinformationprovidedbyittoPartyBinconnectionwiththeOriginalContractisaccurateandpleteanddoesnotviolateanylawsorregulations.

2.PartyB'sRepresentationsandWarranties

PartyBrepresentsandwarrantsthatithasthelegalrightandauthoritytoenterintothisAgreementandtoperformtheworkorservicesundertheOriginalContract.

PartyBrepresentsandwarrantsthatallworkorservicesperformedbyitundertheOriginalContractwereinaccordancewiththetermsoftheOriginalContractandapplicablelawsandregulations.

Ix.GoverningLawandJurisdiction

1.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[governingjurisdiction].

2.Jurisdiction

AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtsof[jurisdictionfordisputes],andbothpartiesherebyconsenttothejurisdictionofsuchcourts.

x.EntireAgreement

1.ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.

2.Nomodification,amendment,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.

xI.Severability

1.IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallinnowayinanywaybeaffectedorimpaired.

xII.Waiver

1.NowaiverbyeitherpartyofanybreachofthisAgreementshallbedeemedawaiverofanysubsequentbreach.

Inwitnesswhereof,thepartieshaveexecutedthisAgreementforTerminationofContractasofthedatefirstabovewritten.
