合同续签协议书英文

ContractRenewalAgreement

ThisContractRenewalAgreement(the"Agreement")ismadeandenteredintoasof[date]byandbetween[PartyAname],a[PartyAentitytype]organizedandexistingunderthelawsof[PartyAjurisdiction](hereinafterreferredtoas"PartyA"),and[PartyBname],a[PartyBentitytype]organizedandexistingunderthelawsof[PartyBjurisdiction](hereinafterreferredtoas"PartyB").

I.Recitals

WHEREAS,PartyAandPartyBenteredintoa[Originalcontractname](the"OriginalContract")on[Originalcontractdate];

WHEREAS,thetermoftheOriginalContractisabouttoexpire,andbothpartiesdesiretorenewthecontractualrelationshiponthetermsandconditionssetforthherein.

II.RenewalofContract

1.ThepartiesherebyagreetorenewtheOriginalContractforaperiodof[Renewaltermduration]commencingon[Renewalstartdate]andendingon[Renewalenddate].

2.AllthetermsandconditionsoftheOriginalContractshallremaininfullforceandeffectduringtherenewalterm,exceptasmodifiedbythisAgreement.

III.Modifications

1.ThefollowingmodificationsaremadetotheOriginalContract:

2.AnyothertermsnotmodifiedbythisAgreementshallbegovernedbytheOriginalContract.

IV.RightsandObligations

1.PartyAshallcontinuetohavetherightsandbesubjecttotheobligationsassetforthintheOriginalContract,asmodifiedbythisAgreement.PartyAshallpayPartyBforthegoodsorservicesprovidedinaccordancewiththepaymenttermsherein.

2.PartyBshallcontinuetohavetherightsandbesubjecttotheobligationsassetforthintheOriginalContract,asmodifiedbythisAgreement.PartyBshallprovidethegoodsorservicesinatimelyandprofessionalmanner,meetingallthequalitystandardsstipulated.

V.Confidentiality

1.EachpartyacknowledgesthatduringtheperformanceofthisAgreement,itmayhaveaccesstocertainconfidentialinformationoftheotherparty.

2.Thereceivingpartyshallkeepsuchconfidentialinformationinstrictconfidenceandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentofthedisclosingparty,exceptasrequiredbylaw.

VI.Termination

1.EitherpartymayterminatethisAgreementupon[Numberofdays/months]days'priorwrittennoticetotheotherparty.

2.Intheeventoftermination,bothpartiesshallcompletealloutstandingtransactionsandreturnanypropertyorconfidentialinformationoftheotherpartyintheirpossession.

VII.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Governinglawjurisdiction].

VIII.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.

INWITNESSWHEREOF,thepartieshaveexecutedthisContractRenewalAgreementasofthedatefirstabovewritten.
