ContractAgreement

ThisContractAgreementismadeandenteredintoasof[date]byandbetween[PartyAname],a[PartyAentitytype]organizedandexistingunderthelawsof[PartyAjurisdiction](hereinafterreferredtoas"PartyA"),and[PartyBname],a[PartyBentitytype]organizedandexistingunderthelawsof[PartyBjurisdiction](hereinafterreferredtoas"PartyB").

I.Recitals

WHEREAS,PartyAisengagedin[describePartyA'sbusiness],andPartyBisinterestedin[describePartyB'srelatedinterestoractivity];

WHEREAS,thepartiesdesiretoenterintoacontracttodefinetheirrightsandobligationswithrespecttothefollowingmatters.

II.ScopeofWork

PartyAshallberesponsiblefor[describePartyA'stasksindetail,suchasprovidingcertaingoods,services,etc.].PartyAshallensurethatallworkiscarriedoutinaccordancewithindustrystandardsandrelevantlaws.

PartyBshallberesponsiblefor[describePartyB'stasks,suchasmakingpayments,providingcertainresources].PartyBshallfulfillitsobligationswithinthetimeframesspecifiedherein.

III.PaymentTerms

PartyBshallpayPartyAthetotalamountof[currencyandamount]fortheservices/goodsprovided.Thepaymentshallbemadeinthefollowingmanner:

1.Aninitialpaymentof[currencyandamount]shallbemadewithin[numberofdays]daysafterthesigningofthiscontract.

2.Theremainingbalanceof[currencyandamount]shallbepaiduponthesuccessfulcompletionoftheworkanduponPartyB'sacceptance,whichshallbewithin[numberofdays]daysafterthecompletiondate.

IV.IntellectualPropertyRights

Allintellectualpropertyrightsarisingoutoftheworkperformedunderthiscontract,includingbutnotlimitedtopatents,trademarks,copyrights,shallbelongto[specifywhichpartyownstheintellectualpropertyrights].Theotherpartyshallnotuse,reproduce,ordistributesuchintellectualpropertywithoutthepriorwrittenconsentoftheowner.

V.Confidentiality

Eachpartyacknowledgesthatinthecourseofperformingthiscontract,itmayhaveaccesstoconfidentialinformationoftheotherparty.Eachpartyshallkeepsuchconfidentialinformationconfidentialandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.Theobligationofconfidentialityshallsurvivetheterminationofthiscontractforaperiodof[numberofyears].

VI.TermandTermination

1.Term:Thiscontractshallcommenceonthedateofsigningandshallremaininforceforaperiodof[numberofmonths/years].

2.Termination:Eitherpartymayterminatethiscontractupon[numberofdays]days'writtennoticetotheotherpartyintheeventofamaterialbreachofthiscontractbytheotherparty.Incaseoftermination,bothpartiesshallfulfilltheirremainingobligationsandreturnanypropertyorinformationbelongingtotheotherparty.

VII.LiabilityforBreach

Intheeventofabreachofthiscontractbyeitherparty,thebreachingpartyshallbeliableforalldamagesandlossessufferedbythenon-breachingpartyasaresultofsuchbreach.Thenon-breachingpartyshallhavetherighttoclaimcompensationfordirectandindirectlosses,includingbutnotlimitedtolossofprofits,legalfees,andexpensesincurredinconnectionwiththebreach.

VIII.GoverningLaw

Thiscontractshallbegovernedbyandconstruedinaccordancewiththelawsof[governingjurisdiction].Anydisputesarisingoutoforinconnectionwiththiscontractshallbesubjecttotheexclusivejurisdictionofthecourtsin[governingjurisdiction].
