TerminationAgreement

ThisTerminationAgreement(the“Agreement”)ismadeandenteredintoasof[date]byandbetween[PartyAname],a[PartyAentitytype]organizedandexistingunderthelawsof[PartyAjurisdiction](hereinafterreferredtoas“PartyA”),and[PartyBname],a[PartyBentitytype]organizedandexistingunderthelawsof[PartyBjurisdiction](hereinafterreferredtoas“PartyB”).

Recitals

WHEREAS,PartyAandPartyBenteredintoa[Contractname](the“OriginalContract”)on[dateoforiginalcontract];

WHEREAS,bothpartiesnowdesiretoterminatetheOriginalContractinaccordancewiththetermsandconditionssetforthherein.

TerminationoftheOriginalContract

1.ThepartiesherebymutuallyagreetoterminatetheOriginalContracteffectiveasof[terminationdate].AllrightsandobligationsofthepartiesundertheOriginalContractshallceaseandterminateasofsuchdate,exceptasotherwiseprovidedherein.

ReleaseandWaiver

1.Eachpartyherebyreleasesandforeverdischargestheotherparty,itsaffiliates,officers,directors,employees,agents,andrepresentativesfromanyandallclaims,causesofaction,liabilities,obligations,damages,losses,costs,andexpensesofeverykindandnature,whetherknownorunknown,arisingoutoforinanywayrelatedtotheOriginalContractortherelationshipbetweenthepartiesundertheOriginalContract.

2.EachpartywaivesanyandallrightsitmayhavetoassertanyclaimagainsttheotherpartybasedontheOriginalContractoranymattersrelatedthereto.

ReturnofProperty

1.PartyAshallreturntoPartyBallproperty,documents,andmaterialsbelongingtoPartyBthatareinPartyA'spossessionorcontrolandthatwereprovidedorcreatedinconnectionwiththeOriginalContractwithin[numberofdays]daysaftertheexecutionofthisAgreement.

2.PartyBshallreturntoPartyAallproperty,documents,andmaterialsbelongingtoPartyAthatareinPartyB'spossessionorcontrolandthatwereprovidedorcreatedinconnectionwiththeOriginalContractwithin[numberofdays]daysaftertheexecutionofthisAgreement.

Confidentiality

1.ThepartiesshallcontinuetobeboundbytheconfidentialityprovisionsoftheOriginalContract,ifany,withrespecttoanyconfidentialinformationdisclosedorobtainedduringthetermoftheOriginalContract.ThisconfidentialityobligationshallsurvivetheterminationoftheOriginalContract.

Non-disparagement

1.Eachpartycovenantsandagreesthatitwillnotmakeanydisparagingstatements,oralorwritten,abouttheotherparty,itsproducts,services,businessoperations,ormanagement,whichcouldharmthereputationorbusinessinterestsoftheotherparty.

EntireAgreement

1.ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.

AmendmentsandWaivers

1.Noamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.

Severability

1.IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallnotinanywaybeaffectedorimpaired.

GoverningLaw

1.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[governingjurisdiction].

Counterparts

1.ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.
