1.2TheAgentrepresentsandwarrantsthat:

a.IthasthelegalcapacitytoenterintothisAgreementandtoperformitsobligationshereunder;

b.Itisnotinviolationofanylaws,regulations,orotherlegalrequirementsinconnectionwiththeexecutionandperformanceofthisAgreement;

c.TheprincipalbusinessactivitiesandtheexecutionofthisAgreementarenotsubjecttoanylegalrestrictionsorprohibitions.

OBLIGATIONS:

2.1ThePrincipalagreestopaytheAgentacommission("Commission")forthesaleorreferralofcustomersorbusinessopportunities,inaccordancewiththefollowingtermsandconditions:

a.TheCommissionshallbecalculatedasapercentageofthetotalamountpaidbythecustomersorbusinessopportunitiesreferredbytheAgent;

b.ThepercentageoftheCommissionshallbeagreeduponinwritingbybothpartiesinadvance;

c.ThePrincipalshallpaytheCommissionwithin[NumberofDays]daysfromthedateofthesaleorreferralofthecustomerorbusinessopportunity.

2.2TheAgentagreesto:

a.UsereasonableeffortstosellorrefercustomersorbusinessopportunitiestothePrincipal;

b.KeepconfidentialallinformationprovidedbythePrincipalinconnectionwiththisAgreement;

c.Complywithallapplicablelaws,regulations,andotherlegalrequirementsintheperformanceofitsobligationsunderthisAgreement.

TERMANDTERMINATION:

3.1ThisAgreementshallcommenceontheEffectiveDateandshallcontinueineffectforaperiodof[NumberofYears]years,unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

3.2EitherpartymayterminatethisAgreementbygivingwrittennoticetotheotherpartyatleast[NumberofDays]dayspriortotheterminationdate.

3.3UponterminationofthisAgreement,theAgentshallbeentitledtoreceivetheCommissionforallsalesorreferralsmadepriortotheterminationdate,butnofurtherCommissionshallbepayable.

CONFIDENTIALITY:

4.1ThePrincipalandtheAgentagreetokeepconfidentialallinformationprovidedbyeitherpartyinconnectionwiththisAgreement,includingbutnotlimitedtotradesecrets,customerinformation,andbusinessstrategies.

4.2TheconfidentialityobligationsunderthisSection4shallsurvivetheterminationorexpirationofthisAgreement.

INDEMNIFICATION:

5.1ThePrincipalagreestoindemnifyandholdtheAgentharmlessfromandagainstanyandallclaims,actions,liabilities,damages,losses,andexpenses(includingreasonableattorney'sfees)arisingoutoforresultingfromthePrincipal'sbreachofthisAgreement.

5.2TheAgentagreestoindemnifyandholdthePrincipalharmlessfromandagainstanyandallclaims,actions,liabilities,damages,losses,andexpenses(includingreasonableattorney'sfees)arisingoutoforresultingfromtheAgent'sbreachofthisAgreement.

DISPUTERESOLUTION:

6.1AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesettledamicablybetweenthePrincipalandtheAgent.

6.2Ifthepartiesareunabletoresolveanydisputeamicably,suchdisputeshallbesubmittedtoarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].

5.2TheAgentshallbeliableforanydamagesorlossesincurredbythePrincipalasaresultoftheAgent'sbreachofthisAgreement.

6.1ThePrincipalshallhavetherighttoterminatethisAgreementimmediatelyupontheoccurrenceofanyofthefollowingevents:
