TerminationofContractAgreement

ThisTerminationofContractAgreement(the"Agreement")ismadeandenteredintoasof[date]byandbetween[PartyAname],a[PartyAentitytype]organizedandexistingunderthelawsof[PartyAjurisdiction](hereinafterreferredtoas"PartyA"),and[PartyBname],a[PartyBentitytype]organizedandexistingunderthelawsof[PartyBjurisdiction](hereinafterreferredtoas"PartyB").

Recitals

WHEREAS,PartyAandPartyBenteredintoa[Contractname](the"OriginalContract")on[dateoforiginalcontract];and

WHEREAS,thepartiesnowdesiretoterminatetheOriginalContractuponthetermsandconditionssetforthherein.

Termination

1.TheOriginalContractshallbeterminatedeffectiveasof[terminationdate].AllrightsandobligationsofthepartiesundertheOriginalContractshallceaseasofthisterminationdate,exceptasotherwiseprovidedherein.

2.EachpartyrepresentsandwarrantsthatithasfulfilledallofitsobligationsundertheOriginalContractuptotheterminationdateandthattherearenooutstandingclaims,disputes,orliabilitiesarisingfromtheperformanceoftheOriginalContractpriortotheterminationdate,exceptasdisclosedtotheotherpartyinwritingpriortotheexecutionofthisAgreement.

ReleaseandWaiver

1.PartyAherebyreleasesandforeverdischargesPartyB,itsaffiliates,officers,directors,employees,agents,andrepresentativesfromanyandallclaims,liabilities,damages,losses,andexpensesofeverykindandnature,whetherknownorunknown,arisingoutoforinanywayrelatedtotheOriginalContractortherelationshipbetweenthepartiesinconnectiontherewith.

2.PartyBherebyreleasesandforeverdischargesPartyA,itsaffiliates,officers,directors,employees,agents,andrepresentativesfromanyandallclaims,liabilities,damages,losses,andexpensesofeverykindandnature,whetherknownorunknown,arisingoutoforinanywayrelatedtotheOriginalContractortherelationshipbetweenthepartiesinconnectiontherewith.

ReturnofProperty

1.Eachpartyshallreturntotheotherpartyanyandallproperty,documents,data,andinformationbelongingtotheotherpartythatitmayhaveinitspossessionorcontrolasaresultoftheOriginalContract.Thisshallinclude,butnotbelimitedto,prototypes,samples,drawings,specifications,customerlists,andanyotherconfidentialorproprietaryinformation.

2.Thepartiesshalldestroyanycopiesofsuchproperty,documents,data,andinformationthattheymayhavemade,andshallcertifyinwritingtotheotherpartythattheyhavedonesowithin[numberofdays]daysaftertheexecutionofthisAgreement.

Confidentiality

1.TheconfidentialityprovisionsoftheOriginalContractshallsurvivetheterminationoftheOriginalContractandshallremaininfullforceandeffectforaperiodof[confidentialityperiod]yearsfromtheterminationdate.

2.Eachpartyshallcontinuetoprotectandsafeguardtheconfidentialityoftheotherparty'sconfidentialinformationinaccordancewiththetermsoftheOriginalContractandapplicablelaws.

EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.

AmendmentsandWaivers

Noamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.

Severability

IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallnotinanywayinanywaybeaffectedorimpaired.

GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[governinglawjurisdiction].

Counterparts

ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.
