SupplyContractAgreement

ThisSupplyContractAgreement(the"Agreement")ismadeandenteredintoasof[date]byandbetween[Suppliername],a[Supplier'slegalentitytype]organizedandexistingunderthelawsof[Supplier'sjurisdiction](the"Supplier"),and[Purchasername],a[Purchaser'slegalentitytype]organizedandexistingunderthelawsof[Purchaser'sjurisdiction](the"Purchaser").

1.ScopeofSupply

TheSuppliershallsupplytothePurchaser,andthePurchasershallpurchasefromtheSupplier,thegoodsandservices(the"Goods")describedinExhibitAattachedhereto,inthequantitiesandatthepricessetforththerein.

2.Delivery

2.1TheSuppliershalldelivertheGoodstothelocationspecifiedbythePurchaser(the"DeliveryLocation")inaccordancewiththedeliveryschedulesetforthinExhibitA.

2.2TheSuppliershallberesponsibleforallcostsassociatedwiththetransportation,insurance,andhandlingoftheGoodsuntiltheyaredeliveredtotheDeliveryLocation.

3.QualityandInspection

3.1TheGoodsshallconformtothespecifications,qualitystandards,andrequirementssetforthinExhibitAandanyapplicableindustrystandards.

3.2ThePurchasershallhavetherighttoinspecttheGoodsupondelivery.IftheGoodsdonotconformtotheagreed-uponspecificationsorqualitystandards,thePurchasermayrejecttheGoodsandrequesttheSuppliertoreplacethemwithinareasonabletime.

4.Payment

4.1ThePurchasershallpaytheSupplierthepurchasepricefortheGoodsinaccordancewiththepaymenttermssetforthinExhibitA.

4.2Paymentshallbemadeby[Paymentmethod],andtheSuppliershallsubmitaninvoicetothePurchaserwithin[numberofdays]daysafterthedeliveryoftheGoods.

5.IntellectualProperty

5.1TheSupplierrepresentsandwarrantsthatithastherighttosupplytheGoodsandthattheGoodsdonotinfringeupontheintellectualpropertyrightsofanythirdparty.

5.2IntheeventofanyclaimofintellectualpropertyinfringementarisingoutofthesupplyoftheGoods,theSuppliershallberesponsiblefordefendingthePurchaseragainstsuchclaimandshallindemnifythePurchaserforanylosses,damages,liabilities,andexpensesincurredasaresultthereof.

6.Confidentiality

6.1EachpartyshallkeepconfidentialallinformationobtainedfromtheotherpartyinconnectionwiththisAgreement(the"ConfidentialInformation").

6.2TheConfidentialInformationshallnotbedisclosedtoanythirdpartywithoutthepriorwrittenconsentoftheotherparty,exceptasrequiredbylaw.

7.TermandTermination

7.1ThisAgreementshallcommenceonthedateofexecutionandshallremaininforceforaperiodof[numberofmonths/years](the"Term").

7.2EitherpartymayterminatethisAgreementupon[numberofdays/months]days'writtennoticetotheotherpartyintheeventofamaterialbreachofthisAgreementbytheotherparty.

8.LiabilityandIndemnification

8.1TheSuppliershallbeliableforanydamages,losses,orinjuriescausedbytheGoodsorthesupplythereof.

8.2TheSuppliershallindemnifyandholdthePurchaserharmlessfromandagainstanyandallclaims,liabilities,damages,losses,andexpensesarisingoutoforinconnectionwiththesupplyoftheGoods,includingbutnotlimitedtoclaimsforpersonalinjury,propertydamage,andintellectualpropertyinfringement.

9.GoverningLawandJurisdiction

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Governingjurisdiction].AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedbytheexclusivejurisdictionofthecourtsof[Jurisdiction].

INWITNESSWHEREOF,thepartieshaveexecutedthisSupplyContractAgreementasofthedatefirstabovewritten.
