ContractAgreementThisContractAgreement(the“Agreement”)ismadeandenteredintoasof[date]byandbetween[PartyAname],a[PartyAentitytype]organizedandexistingunderthelawsof[PartyAjurisdiction](hereinafterreferredtoas“PartyA”),and[PartyBname],a[PartyBentitytype]organizedandexistingunderthelawsof[PartyBjurisdiction](hereinafterreferredtoas“PartyB”).I.RecitalsWHEREAS,PartyAisengagedin[PartyAbusinessbriefdescription];WHEREAS,PartyBisengagedin[PartyBbusinessbriefdescription];WHEREAS,thePartiesdesiretoenterintoanagreementto[statethegeneralpurposeofthecontract,e.g.,cooperateonaproject,providegoodsorservices].II.ScopeofWork1.PartyA'sObligations-PartyAshall[listindetailPartyA'sresponsibilities,forexample,PartyAshallprovideallnecessaryresourcesandinformationrelatedtotheprojectwithin[timeframe]].-PartyAshallberesponsiblefor[otherrelevanttasks].2.PartyB'sObligations-PartyBshall[describePartyB'stasks,e.g.,PartyBshallperformtheservicesof[servicedetails]inaccordancewithindustrystandardsandwithinthetimelimitsspecifiedinthisAgreement].-PartyBshallensurethatallworkiscarriedoutinaprofessionalandtimelymanner.III.PaymentTerms1.PaymentAmount-Inconsiderationoftheservices/goodsprovidedbyPartyB,PartyAshallpayPartyBatotalamountof[currencyandamount].2.PaymentSchedule-PartyAshallmakethefirstpaymentof[currencyandamount]within[numberofdays]daysafterthesigningofthisAgreementasanadvancepayment.-Thesecondpaymentof[currencyandamount]shallbemadeuponthecompletionof[specificmilestone].-Thefinalpaymentof[currencyandamount]shallbemadewithin[numberofdays]daysafterthesatisfactorycompletionofallworkandacceptancebyPartyA.IV.Confidentiality1.ConfidentialInformationDefined-EachPartyacknowledgesthatinthecourseofperformingthisAgreement,itmayhaveaccesstoconfidentialinformationoftheotherParty,includingbutnotlimitedtobusinessplans,customerlists,andtechnicaldata.2.ObligationsoftheReceivingParty-ThereceivingPartyshallkeeptheconfidentialinformationinstrictconfidenceandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentofthedisclosingParty,exceptasrequiredbylaw.-ThereceivingPartyshallonlyusetheconfidentialinformationforthepurposesofthisAgreement.V.IntellectualPropertyRights1.Ownership-AnyintellectualpropertyrightscreatedordevelopedinthecourseofperformingthisAgreementshallbeownedby[statetheowner,e.g.,PartyA/PartyB].2.License-Ifnecessary,thePartythatownstheintellectualpropertyrightsshallgranttheotherPartyanon-exclusivelicensetousetheintellectualpropertyforthepurposesofthisAgreement.VI.TermandTermination1.Term-ThisAgreementshallcommenceon[startdate]andshallremaininforceforaperiodof[numberofmonths/years],unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.2.Termination-EitherPartymayterminatethisAgreementupon[numberofdays/months]days'writtennoticetotheotherPartyintheeventofamaterialbreachofthisAgreementbytheotherParty.-Intheeventoftermination,bothPartiesshallcooperatetowinduptheaffairsrelatedtothisAgreement,includingbutnotlimitedtoreturninganyconfidentialinformationandsettlinganyoutstandingpayments.VII.GoverningLawandJurisdiction1.GoverningLaw-ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[governingjurisdiction].2.Jurisdiction-AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthe[courtname]in[jurisdiction].VIII.EntireAgreementThisAgreementconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallpriororalorwrittenagreementsandunderstandingsrelatingtothesame.INWITNESSWHEREOF
