I.Introduction

PartyAdesirestomakeaninvestmentinPartyB,andPartyBdesirestoacceptsuchinvestment,subjecttothetermsandconditionsofthisAgreement.

II.InvestmentAmountandPayment

1.PartyAshallinvestanamountof[Investmentamountinspecificcurrency](the"InvestmentAmount")inPartyB.

2.TheInvestmentAmountshallbepaidbyPartyAtoPartyBwithin[numberofdays]daysaftertheexecutionofthisAgreement.ThepaymentshallbemadetothefollowingbankaccountofPartyB:

III.EquityInterest

InconsiderationoftheInvestmentAmount,PartyAshallbeentitledto[Equitypercentage]%equityinterestinPartyB(the"EquityInterest").PartyBshalltakeallnecessarystepstoissueandtransfertheEquityInteresttoPartyAinaccordancewithapplicablelawsandregulations.

IV.RightsandObligationsoftheParties

A.RightsofPartyA

1.AsashareholderofPartyB,PartyAshallhavetherighttoparticipateinthemanagementanddecision-makingofPartyBinaccordancewiththelaws,PartyB'sarticlesofassociation,andthisAgreement.

2.PartyAshallbeentitledtoreceivedividendsfromPartyBinproportiontoitsEquityInterest,subjecttoPartyB'sprofitdistributionpoliciesandrelevantlaws.

B.ObligationsofPartyA

1.PartyAshallpaytheInvestmentAmountinfullandontimeasstipulatedinthisAgreement.

2.PartyAshallabidebyPartyB'sarticlesofassociationandrelevantlawsandregulationsregardingitsrightsandobligationsasashareholder.

C.RightsofPartyB

1.PartyBhastherighttousetheInvestmentAmountforitsbusinessoperationsinaccordancewithitsbusinessplan.

2.PartyBshallhavetherighttorequestPartyAtocooperateinanymattersrelatedtotheregistrationandtransferoftheEquityInterest.

D.ObligationsofPartyB

1.PartyBshallusetheInvestmentAmountinareasonableandlegalmanner,andshallnotmisappropriateormisusethefunds.

2.PartyBshallprovidePartyAwithregularfinancialstatementsandbusinessreportstokeepPartyAinformedofitsfinancialconditionandbusinessoperations.

V.GovernanceandDecision-Making

1.PartyAshallhavetherighttoappoint[Numberofrepresentatives]representative(s)toPartyB'sboardofdirectors(ifapplicable)inproportiontoitsEquityInterest.

2.MajordecisionsofPartyB,suchasmergers,acquisitions,capitalincreases,andsignificantassetdisposals,shallbesubjecttotheapprovaloftheboardofdirectorsandshareholders'meetingsinaccordancewithPartyB'sarticlesofassociationandrelevantlaws.

VI.Confidentiality

1.EachpartyshallkeepconfidentialallinformationobtainedfromtheotherpartyinconnectionwiththisAgreement,includingbutnotlimitedtobusinesssecrets,financialinformation,andtechnicalknow-how(the"ConfidentialInformation").

2.TheconfidentialityobligationshallsurvivetheterminationofthisAgreementforaperiodof[numberofyears]years.

VII.Non-Compete

1.DuringthetermofthisAgreementandforaperiodof[numberofyears]yearsaftertheterminationofthisAgreement,PartyBshallnotengageinanybusinessactivitiesthatareindirectcompetitionwithPartyA'sexistingbusinessinthesamemarketsegment,unlessotherwiseagreedinwritingbyPartyA.

2.PartyAshallnotengageinanybusinessactivitiesthatareindirectcompetitionwithPartyB'scorebusinessduringthetermofthisAgreement,unlessotherwiseagreedinwritingbyPartyB.

VIII.TransferofEquityInterest

1.PartyAshallnottransferitsEquityInteresttoanythirdpartywithoutthepriorwrittenconsentofPartyB,exceptinaccordancewithapplicablelawsandregulations.

2.Intheeventofapermittedtransfer,PartyBshallhavetherightoffirstrefusalunderthesametermsandconditionsofferedbythethird-partytransferee.

IX.Termination

1.ThisAgreementmaybeterminatedbymutualwrittenagreementoftheparties.

2.IntheeventofamaterialbreachofthisAgreementbyeitherparty,thenon-breachingpartyshallhavetherighttoterminatethisAgreementbygivingwrittennoticetothebreachingparty.

X.LiabilityforBreachofContract

1.IfeitherpartyfailstoperformitsobligationsunderthisAgreement,itshallbeliablefordamagestotheotherpartycausedbysuchbreach.

2.Theliabilityforbreachofcontractshallincludebutnotbelimitedtodirectlosses,indirectlosses,andreasonableattorney'sfeesandlitigationcostsincurredbythenon-breachingparty.

XI.DisputeResolution

1.AnydisputesarisingoutoforinconnectionwiththisAgreementshallbefirstresolvedthroughfriendlyconsultationsbetweentheparties.

2.Iftheconsultationsfail,thedisputesshallbesubmittedto[Arbitrationinstitutionname]forarbitration
