英文版工程合同协议书

EngineeringContractAgreement

ThisEngineeringContractAgreement(the"Agreement")ismadeandenteredintoasof[date]byandbetween[PartyAname],a[PartyAentitytype]organizedandexistingunderthelawsof[PartyAjurisdiction](hereinafterreferredtoas"PartyA"),and[PartyBname],a[PartyBentitytype]organizedandexistingunderthelawsof[PartyBjurisdiction](hereinafterreferredtoas"PartyB").

I.ScopeofWork

PartyBshallberesponsiblefortheengineeringworkdescribedinExhibitA(the"ScopeofWork"),whichincludesbutisnotlimitedto[listmaintasksanddeliverables].PartyBshallperformtheworkinaccordancewithallapplicablelaws,regulations,andindustrystandards.

II.ContractPriceandPaymentTerms

1.ContractPrice:InconsiderationoftheservicestoberenderedbyPartyBhereunder,PartyAshallpayPartyBatotalcontractpriceof[amountincurrency](the"ContractPrice").

2.PaymentSchedule:

-AdvancePayment:PartyAshallpayPartyBanadvancepaymentof[advancepaymentpercentage]oftheContractPricewithin[numberofdays]daysafterthesigningofthisAgreement.

-InterimPayments:PartyBshallsubmitmonthlyprogressreportstoPartyA.PartyAshallreviewandpay[interimpaymentpercentage]ofthecompletedworkvalueasverifiedbyPartyAwithin[numberofdays]daysafterreceivingtheprogressreport.

-FinalPayment:AfterthesuccessfulcompletionoftheScopeofWorkandpassingtheacceptanceinspection,PartyAshallpaytheremainingContractPrice(i.e.,theContractPriceminusthesumofallpreviouspayments)within[numberofdays]days.

III.ProjectSchedule

1.CommencementDate:PartyBshallcommencetheworkon[commencementdate].

2.CompletionDate:PartyBshallcompletetheScopeofWorkonorbefore[completiondate].AnydelayinthecompletionoftheworkshallbesubjecttotheprovisionsofthisAgreementregardingliquidateddamages.

IV.QualityAssurance

1.PartyBshallensurethatallworkiscarriedoutinstrictaccordancewiththequalityrequirementsandspecificationssetforthinExhibitB(the"QualitySpecifications").

2.PartyBshallberesponsibleforanydefectsornon-conformitiesintheworkwithinthewarrantyperiod.Thewarrantyperiodshallbe[warrantyperiodduration]startingfromthedateofacceptanceofthework.

V.RightsandObligationsofPartyA

1.PartyAshallprovidePartyBwithnecessaryassistanceandinformation,includingbutnotlimitedtoaccesstotheprojectsite,relevantdesigndocuments,etc.,tofacilitatePartyB'sperformanceofthework.

2.PartyAhastherighttoinspecttheprogressandqualityoftheworkatanytime.PartyAshallprovidereasonablenoticetoPartyBincaseofaninspection.

VI.RightsandObligationsofPartyB

1.PartyBshallcarryouttheworkwithduediligence,usingqualifiedpersonnelandappropriateequipmentandmaterials.

2.PartyBshallberesponsibleforobtainingallnecessarypermitsandapprovalsrequiredforthework.

3.PartyBshallindemnifyandholdPartyAharmlessfromanyandalllosses,damages,liabilities,andexpensesarisingoutoforinconnectionwithPartyB'sperformanceofthework,includingbutnotlimitedtoclaimsfromthirdpartiesduetonegligenceorbreachofcontractbyPartyB.

VII.Confidentiality

BothpartiesshallkeepconfidentialallinformationobtainedfromtheotherpartyinconnectionwiththisAgreement,includingbutnotlimitedtobusinesssecrets,technicalinformation,andprojectdetails.ThisconfidentialityobligationshallsurvivetheterminationofthisAgreement.

VIII.Termination

1.EitherpartymayterminatethisAgreementincaseofamaterialbreachoftheAgreementbytheotherparty.ThepartyterminatingtheAgreementshallprovidewrittennoticetotheotherpartyspecifyingthegroundsfortermination.

2.Incaseoftermination,PartyBshallbeentitledtoreceivepaymentfortheworkcompletedandaccepteduptothedateofterminationinaccordancewiththepaymenttermsherein.

IX.ForceMajeure

Neitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationshereunderduetoforcemajeureevents,suchasnaturaldisasters,war,governmentactions,etc.Theaffectedpartyshallnotifytheotherpartyassoonaspossibleandprovideevidenceoftheforcemajeureevent.

X.DisputeResolution

1.AnydisputesarisingoutoforinconnectionwiththisAgreementshallbefirstattemptedtoberesolvedthroughfriendlyconsultationsbetweenthetwoparties.

2.Iftheconsultationsfail,thedisputesshallbesubmittedto[arbitrationinstitutionname]forarbitrationinaccordancewithitsarbitrationrules.Thearbitrationshallbeconductedin[arbitrationlanguage],andtheawardofthearbitrationshallbefinalandbindingonbothparties.

XI.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[governinglawjurisdiction].
