②Providedetailedreportsandfindingsonaregularbasis.

③Ensuretheconfidentialityandintegrityofalldataandinformationobtainedduringtheproject.

三、项目实施与进度

a.项目实施

①Establishaprojectmanagementteamtooverseetheprogressandqualityofthework.

②Developadetailedprojectplan,includingmilestonesandtimelines.

③Regularlycommunicateandcoordinatewithbothpartiestoensuresmoothprogress.

b.项目进度

①Initialresearchanddatacollection:1-3months

②Patentretrievalandanalysis:4-6months

③Reportpreparationandpresentation:7-9months

四、知识产权与成果分享

a.知识产权

①Bothpartiesagreetoprotecttheconfidentialityofanyintellectualpropertyrights.

②Anyintellectualpropertydevelopedduringtheprojectwillbejointlyownedbybothparties.

b.成果分享

①Acomprehensivereportwillbepreparedandsharedwithbothpartiesuponcompletionoftheproject.

②Bothpartieswillhavetherighttouseanddistributethefindingsoftheprojectfornon-commercialpurposes.

五、保密条款

a.保密义务

①Bothpartiesagreetokeepallconfidentialinformationobtainedduringtheprojectstrictlyconfidential.

②Confidentialinformationincludesbutisnotlimitedtotechnicaldata,businessstrategies,andanyothersensitiveinformation.

b.保密期限

①Theconfidentialityobligationsshallremainineffectforaperiodoffive(5)yearsfromthedateoftheprojectcompletion.

六、违约责任与争议解决

a.违约责任

①Intheeventofaparty'sbreachofanytermofthisagreement,thenon-breachingpartyshallhavetherighttoterminatethisagreementandseekdamages.

b.争议解决

①Anydisputesarisingoutoforinconnectionwiththisagreementshallberesolvedthroughamicablenegotiationsbetweenbothparties.

②Intheeventofanimpasse,thedisputesshallbesubmittedtoarbitrationinaccordancewiththerulesoftherelevantarbitrationinstitution.

七、终止与解除

a.终止条件

①Eitherpartymayterminatethisagreementuponpriorwrittennoticetotheotherpartyintheeventofamaterialbreachbytheotherparty.

②Theagreementshallautomaticallyterminateuponcompletionoftheproject.

b.解除条件

①Eitherpartymayunilaterallyterminatethisagreementuponpriorwrittennoticetotheotherpartyforanyreason.

八、其他条款

a.不可抗力

①Intheeventofforcemajeure,eitherpartyshallbeexcusedfromperformingitsobligationsunderthisagreementforthedurationoftheforcemajeureevent.

②Forcemajeureincludesbutisnotlimitedtonaturaldisasters,war,andgovernmentactions.

b.通知

①Allnotices,requests,andothercommunicationsunderthisagreementshallbeinwritingandshallbedeliveredbyhand,byregisteredmail,orbyemailtotheaddressesandcontactsspecifiedinthisagreement.

二、双方责任与义务

③Maintainconfidentialityregardinganysensitivemilitaryinformationsharedduringtheproject.

b.乙方责任与义务

②Providedetailedreportsonthefindings,includingtechnicalspecificationsandstrategicimplications.

③Collaboratewiththemilitarysectortoensuretherelevanceoftheanalysistocurrentmilitaryneeds.

c.第三方责任与义务

三、乙方权益与利益条款

a.权益保障

b.经济利益
