2025工程咨询合同(标准中英)2025EngineeringConsultingContract(Standardbilingual)ThisEngineeringConsultingContract("Contract")isenteredintoonthisdayof_,2025,byandbetween:Consultant:(the"Consultant"),trụsở办事处:website:email:AndEmployer:(the"Employer"),địachỉ:website:email:Recitals:Whereas,theEmployerdesirestoengagetheConsultanttoprovideengineeringconsultingservices(the"Services")fortheprojectidentifiedas(the"Project");AndWhereas,theConsultantiswillingandabletoprovidetheServicesasdescribedherein;Now,Therefore,thepartiesheretoagreeasfollows:1.ScopeofServices1.1TheConsultantshallprovidethefollowingengineeringconsultingservicesinrelationtotheProject:1.1.1ConductacomprehensivefeasibilitystudyandanalysisoftheProject;1.1.2DeveloptechnicaldesignsandspecificationsfortheProject;1.1.3Providerecommendationsonprojectexecution,includingtimelines,budgets,andriskmanagement;1.1.4MonitorandevaluatetheprogressoftheProject;and1.1.5Deliverthefinalconsultingreportandrecommendations.1.2TheServicesshallbeperformedinaccordancewithapplicablelawsandregulations,andinlinewithinternationalbestpractices.2.ContractPriceandPaymentTerms2.1ThetotalfeefortheServices(the"ContractPrice")shallbeRMB,(大写：元整),tobepaidbytheEmployertotheConsultantinaccordancewiththetermsofthisContract.2.2TheContractPriceshallbepaidinthefollowingmanner:2.2.1AnadvancepaymentofRMBshallbepaidbytheEmployertotheConsultantuponthesigningofthisContract;2.2.2TheremainingbalanceoftheContractPrice,RMB,shallbepaidbytheEmployerwithindaysafterthesubmissionofthefinalconsultingreportandrecommendations.2.3Allpaymentsshallbemadebybanktransferorothermutuallyagreedpaymentmethods.2.4TheConsultantshallissueaninvoicefortheContractPriceinaccordancewiththeapplicablelawsandregulations.3.ResponsibilitiesandObligations3.1DutiesoftheEmployer:3.1.1ProvidetheConsultantwithallnecessaryinformation,data,andmaterialsrequiredfortheperformanceoftheServicesinatimelymanner;3.1.2CooperatewiththeConsultantandprovidereasonableassistancefortheexecutionoftheServices;3.1.3EnsurethattheConsultanthasaccesstotheProjectsiteandanyrelevantfacilities;3.1.4PaytheContractPriceinaccordancewiththisContract;and3.1.5ProvideanyadditionalsupportasreasonablyrequestedbytheConsultantinwriting.3.2DutiesoftheConsultant:3.2.1PerformtheServicesinaprofessionalanddiligentmanner,inaccordancewiththetermsofthisContractandapplicablelawsandregulations;3.2.2MaintainthehigheststandardsofprofessionalethicsandconfidentialityintheperformanceoftheServices;3.2.3SubmitthefinalconsultingreportandrecommendationstotheEmployerwithintheagreedtimeframe;3.2.4EnsurethattheServicesaredeliveredincompliancewiththeagreedscopeofworkandqualitystandards;and3.2.5CooperatewiththeEmployerandprovideexplanationsorclarificationsasrequired.4.TermandTermination4.1ThetermofthisContractshallcommenceonandshallcontinueuntilthecompletionoftheServices,asagreeduponbybothparties.4.2EitherpartymayterminatethisContractuponwrittennoticetotheotherpartyif:4.2.1TheotherpartybreachesanymaterialtermorconditionofthisContractandfailstocuresuchbreachwithindaysofreceivingwrittennotice;4.2.2Theotherpartybecomesinsolvent,goesintoliquidation,orhasareceivershipappointedoveritsassets;4.2.3InthecaseofterminationbytheEmployer,iftheConsultantisunabletocontinueprovidingtheServicesduetocircumstancesbeyondthecontroloftheEmployer;4.2.4InthecaseofterminationbytheConsultant,iftheEmployerfailstopaytheContractPriceinaccordancewiththisContract.4.3Upontermination,theConsultantshalldeliverallrelevantmaterialsanddocumentstotheEmployerandshallbeentitledtoreceivepaymentforServicesrendereduptothedateoftermination,subjecttothetermsofthisContract.5.Confidentiality5.1TheConsultantagreestokeepallinformation,data,andmaterialsrelatingtotheProject("ConfidentialInformation")strictlyconfidentialandnottodisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheEmployer.5.2TheobligationsofconfidentialityshallsurvivetheterminationofthisContractforaperiodofyears.5.3TheConsultantshallusetheConfidentialInformationsolelyforthepurposeofperformingtheServicesandshalltakeallnecessarymeasurestoprotecttheconfidentialityoftheinformation.6.ForceMajeure6.1NeitherpartyshallbeliableforanyfailureordelayintheperformanceoftheirobligationsunderthisContractifsuchfailureordelayisduetocircumstancesbeyondtheirreasonablecontrol,includingbutnotlimitedtonaturaldisasters,war,governmentactions,oranyotherforcemajeureevent.6.2Ifeitherpartyispreventedfromperformingitsobligationsduetoaforcemajeureevent,itshallpromptlynotifytheotherpartyandmakereasonableeffortstomitigatetheeffectsoftheevent.6.3Iftheforcemajeureeventcontinuesforacontinuousperiodofdays,eitherpartymayterminatethisContractbywrittennoticetotheotherparty.7.Notices7.1Allnotices,requests,demands,orothercommunicationsrequiredorpermittedunderthisContractshallbeinwritingandshallbedeemedtohavebeendulygivenwhen:7.1.1Deliveredpersonallytotherecipient;7.1.2Sentbyregisteredorcertifiedmail,returnreceiptrequested,totheaddressoftherecipient;or7.1.3Sentbyemailtotheaddressprovidedbytherecipient,withconfirmationofdelivery.7.2Anynoticeshallbedeemedtohavebeenreceivedonthefifth(5th)dayafterthedateofpostingifsentbyregisteredorcertifiedmail;oronthenextbusinessdayafterthedateofsendingifsentbyemail.8.GoverningLawandDisputeResolution8.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.8.2AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedamicablythrough友好协商.If协商不成,thedisputesshallbesubmittedtothejurisdictionofthe人民法院forarbitrationinaccordancewiththeChinaInternationalEconomicandTradeArbitrationCommission(CIETAC)arbitrationrules.9.Miscellaneous9.1EntireAgreement:ThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereof.Anyprioragreements,representations,orunderstandingsaresupersededbythisContract.9.2Amendments:AnyamendmentsormodificationstothisContractshallbeinwritingandsignedbybothpartiestobeeffective.9.3Waiver:Thewaiverbyeitherpartyofanybreach,default,orfailuretoenforceanyofthetermsorconditionsofthisContractshallnotbeconstruedasawaiverofanysubsequentbreachesordefaults.9.4Severability:IfanyprovisionofthisContractisfoundtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.9.5Assignability:TherightsandobligationsunderthisContractmaynotbeassignedbyeitherpartywithoutthepriorwrittenconsentoftheotherparty.9.6Counterparts:ThisContractmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.INWITNESSWHEREOF,thepartiesheretohaveexecutedthisContractasofthedatefirstabovewritten.Consultant:Name:Title:Signature:Date:Employer:Name:Title:Signature:Date:Notes:ThisContractispreparedinbothChineseandEnglish.Incaseofanydiscrepancybetweenthetwoversions,theChineseversionshallprevail.AlltermsnotdefinedinthisContractshallhavethemeaningsgiventothembytherelevantlawsandregulations.标准中英版2025工程咨询合同本工程咨询合同（以下简称“合同”）由下列双方于公元年月日签订：咨询方:（以下简称“咨询方”）办事处地址:网址:邮箱:雇主:（以下简称“雇主”）地址:网址:邮箱:鉴于：雇主希望聘用咨询方为其提供工程咨询服务（以下简称“服务”）；咨询方愿意并有能力根据本合同的规定提供服务；双方一致同意如下条款：1.服务范围1.1咨询方应根据本合同的规定，为项目（以下简称“项目”）提供下列工程咨询服务：1.1.1进行项目的可行性研究和分析；1.1.2制定项目的工程技术设计和规范；1.1.3提供项目执行的建议，包括时间表、预算和风险管理；1.1.4监控和评估项目的进展；1.1.5提交最终咨询报告和建议。1.2服务的提供应符合相关法律法规，并遵循国际最佳实践。2.合同价格与支付条款2.1本合同项下的咨询服务费用总计为人民币元（大写：元整），由雇主按照本合同的规定支付给咨询方。2.2合同价格按如下方式支付：2.2.1本合同签订后，雇主向咨询方支付预付款人民币元；2.2.2剩余款项人民币元，自咨询方提交最终咨询报告和建议后日内支付。2.3所有款项应通过银行转账或其他双方商定的支付方式支付。2.4咨询方应根据适用的法律法规开具合同价格的发票。3.权利与义务3.1雇主的义务：3.1.1及时向咨询方提供与服务有关的所有必要信息、数据和材料；3.1.2与咨询方合作并提供合理的协助以执行服务；3.1.3确保咨询方能够进入项目现场及相关设施；3.1.4按照本合同的规定支付合同价格；3.1.5根据咨询方的书面要求，提供其他合理的支持。3.2咨询方的义务：3.2.1以专业和勤勉的方式提供服务，遵守本合同的规定及适用的法律法规；3.2.2维持职业道德的最高标准，保守秘密地执行服务；3.2.3按照约定的时间表提交最终咨询报告和建议；3.2.4确保服务的交付符合约定的服务范围和质量标准；3.2.5与雇主合作并提供必要的解释或澄清。4.期限与终止4.1本合同的期限自开始，直至服务完成，由双方另行约定。4.2出现下列情形之一时，任一方可在向另一方发出书面通知后终止本合同：4.2.1另一方严重违反本合同的任何主要条款或条件，且在收到书面通知后日内未予补救；4.2.2另一方资不抵债、进行清算或对其资产任命管理人；4.2.3雇主终止合同的情形，如咨询方无法继续提供服务是由于雇主无法控制的原因；4.2.4咨询方终止合同的情形，如雇主未按本合同的规定支付合同价格。4.3终止后，咨询方应将所有相关材料和文件提交给雇主，并有权收取截至终止日所产生服务的费用，具体以本合同的规定为准。5.保密5.1咨询方同意严格保密与项目有关的所有信息、数据和材料（以
