二零二五年度国际项目保密协议（中英文对照）ConfidentialityAgreementforInternationalProjectsfortheYear2025(ChineseEnglishBilingual)ThisConfidentialityAgreement("Agreement")ismadeandenteredintoasof______________,2025,between:PartyA:[FullLegalNameofPartyA][RegisteredAddressofPartyA][City,Province/State,Country,Zip/PostalCode]PartyB:[FullLegalNameofPartyB][RegisteredAddressofPartyB][City,Province/State,Country,Zip/PostalCode]RecitalsWHEREAS,PartyAisengagedinthebusinessof[DescriptionofPartyA'sBusiness],andhasconfidentialinformationregarding[DescriptionofConfidentialInformation],includingbutnotlimitedto[listofconfidentialinformation];WHEREAS,PartyBdesirestohaveaccesstotheconfidentialinformationofPartyAforthepurposeof[DescriptionofPurposeofConfidentialInformation];NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,thepartiesagreeasfollows:1.ConfidentialInformationForthepurposesofthisAgreement,"ConfidentialInformation"shallmeananyandallinformationdisclosedPartyAtoPartyB,eitherdirectlyorindirectly,inwriting,orally,orinspectionoftangibleobjects,thatisnotpubliclyknownandisdesignatedasconfidentialorthatreasonablyshouldbeunderstoodtobeconfidentialgiventhenatureoftheinformationandthecircumstancesofdisclosure.2.ObligationsofConfidentiality2.1PartyBshallmaintaintheconfidentialityoftheConfidentialInformationandshallnotuseitforanypurposeotherthanthePurposesetforthinParagraph1above.2.2PartyBshallnotdiscloseanyConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentofPartyA.2.3PartyBshallusethesamedegreeofcaretoprotecttheconfidentialityoftheConfidentialInformationasitusestoprotectitsownconfidentialinformationofsimilarnature,butinnoeventlessthanreasonablecare.3.ExclusionsfromConfidentialInformationTheobligationsofconfidentialityshallnotapplytoinformationwhich:3.1WaspubliclyknownandmadegenerallyavailableinthepublicdomainpriortothetimeofdisclosurePartyAtoPartyB.3.2ComesintothepossessionofPartyBfromathirdpartywithoutabreachofsuchthirdparty'sobligationsofconfidentiality.3.3IsindependentlydevelopedPartyBwithoutuseoforreferencetotheConfidentialInformation.3.4IsdisclosedPartyAtoathirdpartywithoutabreachofthisAgreement.4.TermandTermination4.1ThisAgreementshallbeeffectiveasofthedatefirstabovewrittenandshallremainineffectforaperiodof[number]yearsfromtheEffectiveDate.4.2EitherPartymayterminatethisAgreementatanytimeproviding[number]days'priorwrittennoticetotheotherParty.5.ReturnofConfidentialInformationUpontheterminationofthisAgreement,PartyBshallpromptlyreturntoPartyAallcopiesofConfidentialInformation,ordestroythesame,atPartyA'soption.6.GoverningLawThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof[Jurisdiction].7.EntireAgreementThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreementsandunderstandings,whetherwrittenororal,relatingtothesubjectmatterhereof.8.AmendmentsThisAgreementmayonlybeamendedawritteninstrumentexecutedbothparties.9.WaiverThefailureofeitherpartytoenforceatanytimeanyprovisionofthisAgreementshallnotbeconstruedtobeawaiverofsuchprovisionoroftherightofthepartythereaftertoenforceeachandeveryprovisionofthisAgreement.10.SeverabilityIfanyprovisionofthisAgreementisheldtobeillegal,invalid,orunenforceable,theremainingprovisionsshallremaininfullforceandeffect.INWITNESSWHEREOF,thepartiesheretohaveexecutedthisConfidentialityAgreementasofthedatefirstabovewritten._________________________PartyA:_
