2025外贸中与合同相关的英语词汇AGREEMENTFORINTERNATIONALTRADEThisAgreement(the"Agreement")isenteredintoasofthisdayof,2025,byandbetween(the"Seller")and(the"Buyer"),bothpartiesbeinglegalentitiesorindividualsengagedininternationaltrade(collectivelyreferredtoasthe"Parties").1.RECITALS1.1TheSelleroperatesinthefieldofandhasestablishedareputationforprovidinghigh-qualityproductsandservices.1.2TheBuyerisengagedinthebusinessofandseekstopurchaseproducts/servicesfromtheSellerinaccordancewiththetermsandconditionsoutlinedherein.1.3TheSellerandtheBuyerdesiretoestablishamutuallybeneficialbusinessrelationshipgovernedbythisAgreement.2.DEFINITIONSForthepurposesofthisAgreement,thefollowingtermsshallhavethemeaningsspecifiedbelow:Goods:TheproductstobesuppliedbytheSellertotheBuyerasdescribedintheOrderConfirmation.Services:AnyservicesprovidedbytheSellerinrelationtotheGoods,includingbutnotlimitedtotransportation,installation,andmaintenance.Order:AnywrittenorelectronicorderplacedbytheBuyerfortheGoodsorServices.OrderConfirmation:ThewrittenacknowledgmentissuedbytheSellerconfirmingthereceiptoftheOrderandoutliningthetermsandconditionsofthetransaction.DeliveryDate:ThedatespecifiedintheOrderConfirmationbywhichtheGoodsorServicesshallbedeliveredtotheBuyer.ForceMajeureEvent:AnyeventbeyondthecontrolofeitherParty,includingbutnotlimitedtonaturaldisasters,war,governmentactions,orpandemics.IntellectualPropertyRights:Anyrights,includingbutnotlimitedtotrademarks,patents,copyrights,andtradesecrets,ownedbyeitherPartyortheirlicensors.3.SCOPEOFSUPPLY3.1TheSelleragreestosupplytheGoodsinthequantitiesandspecificationsdetailedintheOrderConfirmation.3.2TheBuyeragreestopurchasetheGoodsstrictlyinaccordancewiththetermsoutlinedinthisAgreement.3.3TheSellershalluseitsbesteffortstoensurethattheGoodsarefreefromdefectsandmeetthequalitystandardsspecifiedintheOrderConfirmation.4.PAYMENTTERMS4.1TheBuyershallpaytheagreedpricefortheGoods(the"Price")asspecifiedintheOrderConfirmation.4.2Allpaymentsshallbemadein,unlessotherwiseagreedinwritingbybothParties.4.3InvoicesshallbeissuedbytheSellerupondespatchoftheGoodsandaredueforpaymentwithindaysfromthedateofdespatch.4.4TheBuyershallmakepaymentusingthespecifiedmethodoutlinedintheOrderConfirmation,includingbutnotlimitedtoLettersofCredit,TelegraphicTransfers,orWireTransfers.4.5FailuretomakepaymentinaccordancewiththisclauseshallconstituteabreachofthisAgreementandmayresultinthesuspensionoffurtherdeliveries.5.DELIVERYANDTRANSPORTATION5.1TheSellershalldelivertheGoodstotheBuyerattheaddressspecifiedintheOrderConfirmationonorbeforetheDeliveryDate.5.2TheGoodsshallbetransportedusingareputablecarrierselectedbytheSeller,andtheBuyershallberesponsibleforanyadditionalcostsincurredduetospecialhandlingortransportationrequirements.5.3RiskoflossordamagetotheGoodsshallpasstotheBuyerupondelivery.5.4TheSellershallprovidetheBuyerwithadetaileddespatchnotecontainingtheshipmentdetails,includingthecarrier'sname,trackingnumber,andestimateddeliverydate.6.QUALITYANDWARRANTY6.1TheSellerguaranteesthattheGoodssuppliedunderthisAgreementshallconformtothespecificationsandstandardsoutlinedintheOrderConfirmation.6.2TheSellershallrepairorreplaceanydefectiveGoods,subjecttotheBuyerprovidingwrittennoticeofthedefectwithindaysofdelivery.6.3TheBuyershallberesponsibleforanyadditionalcostsincurredinrectifyingdefectscausedbyimproperusage,installation,ormaintenance.6.4ThiswarrantydoesnotapplytoGoodsthathavebeendamagedduetomisuse,alteration,orfailuretofollowtheSeller'sinstructions.7.INTELLECTUALPROPERTYRIGHTS7.1TheBuyeragreesthatallIntellectualPropertyRightsintheGoodsandanyrelateddesigns,trademarks,orbrandingshallremainthesolepropertyoftheSellerunlessotherwiseagreedinwriting.7.2TheBuyershallnotuse,copy,ordistributeanyIntellectualPropertyRightsoftheSellerwithoutpriorwrittenconsent.7.3TheBuyershallimmediatelynotifytheSellerofanythird-partyclaimsorallegationsofinfringementofIntellectualPropertyRightsinrelationtotheGoods.8.TERMINATION8.1EitherPartymayterminatethisAgreementwithimmediateeffectiftheotherPartybreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithindaysofreceivingwrittennoticethereof.8.2Upontermination,theBuyershallimmediatelyreturnallGoodsintheirpossessiontotheSeller,unlessotherwiseagreedinwriting.8.3TheterminationofthisAgreementshallnotprejudicetherightsandobligationsofeitherPartyaccruedpriortothedateoftermination.9.FORCEMAJEURE9.1NeitherPartyshallbeliableforanyfailureordelayinperformingtheirobligationsunderthisAgreementduetoaForceMajeureEvent.9.2UpontheoccurrenceofaForceMajeureEvent,theaffectedPartyshallpromptlynotifytheotherPartyandmakereasonableeffortstomitigatetheeffectsoftheevent.9.3TheperiodforperformanceshallbeextendedbyareasonabletimecorrespondingtothedurationoftheForceMajeureEvent.10.DISPUTERESOLUTION10.1Anydisputes,differences,orclaimsarisingoutoforinconnectionwiththisAgreementshallberesolvedamicablythroughgoodfaithnegotiations.10.2IfthePartiesfailtoresolvethedisputewithindays,thedisputeshallbereferredtomediationinaccordancewiththerulesofMediationCenter.10.3Ifmediationfails,eitherPartymaybringthedisputetothejurisdictionofthecourtsof,andthePartiessubmittotheexclusivejurisdictionofsuchcourts.11.GENERALPROVISIONS11.1ThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,representations,orunderstandings,whetheroralorwritten.11.2AnyamendmentstothisAgreementmustbemadeinwritingandsignedbybothParties.11.3ThisAgreementshallbebindinguponandinuretothebenefitofthePartiesandtheirrespectiveheirs,successors,andassigns.11.4
