2025年度国际公司IT安全顾问服务英文版合同范本ThisAgreement("Agreement")ismadeandenteredintoasof[InsertDate],andbetweenthefollowingparties:PartyA:[InsertCompanyName][InsertCompanyAddress][InsertCompanyContactName][InsertCompanyContactPosition]PartyB:[InsertCompanyName][InsertCompanyAddress][InsertCompanyContactName][InsertCompanyContactPosition]WHEREAS,PartyAisengagedinthebusinessofprovidingITsecurityconsultingservices("Services")andPartyBdesirestoengagePartyAtoprovidesuchServices;NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromiseshereincontained,thepartiesheretoagreeasfollows:1.ScopeofServicesPartyAagreestoprovidetheServicestoPartyBasdescribedintheattachedScopeofWork("Scope").2.Term3.FeesandPayment3.1.Fees.PartyBshallpayPartyAafeeof[InsertFeeAmount](the"Fees")fortheprovisionoftheServices.TheFeesshallbepaidinaccordancewiththepaymentscheduleattachedheretoasExhibitA.3.2.PaymentTerms.Allpaymentsshallbemadewithin[InsertNumberofDays]daysoftheinvoicedate.PartyBshallissueinvoicesfortheFeesinaccordancewiththepaymentscheduleattachedheretoasExhibitA.4.Confidentiality4.1.ConfidentialInformation."ConfidentialInformation"meansanyandallnonpublicinformation,includingbutnotlimitedtotechnical,financial,business,orotherinformationthatisdisclosedeitherpartytotheotherpartyinconnectionwiththisAgreement.4.2.Obligations.ThepartiesagreetoholdtheConfidentialInformationinstrictconfidenceandnottouseordiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.5.IntellectualProperty5.1.Ownership.AllintellectualpropertyrightsinandtotheServices,includingbutnotlimitedtocopyrights,patents,trademarks,andtradesecrets,shallremainthesoleandexclusivepropertyofPartyA.5.2.License.PartyBshallbegrantedanonexclusive,nontransferable,andnonsublicensablelicensetousetheServicessolelyforthepurposesdescribedinthisAgreement.6.WarrantiesandDisclaimers6.1.Warranties.PartyAwarrantsthattheServiceswillbeperformedinaprofessionalandworkmanlikemanner.EXCEPTASEXPRESSLYPROVIDEDINTHISSECTION,THESERVICESAREPROVIDED"ASIS"ANDPARTYADISCLMSALLOTHERWARRANTIES,EXPRESSORIMPLIED,INCLUDINGBUTNOTLIMITEDTOWARRANTIESOFMERCHANTABILITY,FITNESSFORAPARTICULARPURPOSE,ANDNONINFRINGEMENT.6.2.LimitationofLiability.INNOEVENTSHALLPARTYABELIABLEFORANYINDIRECT,INCIDENTAL,SPECIAL,CONSEQUENTIAL,ORPUNITIVEDAMAGES,INCLUDINGBUTNOTLIMITEDTOLOSTPROFITS,DATA,ORUSE,ARISINGOUTOFORINCONNECTIONWITHTHISAGREEMENTORTHESERVICESPROVIDEDHEREUNDER.7.Termination7.1.TerminationforCause.EitherpartymayterminatethisAgreementimmediatelyuponwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithin[InsertNumberofDays]daysafterreceiptofwrittennotice.7.2.TerminationforConvenience.EitherpartymayterminatethisAgreementupon[InsertNumberofDays]days'writtennoticetotheotherpartyforanyreason.8.GoverningLawandJurisdictionThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof[InsertJurisdiction].9.EntireAgreementThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,understandings,anddiscussions,whetherwrittenororal,oftheparties.10.AmendmentsThisAgreementmaybeamendedonlyawritteninstrumentexecutedbothparties.INWITNESSWHEREOF,thepartiesheretohaveexecutedt
